A Message from our CEO

Kia ora Colleagues,

Dear 2015 IPGA Conference Participant,

Welcome to IPGA’s 12th Annual Conference and to Vancouver, Canada!

Things are looking up for IPGA. As of January of this year we launched a new 3 year Strategic Plan and already our board is at work on developing our vision for the next one! Our membership and followers are increasing - increasing both in numbers and in their engagement in our networking Hubs, our Leadership Teams and other opportunities we offer for learning and sharing throughout the year. I hope you will want to find out more over the next few days and even help to create new ones. The great people at the IPGA table will be able to tell you more.

I am looking forward to meeting you all and to a great few days of learning about how we can better lead together. As group authorities, boards provide group leadership on behalf of owners as a group. To achieve their objectives as servant-leaders, boards need to work through the leadership of their executive who must in turn engage the leadership of their staff. Thus, our conference theme of Leading Together has many dimensions which I hope you will all enjoy exploring with the help of our speakers, our workshop presenters and each other. I hope you will be able to take advantage of Vancouver‘s delights and the natural beauty that surrounds it. Most of all I am looking forward to participating with you in making the most of the richness of opportunities for development and fun that await us, for ourselves and the benefit of all those we serve and lead.

To cap it all, this is our largest conference ever. Our plans are for this IPGA Annual Conference to prove a highlight of your year - this year and each and every year to come. Please be sure to let us know what we are doing right and what we could improve. We really want to hear from you. There will be evaluation forms in every workshop, a link for you to provide an overall evaluation will be sent to you immediately following the close of the conference. Most of all, please participate fully in all we have to offer over the next three days. Your experience, your questions, your spirit are what will infuse this conference with life and make it a great learning experience for all. Wearing your badge Your badge is admittance to all conference activities and must be worn at all times to all events, including evening events. Exhibits The exhibits will be located in the Grand Foyer near the registration area. The exhibits will be open starting on Friday. Please take time to stop by and visit with the exhibitors!

Environmental Sustainability In an attempt to be environmentally conscious, we have chosen name badges and conference bags that are reusable and recyclable. You can choose to return the badge or bag to the IPGA registration desk at the conclusion of the conference. Special Diets For those with dietary allergies or issues who have identified themselves prior to the conference, you will find a “Dietary Issues” card in your registration materials. This should be shown to the wait staff at each meal so that the they can provide the proper food. Please save this card for all meals.

Friday’s Topics Lunch At the Friday lunch we are providing an opportunity to discuss various topics. During lunch on Friday, there will be table signs with one topic per table. Choose a table with the topic you would like to discuss. If you want to add a topic, stop at the registration desk ahead of the meal and we will add it to the list. But in our fastpaced world, how do we ensure that board members, staff, owners and other stakeholders know what they need to know about these principles, how they’re applied, and why? One key method of conveying Policy Governance principles quickly and clearly to others is through the use of visuals, including drawings, photos, infographics, and videos. Through examples and group exercises, this session will ‘draw out’ new ideas boards, CEOs, staff and consultants can use to explain concepts, to stimulate conversation, and to solve problems.

P o l i c y g o v e r n a n c e - Th e F u n d a m e n ta l s T r a c k Getting to “Ownership Linkage” Presenter: Catherine Raso Friday, 10:45 a.m. - 12:00 p.m. What stops boards from linking with their moral ownership? Maybe they don’t know who their ownership is, why they should link or how to do it. Come to this engaging and informative workshop to learn: how to define your ownership, why a board should proactively link; and start to develop a plan for your board. Participants will understand the basics of the concept of ownership, and will know what to do at their next board meeting. How to Build Meaningful, Owner Informed Ends Presenter: Karen Fryday-Field Friday, 1:30 p.m. - 2:45 p.m. This workshop will take you through the Ends Policy development process including the key elements, how to prepare, the challenges and pitfalls, the many inputs to Ends and how to test the effectiveness of the Ends your board creates. You will be involved in the analysis of several real live Ends Policies (from organizations who have given permission) to build experience, competency, and confidence. We will also address Chait’s thesis on governance as leadership particularly as it relates to creating Ends Policies and link to other schools of thought to show where there is alignment and value-add. Executive Limitations: Using Parameters for Productivity and Accountability Presenter: Bill Charney Friday, 3:05 p.m. - 4:20 p.m. The use of Executive Limitations policies, directing the CEO what not to do, is perhaps the most disconcerting aspect for boards and board members new to Policy Governance. It is a dramatic break from the traditional “approvals” approach to directing and exercising control over operations. Uncomfortable with the principle, the refrains are common: “Leadership should sound positive, not limiting!” “We shouldn’t give that much authority to the CEO.” “How can we make sure the bases are covered?” “Why use negative terminology?” Many of those experienced with Policy Governance and who adhere to the proscription principle are unable to articulate its counter-intuitive value to others, especially in regard to managing risk. This engaging workshop will explore the rationale behind and remarkable strength of “ELs” as a governing tool, and the expansive scope that can be covered with few words. In a mock-board exercise, participants will identify “worries,” then develop and critique proposed policies to address them. Finally, real-life examples of “Extreme Policies” will be discussed, illustrating the “less is more” notion that often characterizes effective policy-making.

The Left Side of the Circle: How a Board Tells Itself What to Do and Other Mysteries of Life Presenters: Rose Mercier and Richard Stringham Saturday, 11:00 p.m. - 12:15 p.m. Join us as we explore a few of the challenges a board using Policy Governance faces on the mysterious left side of the policy circle. We will consider: The purpose and power of board means policies, as well as common questions that arise: How might a board evaluate its own performance? How does a board keep an operational means responsibility to itself? How might a board properly delegate CEO compensation responsibilities to a committee? What does a board consider when seeking a new CEO? Ceo and Board Monitoring and evaluation Presenter: Eric Craymer Saturday, 1:45 p.m. - 3:00 p.m. The Policy Governance system is probably the only system in which all Board expectations, both for the CEO and the Board, are clearly stated in policy prior to either taking any action. Because of this there is no need to come up with new questions each year about how the Board or CEO is doing, all they have to do is compare their actual behavior against those expectations. There are however some clear distinctions, requirements and techniques for measuring performance in Policy Governance. This workshop will provide you with an understanding and illustration of the basic concepts and techniques needed so that you can feel comfortable in your knowledge and ability to successfully practice them. They include: Monitoring methods: • The three options for reporting to the board concerning performance. • The multiple options for board self assessment. Assessing actual performance: • Assessing CEO performance; reasonableness and data. • Assessing board performance; observe, analyze and improve. “Gaming PG” Ideas For Learning Presenter: Jannice Moore Saturday, 3:20 p.m. - 4:35 p.m. Learning about Policy Governance doesn’t need to be boring. Clients have often told us that they were surprised that what they expected to be a boring topic could be so interesting. Join us to experience first-hand some fun ways to learn and reinforce Policy Governance principles, from basic understanding of the principles to more advanced application details. The Role of the board administrator Presenter: Catherine Raso Friday, 1:30 p.m. - 2:45 p.m. Catherine Raso co-authored a book with an Ontario lawyer called “The Board Administration Handbook” (2014) which has been written as a guide for Boards of Directors of not-for-profit corporations. Come to this workshop and learn about governance documents that boards are required to maintain, according to law or best practice, and how to run effective and efficient meetings. You will be surprised at what many boards don’t know. (Even if you’re not incorporated in Ontario, this workshop is still very relevant and most items will still apply to your board). Advanced Monitoring for CEOs Presenter: Catherine Raso Friday, 3:05 p.m. - 4:20 p.m. This workshop is designed for CEOs and other senior staff who prepare monitoring reports. Participants will work through a step-by-step framework that takes the board’s policies (both Ends and Executive Limitations) through interpretations, development of rationale, creating metrics, planning and providing evidence. How you Think is How you Lead Presenter: Sue Radwan Saturday, 11:00 p.m. - 12:15 p.m. This workshop will focus on three foundations of “systems thinking” including the Twelve Natural Laws of Systems and the Eight Levels of Living Systems with their implications for the world of organizational leadership, planning and management. Attendees will: • Recognize how their own thinking impacts their leadership style and planning approach • Connect patterns of activity in their organizations related to the natural laws systems • Take away systems solutions to address troublesome developments in their organizations.

Change the Conversation, Change the Future: Ownership Linkage Matters Presenters: Jannice Moore and Dee Incoronato Saturday, 1:45 p.m. - 3:00 p.m. Crucial conversations with owners can change the trajectory of an organization. A critical job of the board is listening to the owners’ perspectives of needs and benefits the organization should produce. The board can then make Ends decisions that are consistent with those values. This workshop is presented from the perspective of a previous board chair of an organization that adopted Policy Governance; she is now their Chief Strategy Officer overseeing strategic intent based upon these informed Ends decisions. To implement Policy Governance and to remain consistent with the principles, the organization has worked with a governance coach. Hear how your organization can use ownership linkage to change the future from the perspective of The Governance Coach and former Board Chair, now Chief Strategy Officer. How Ends Policies Result in Real Impact in the World The Key Anatomy, Dynamics, and Practicalities for Creating CEO Ends Policy Interpretation Presenters: Karen Fryday-Field and Kathy Wilkie Saturday, 3:20 p.m. - 4:35 p.m. CEO Ends Policy Interpretation is a very important component within the Policy Governance system. It is one of the primary elements and tools that the board has to ensure that the board’s big Ends idea is translated into real impact in the world. Policy Governance does require a specific anatomy (structure and components) of the Ends Interpretation. These elements include an operating definition which quantifies or describes the good to be done and for what groups of people; in other words, what the specific return on investment is expected to be. Rationale must also be designed to provide justification for the operating definition. This workshop will share new learning from in the field of Policy Governance practice on key concepts, techniques, and lessons learned on an effective CEO Ends Policy Interpretation.

N e w H o r i zo n s T r a c k Using Scenario Analysis to Develop Interpretations Presenter Eric Craymer Friday, 10:45 a.m. -12:00 p.m. Scenarios are a way to get out of the habit of extending the present case into the future. A number of pictures of what the world might look like in the future are developed. Teams are assigned to look back from the future and develop stories as to how the world got to be this way, focusing on the major events and trends. This process grounds the stories in the current status but also allows the team to creatively consider the twists and turns the future may take. Some of the greatest strategic mistakes have resulted not from an inability to see a change but an inability to change behavior. This is because we have built a model of how we think our organization and its world work. It represents our beliefs of the causal relationships within those systems. We will not change behavior until we change the model. We must learn a new model. Scenario analysis enables this change, or strategic learning, to take place. It frees us from the tendency to think in terms of tomorrow being the same as today. Participants are asked to creatively envision a future that might come about if certain elements and trends that exist today actually occur and combine. Learning takes place when we question the assumptions behind the causes, effects, and impacts of the events that could make such a world. By exploring the strategic impacts, outcomes, and responses, and by exploring the secondary and tertiary effects on the system as a whole, we can practice the future before it arrives. We will already have learned what will likely happen and what we can do about it. Leading Together – Specific Tools and Techniques Presenter: Craig Freshley Friday, 1:30 p.m. - 2:45 p.m. Building on Craig’s keynote address, this workshop is for those who want to go deeper and learn more. Craig will begin by polling the group desires, in itself a demonstration of a “leading together” technique, and he will craft an agenda to best match what participants want to learn. This workshop will certainly provide a chance to ask Craig specific questions. It will probably involve some demonstrations. And it might even include some role plays! Well, only if you want. The workshop is sure to send you away with practical tools and techniques that you can use right away to overcome your specific challenges and unlock the magic of shared governance. The Cost of Winging It – Decision Analysis And Good Governance Presenters: Athens Kolias and John Niec Friday, 3:05 - 4:20 p.m. How much time is wasted trying to make good decisions and how much money is lost on bad decisions? “Winging it” is often improvising while not prepared, and it costs real time and money. Preparing for decision-making requires much more than brainstorming on a whiteboard or with yellow sticky notes. Fortunately, there is a science that underlies decision-making. However, most of us are unaware of the principles and their practical application. Once these are learned, decision-makers will possess real tools and the knowledge of how to use them appropriately when facing tough choices. This is especially important in a group context, or where actions must be transparent. What stakeholders and owners want to know is, “what were the criteria that informed this decision?” When decisions are planned scientifically and systematically, they are defensible and sound. In this session you will gain new insights and information that will produce immediate and positive results in your organization, with your clients, and anywhere you need to make a good decision.

Approaches to Corporate Governance Challenges: How do different approaches to governance resolve typical boardroom issues? Panelists: Robert Ballantyne, Ron Handford, Caroline Oliver and Hartger Wassink Saturday, 11:00 a.m. - 12:15 p.m. A joint session with members of the International Young Governance Professionals’ Summit. This session will bring together panelists who are familiar with a variety of different approaches to the work of boards. Come and see how they will tackle common governance issues from their different perspectives. The Meaning of Ownership Presenter: Katarina Sikavica Saturday, 1:45 p.m. - 3:00 p.m. This workshop takes a closer look at the meaning of the concept of “organizational ownership”. It shows that “ownership” means different things to different people, and it invites participants to reflect on their own understanding of what it means to own an organization. We will discuss the various dimensions of the organizational ownership concept (i.e. legal ownership, financial ownership, and psychological ownership) and we will reflect on how each of these dimensions carries different behavioral expectations when it comes to organizational owners and how we judge the behavior by organizational owners differently depending on whether we perceive them as legal, financial or psychological owners. We will take a look at ownership heterogeneity within one type of organization – the publicly listed firm – and you will see how, even within publicly listed firms, different owners exist that display different investment horizons, preferences and behaviors vis-à-vis the firm. Our Conference Speakers P LENAR Y S P EAKERS Cam Brinsdon Conference Chair Cam is an experienced governance consultant and director of Board Clarity Ltd, a company providing Policy Governance based services across New Zealand. The company mostly provides full board training programs in Policy Governance, as well as associated governance services, such as board level appointments, remuneration advice, strategy, and CEO evaluations. Cam has a long history of working at senior management level in organizational development and change management. This exposure to governing bodies and how they function along with a strong career in Human Resources ignited interest in improving board performance. The range of boards Cam has worked with includes national and regional charities, health organizations, professional associations, regulatory councils and for-profit businesses. While his career background is corporate, Cam prefers to work in the charity and social enterprise sector. Cam is also a company director, has been a trustee of a small NGO and has been published in the international journal Board Leadership. For 20 years Robert produced planetarium shows in Montreal, Toronto and Winnipeg. During his eight years in Toronto he learned how to be a spokesperson for the McLaughlin Planetarium. Then he was off to direct the Manitoba Planetarium in Winnipeg for a decade. While in Winnipeg he was elected president of Winnipeg AM, and then president of the Convention and Visitors Bureau. He was appointed the honorary chair of the Cross Canada Science fair, and later elected president of the Canadian Nature Federation. Bill Charney As a trusted advisor to nearly 300 governing boards since 1997, one of Bill Charney’s great strengths is the breadth of his own experience. He has an MBA from the University of Colorado. He’s served on many Boards, and chaired two. He’s experienced the “CEO perspective”, serving nine years as the highly successful CEO of a prominent Denver, Colorado nonprofit. John Bohley Throughout his career, Dr. John Bohley has been involved in the development and management of a wide range of mental health and substance abuse projects, programs, and services in public, non-profit, and proprietary settings. Most recently he served as the Executive Director of the Butler County Alcohol and Drug Addiction Services Board in Ohio. Since leaving this position the end of October 2014, he has focused on board development consultation assisting boards to enhance their performance. Dr. Bohley has a master’s degree in social work and a doctorate in public administration. He attended the Policy Governance® AcademySM in September 2005 after his board implemented Policy Governance earlier that year. Karen Fryday-Field Karen is the Senior Partner of The Meridian Edge Management and Governance Consulting in London, Ontario, Canada which provides governance and strategic organizational development consulting services to boards and senior management teams. Karen consults regularly to address governance effectiveness and to develop new ways to add value. She has been a Policy Governance consultant and researcher since 1993. Her client list of non-profit, public and for-profit boards in Canada and the United States is extensive. Karen has a Bachelor of Science in Physical Therapy and achieved the position of Ivey Scholar while graduating from her MBA, at the Ivey School of Business. Karen has completed an international benchmarking study on corporate governance best practices including an evaluation of the unique work of the board, communication systems within corporate governance, and the roles of the board and Chief Executive Officer. She is currently studying the key issues facing boards and CEOs in the not-for-profit sector. The study also addresses solutions which are working for these same boards. Ron Handford Ronald L. Handford, P.Eng., BASc, MBA, has progressed through three careers over 40 years: professional engineer, international banker, and entrepreneur. Since 1996 he has been a mining and technology entrepreneur, with CEO, board of directors, senior executive and advisory experience, and has raised or participated in raising almost $80 million in private and public equity. He has extensive investor, banking, industry and government contacts in North America, Europe and Asia. Prior to this executive experience, Ron was an international resources banker in corporate and project finance for 15 years, working with the International Finance Corporation, a member of the World Bank Group based in Washington, D.C., Barclays Bank of Canada and the National Bank/ Mercantile Bank of Canada. He started his career as a structural and project management engineer for six years. Athens Kolias Athens is a Project Manager with 30 years’ experience and has developed many professionals, emphasizing a balance between stakeholders, subject matter expertise and best practices. After completing her Masters and attaining her PMP certification, Athens engaged in operational leadership in the San Francisco Chapter of the Project Management Institute. During her tenure as VP Professional Development, a massive organizational overhaul of the chapter brought about culture change and implementation of Policy Governance. While on PMI-SFBAC’s Board of Directors, Athens aligned the chapter’s outdated By-Laws with the Policy Governance infrastructure currently in place. Athens focuses her board work on instilling a culture of continuous improvement and strategic outlook. Athens is a Managing Partner in Order4Orgs, which works to help small/ medium sized organizations get their operational and project work done, so the organization can focus on their core mission. Athens teaches PMP® Exam Prep courses to project managers around the country, as well as Emotional Intelligence and Stakeholder Management skills. Athens is also on the Board of Directors of XLUR8 Educational and Research Foundation, a non-profit focused on helping transitioning Veterans and Encore workers to advance their career goals through professional certifications.

Rose Mercier Rose Mercier, Consultant with The Governance Coach, has twenty years’ experience in organizational transition and leadership development, and twenty-plus years in management and leadership positions. Trained at the 2008 Policy Governance® AcademySM, Rose has since that time focused on supporting boards in the implementation of Policy Governance. Her clients include membership-based, education and social service non-profit organizations, unions, foundations and corporations. Prior to consulting, Rose served in CEO and senior staff roles with national non-profit organizations. She holds a Master’s degree in Business Administration. John Niec John Niec is a Project Management Professional (PMP) with over 25 years’ experience in project management, and 20 years’ experience in non-profit board leadership. His background includes 10 years in Human Resources Information Technology, directing a Project Management Office (PMO) and chairing the project selection committee at TriNet Employment Services. During his tenure at TriNet, John experienced first-hand the challenge of project prioritization, funding decisions, and how to develop good group decision-making processes. Richard Stringham For 30 years, Richard has provided development services to a range of organizations such as co-operatives, professional regulatory organizations, nonprofit groups, and commodity organizations. As a member of the management team for a non-profit educational organization, he led leadership development programs for youth and adults, provided educational services, and facilitated planning for boards, and volunteer and management groups. He began work with the application of the Policy Governance model in 2002 with the Alberta Institute of Agrologists (AIA) where he was a direct report to the CEO. Kathy Wilkie Kathy is the Registrar and Executive Director of the College of Medical Laboratory Technologists of Ontario (CMLTO). She has more than 30 years of experience in medical laboratory technology and health services management in the public, private and professional regulatory sectors. Hartger Wassink Dr. Hartger Wassink is an organizational psychologist with experience in academic research as well as consultancy.
