Ms. Teresa Kapellas, Executive Director of Administrative Services, updated the Board on Aurum Preparatory Charter School’s Charter Specific Conditions (Schedule D). She reported they have met all of their deadlines so far. Ms. Lydia Moore (Program Director of Instruction), Ms. Liz Tarango (Principal of Foster Youth Services), and Mr. Earl Crawford (Principal at Hayward Community School and Quest Academy) presented the SPaS Annual Update for the Local Control and Accountability Plan (LCAP) for fiscal year 2017/18. Trustee Rivera moved approval of BP 1312.3, BP 3513.3, BP 5111, and BB 9012. Trustee Sims seconded. The motion passed unanimously (7-0).

Trustee Rivera presented Board Policy 5141.52, Board Policy 6144, Board Bylaw 9224, and Board Bylaw 9230 for first reading. Trustee Rivera stated the committee reviewed several bills. They are recommending the Board take a support position on AB 3167, AB 1743, and AB 2808. Trustee Rivera moved approval AB 3167, AB 1743, and AB 2808. Trustee Childress seconded. The motion passed unanimously (7-0). Superintendent Monroe shared there is a surplus stock of various books that no longer meet ACOE’s instructional needs. Trustee McDonald reported attending the 25th Annual California Charter Schools Conference. ALAMEDA COUNTY BOARD OF EDUCATION AND ALAMEDA COUNTY SUPERINTENDENT OF SCHOOLS Resolution No. 2126 Lesbian, Gay, Bisexual, and Transgender Pride Month (June)

WHEREAS,

it is policy of the Alameda County Office of Education that all persons, including those who are lesbian, gay, bisexual or transgender, have an equal and nondiscriminatory opportunity to a quality public education experience; and

WHEREAS,

many lesbian, gay, bisexual or transgender youth and youth perceived to belong to these groups still face harassment and physical violence in school environments (and elsewhere); and

WHEREAS,

the Alameda County Office of Education deplores harassment and physical violence or the threat of such against any of our students, faculty, and staff; and

WHEREAS,

the Alameda County Board of Education believes that the rich variety and diversity of families and communities is one of Alameda County's strengths, and furthermore believes that a family is a supportive unit composed of various genders, orientations, cultures, races, and ethnicities; and

WHEREAS,

the Alameda County Board of Education values and welcomes diversity of our student body, our teachers, our staff, and our administrators, including the diversity of sexual orientation and identity in our community; and

WHEREAS,

the Alameda County Board of Education has made a commitment to achieving and fostering diversity and tolerance in our staff, our school population, and in our curriculum; and

WHEREAS,

the Alameda County Board of Education wishes to note the variety of celebrations recognizing Lesbian/Gay/Bisexual/Transgender Pride Month around the nation and throughout the State of California during the month of June; and

ALAMEDA COUNTY BOARD OF EDUCATION AND ALAMEDA COUNTY SUPERINTENDENT OF SCHOOLS Resolution No. 2127 National Internet Safety Month (June) WHEREAS,

in the United States, more than 90 percent of children in grades 5-12 now use computers; and

WHEREAS,

26 percent of children in grades 5-12 in the United States are online for more than 5 hours a week, and 12 percent of such children spend more time online than they do with their friends; and

WHEREAS,

53 percent of children and teens in the United States like to be alone when “surfing” the Internet, and 29 percent of such children believe their parents would either express concern, restrict their Internet use, or take away their computer if their parents knew where they were surfing on the Internet; and

WHEREAS,

32 percent of the Nation's students in grades 5-12 feel they have the skills to get past filtering software, and 31 percent of youths in the United States have visited an inappropriate place on the Internet, 18 percent of them more than once; and

WHEREAS,

51 percent of the Nation's students in grades 5-12 trust the people they chat with on the Internet; and

WHEREAS,

12 percent of the Nation's students in grades 5-12 have been asked by someone they chatted with on the Internet to meet face to face, and 11.5 percent of such students have actually met face to face with a stranger they chatted with on the Internet; and

WHEREAS,

39 percent of youths in grades 5-12 in the United States admit to giving out their personal information, such as name, age, and gender over the Internet, and 14 percent of such youths have received mean or threatening emails while on the Internet:

THEREFORE, BE IT RESOLVED that the Alameda County Board of Education and the Alameda County Superintendent of Schools recognize June 2018 as National Internet Safety Month and join the ranks of agencies raising awareness of online dangers, protecting youth from online predators, and promoting safe internet usage of students. • Understanding that public safety is not a precursor to community planning and development; it's actually the outcome of community planning and development done well. • More law enforcement, more incarceration is not the answer to crime in communities. • Making permanent changes in crime patterns requires a sustained and coordinated effort to reverse decades of disinvestment in neighborhoods. • We recognized that we needed a new approach to rebuild trust and improve public safety in Unincorporated Ashland.

PURPOSE: The purpose of this order is to provide deputies with guidelines on their duties and responsibilities associated with immigration law, enforcement, arrests, detentions/detainers, and Requests for Notification. POLICY: The Alameda County Sheriff’s Office (ACSO) will equally enforce laws and serve the public without consideration of immigration status. The ACSO does not accept nor honor immigration detainers from Immigration and Customs Enforcement (ICE). The immigration status of a person, and the lack of immigration documentation, alone, shall have no bearing on the manner in which staff executes their duties. Please note there is a difference between an arrest warrant signed by a Judge (which ACSO does honor), and an immigration detainer signed by an ICE agent. Under no circumstances shall a person be detained or arrested by Sheriff’s Office members based solely on his or her immigration status whether known or unknown. 11

Alameda COE | BP 5141.52 Students Suicide Prevention The Governing Board recognizes that suicide is a leading cause of death among youth and that school personnel who regularly interact with students are often in a position to recognize the warning signs of suicide and to offer appropriate referral and/or assistance. To attempt to reduce suicidal behavior and its impact on students and families, the Superintendent or designee shall develop measures and strategies for suicide prevention, intervention, and postvention. In developing measures and strategies for use by the county, the Superintendent or designee may consult with school health professionals, school counselors, school psychologists, school social workers, administrators, other staff, parents/guardians, students, local health agencies, mental health professionals, and community organizations. Such measures and strategies shall include, but are not limited to: 1.

Staff development on suicide awareness and prevention for teachers, school counselors, and other county employees who interact with students in the secondary grades

2.

Instruction to students in problem-solving and coping skills to promote students' mental, emotional, and social health and well-being, as well as instruction in recognizing and appropriately responding to warning signs of suicidal intent in others

3.

Methods for promoting a positive school climate that enhances students' feelings of connectedness with the school and that is characterized by caring staff and harmonious interrelationships among students

4.

The provision of information to parents/guardians regarding risk factors and warning signs of suicide, the severity of the youth suicide problem, the county’s suicide prevention curriculum, basic steps for helping suicidal youth, and/or school and community resources that can help youth in crisis

5.

Encouragement for students to notify appropriate school personnel or other adults when they are experiencing thoughts of suicide or when they suspect or have knowledge of another student's suicidal intentions

6.

Crisis intervention procedures for addressing suicide threats or attempts

7.

Counseling and other postvention strategies for helping students, staff, and others cope in the aftermath of a student's suicide

As appropriate, these measures and strategies shall specifically address the needs of students who are at high risk of suicide, including, but not limited to, students who are bereaved by suicide; students with disabilities, mental illness, or substance use disorders; students who are experiencing homelessness or who are in out-of-home settings such as foster care; and students who are lesbian, gay, bisexual, transgender, or questioning youth. Alameda COE | BP 6144 Instruction Controversial Issues The Governing Board recognizes that the county's educational program may sometimes include instruction related to controversial issues that may arouse strong reactions based on personal values and beliefs, political philosophy, culture, religion, or other influences. Instruction concerning such topics shall be relevant to the adopted course of study and curricular goals and should be designed to develop students' critical thinking skills, ability to discriminate between fact and opinion, respect for others, and understanding and tolerance of diverse points of view. The Board expects administrators and teachers to exercise professional judgment when deciding whether or not a particular issue is suitable for study or discussion. They shall consult with the Superintendent or designee as necessary to determine the appropriateness of the subject matter, guest speakers, and/or related instructional materials or resources. When providing instruction related to a controversial issue, the following guidelines shall apply: 1.

The topic shall be suitable to the age and maturity of the students.

2.

Instruction shall be presented in a balanced manner, addressing all sides of the issue without bias or prejudice and without promoting any particular point of view.

3.

In the classroom, teachers act on behalf of the county and are expected to follow the adopted curriculum. In leading or guiding class discussions about issues that may be controversial, a teacher may not advocate his/her personal opinion or viewpoint. When necessary, the Superintendent or designee may instruct teachers to refrain from sharing personal views in the classroom on controversial topics.

4.

Students shall be assured of their right to form and express an opinion without jeopardizing their grades or being subject to discrimination, retaliation, or discipline, provided the viewpoint does not constitute harassment, threats, intimidation, or bullying or is otherwise unlawful.

5.

Students shall be informed of conduct expected during such instruction and the importance of being courteous and respectful of the opinions of others.

6.

Adequate factual information shall be provided to help students objectively analyze and evaluate the issue and draw their own conclusions.

7.

The instruction shall not reflect adversely upon persons because of their race, ethnicity, national origin, sex, sexual orientation, gender identity or expression, disability, religion, or any other basis prohibited by law.

8.

The subject matter of the instruction shall not otherwise be prohibited by state or federal law.

When a guest speaker is invited to make a presentation related to a controversial issue, the Superintendent or designee shall notify him/her of this policy and the expectations and goals regarding the instruction. If the guest speaker is presenting only one point of view on an issue, the teacher shall be Page 1 of 2

responsible for ensuring that students also receive information on opposing viewpoints. When required by law, such as in regards to comprehensive sexual health and HIV prevention education, parents/guardians shall be notified prior to instruction that they may request in writing that their child be excused from the instruction. Students whose parents/guardians decline such instruction may be offered an alternative activity of similar educational value. A student or parent/guardian with concerns regarding instruction about controversial issues may communicate directly with the teacher or principal and/or use appropriate county complaint procedures. Alameda COE | BB 9230 Board Bylaws Orientation County Board Candidate Orientation The County Board of Education and County Superintendent of Schools desire to provide County Board candidates with information that will enable them to understand the responsibilities and expectations of County Board membership. The County Superintendent or designee shall provide all candidates with general information about county office of education programs and operations, County Board member responsibilities, and the county election official's contact information. The County Board encourages all candidates to attend public County Board meetings during the period of their candidacy. Candidates shall have the same access as members of the public to County Board and COE staff and information. New County Board Member Orientation The County Board shall provide an orientation and information to incoming County Board members to assist them in understanding the County Board's functions, policies, procedures, protocols, and agreedupon standards of conduct. Incoming County Board members shall receive the COE policy manual and other materials related to the COE and County Board member responsibilities. Upon their election, incoming County Board members shall be provided a copy of the Brown Act and informed that, pursuant to Government Code 54952.1, they must conform to the Act's requirements as if they had already assumed office. The County Superintendent may provide incoming County Board members with additional background and information regarding the COE's vision and goals, operations, and current challenges in areas that include, but are not limited to, student achievement, curriculum, finance, facilities, and policy. Incoming members are encouraged to attend County Board meetings and review agenda materials available to the public in order to become familiar with current issues facing the COE. Incoming members also may, at COE expense and with prior approval of the County Board, attend workshops and conferences relevant to their individual needs or to the needs of the County Board or the COE as a whole. Powers and Duties

Note: The following optional County Board of Education bylaw reflects the roles and responsibilities of the County Board. The bylaw aligns closely with the Professional Governance Standards for County Boards adopted by CSBA and California County Boards of Education in October 2014. The governance standards also address attributes of effective boards and individual trustees.

The County Board's primary goal is to provide each student with an education of the highest quality in keeping with his/her capacity to learn. This goal shall be the basic factor motivating the County Board's execution of its powers and duties.

The County Board of Education provides leadership and citizen oversight for educational programs and services operated by the county office of education (COE), including services provided to school districts and the community. The primary objective of the County Board is to work with the County Superintendent of Schools to establish the direction and priorities for the COE and to provide leadership to support the success of public education.

Governance Functions To fulfill its responsibility, the County Board may establish policies to govern County Office of Education activities. The County Board shall consider and approve or disapprove matters submitted to it by the County Superintendent and the public.

To fulfill its objective, the County Board shall: 1.

Collaborate with the County Superintendent to ensure implementation of the shared vision, goals, and policies of the COE

2.

Adopt and update policies for its own governance and for programs under the statutory authority of the County Board

3.

Ensure accountability for student learning in schools and programs under the statutory authority of the County Board

4.

Adopt the annual budget and review interim reports of the County Superintendent

5.

Fix the salary of the County Superintendent in accordance with law and Board Bylaw 9500

6.

Acquire, lease, lease-purchase, hold and convey real property for the purpose of housing the offices and the services of the COE

7.

Along with the County Superintendent, ensure the provision of a safe and appropriate educational environment for all COE students

8.

Conduct appeals on the following actions by district governing boards: student expulsions; interdistrict transfer requests; denials, nonrenewals, or revocations of charter school petitions; and other matters when required by law

9.

Maintain a cooperative and supportive working relationship with local school districts, their school boards, and the community

10.

Conduct public hearings when appropriate

The County Board shall prescribe rules for its own governance that are consistent with law or with the rules prescribed by the State County Board of Education. Executive Functions In accordance with County Board policy, the County Board delegates to the County Superintendent the authority to carry out County Board decisions and to make and carry out any decisions which it delegates. The County Superintendent shall be fully responsible for the proper use of this authority. The County Board is ultimately responsible for the performance of any powers or duties delegated. Judicial Functions The County Board believes that County Office of Education employees and citizens have the right to a hearing and resolution of grievances, complaints and criticisms. In order to maintain positive personnel and public relations, the County Board, convened, shall serve as a body of appeal for grievances, complaints and criticisms in accordance with County Board policies. Allowable Purposes

Note: Pursuant to Government Code 54962, the County Board of Education may hold a closed session only for purposes expressly authorized by the Brown Act (Government Code 54950-54963) or by a provision of the Education Code.

The County Board may hold closed sessions only for the one or more of the following purposes: 1.

Note: The Attorney General has opined that the County Superintendent of Schools, and not the County Board, is authorized to appoint, discipline, and establish the salaries of certificated and classified employees (72 Ops.Cal.Atty.Gen. 25 (1989)). Although Government Code 54957 generally authorizes the use of closed sessions for personnel matters, the Attorney General has concluded that, with limited exception, the County Board may not meet in closed session under the personnel exception of the Brown Act to consider the appointment, employment, evaluation of performance, discipline, or dismissal of employees or the salaries or compensation paid in the form of fringe benefits to certificated or classified employees of the County Superintendent (85 Ops. Cal. Atty. Gen. 77 (2002)). The Attorney General has also opined that the County Board may meet in closed session to employ a limited number of county office of education employees in positions that provide services to districts. The County Board is strongly encouraged to consult legal counsel before meeting in closed session to discuss employment of individuals providing these services.

To consider "personnel matters;" that is, the appointment, employment, evaluation of performance, or dismissal of an employee. The County Board shall publicly report any action taken and the roll call vote, either at the public meeting during which the closed session was held or at a subsequent public meeting. The County Board may also hold a closed session to hear complaints or charges against an employee, unless the employee requests a public hearing. a. Before the County Board holds a closed session on specific complaints or charges brought against an employee, the employee shall receive written notice of the employee's right to have the complaints or charges heard in open session rather than closed session. This notice shall be delivered personally or by mail at least 24 hours before the time of the session. b. Closed sessions for personnel matters shall not include discussion of the County Office's available funds, funding priorities or budget.

The County Board of Education is committed to complying with state open meeting laws and modeling transparency in the conduct of its business. The County Board shall hold a closed session only for purposes authorized by law. A closed session may be held during a regular, special, or emergency meeting in accordance with law.

To meet with the County Board's representative for the purpose of considering matters which have been placed in negotiations and instructing the representative as to the County Board's position on them. Such closed sessions may be held prior to or during consultations and discussions with employee organization representatives and discussions with unrepresented employees.

Note: Government Code 54954.5 provides specific agenda descriptions for most closed session items authorized by the Brown Act, as described throughout this bylaw.

Closed sessions for negotiations with unrepresented employees shall not include discussion of the County Office's available funds, funding priorities or budget.

Each agenda shall contain a general description of each closed session item to be discussed at the meeting, as required by law. (Government Code 54954.2)

To consider "student personnel matters;" that is, suspension or disciplinary action or any other action in connection with any student in the County Office of Education schools, if a public meeting would lead to giving out information which might violate the student's right of privacy.

4.

To meet with a state conciliator or a mediator who has intervened in negotiations proceedings.

5.

To hear and consider "security matters" affecting the national security; to discuss with the Attorney General, County Office or County Counsel, Sheriff or Chief of Police or their deputies matters threatening County Office of Education buildings or the public's right of access to County Office of Education services or facilities.

Note: Government Code 54957.7 states that before holding any closed session, the County Board must disclose in an open meeting the item(s) to be discussed in the closed session. The County Board may either state the information on the agenda or refer the public to the item(s) as listed by number or letter on the agenda. These disclosures may be made at the location announced in the agenda for the closed session, as long as the public is allowed to be present at that location for the purpose of hearing the announcements. In addition, the County Board is required to reconvene in open session upon conclusion of a closed session to report any action taken in the closed session. The County Board shall disclose in open session the items to be discussed in closed session. In the closed session, the County Board may consider only those matters covered in its statement.

(Government Code 54957.7, 54961) Note: Pursuant to Government Code 54963, a County Board member who discloses confidential information received in a closed session may be referred to the local grand jury or may be subject to action in a court of law. For a definition of confidential information and the actions that may be taken against a County Board member if such information is disclosed, see BB 9011 - Disclosure of Confidential/Privileged Information.

Prior to holding the closed session, the County Board shall at a public meeting identify the property(ies) under negotiation and specify the person(s) with whom the negotiator may negotiate. 8.

A County Board member shall not disclose confidential information received in a closed session unless the County Board authorizes the disclosure of that information. (Government Code 54963)

To meet with the County Board's legal counsel to confer with or receive advice regarding pending litigation which, if discussed in open session, would prejudice the County Board's position in the case.

After each closed session, but before adjourning the meeting, the County Board shall reconvene in open and, when applicable, report closed session actions, the votes or abstentions thereon, and other disclosures required by Government Code 54957.1. (Government Code 54957.7)

a. Litigation shall be considered pending when any of the following circumstances exist: i.

An ad judicatory proceeding before a court, administrative body exercising its ad judicatory authority-hearing officer, or arbitrator, to which the County Board is a party, has been initiated formally.

ii.

A point has been reached where, in the opinion of the County Board on the advice of its legal counsel, based on existing facts and circumstances, there is a significant exposure to litigation against the County Office of Education.

iii.

Based on existing facts and circumstances, the County Board is meeting only to decide whether a closed session is authorized pursuant to paragraph (2) above.

iv.

Based on existing facts and circumstances, the County Board has decided to initiate or is deciding whether to initiate litigation.

Matters Related to Students The County Board shall meet in closed session to consider the appeal of an expulsion of a student, unless the student submits a written request at least five days before the date of the hearing that the hearing be held in open session. Regardless of whether the expulsion hearing is conducted in open or closed session, the County Board may meet in closed session for the purpose of deliberations. (Education Code 48920) Note: Although Government Code 54954.2 requires the agenda to have a brief general description of all closed session items to be discussed, Government Code 54954.5 provides no specific description of agenda items related to closed sessions authorized by the Education Code. Since the purpose of conducting a closed session regarding student matters is to protect student privacy rights, the following optional paragraph provides that student names shall not be included on the agenda.

b. Prior to holding a closed session pursuant to this section, the County Board shall state publicly whether the closed session is being held for reasons listed in subdivision (1), (2) (3) or (4), above. If the session is closed pursuant to subdivision 1), the County Board shall state the title or otherwise specifically identify the litigation to be discussed, unless the County Board states that to do so would jeopardize the County Office of Education's ability to effectuate service of process upon one or more unserved parties, or that to do so would jeopardize its ability to conclude existing settlement negotiations to its advantage.

Agenda items related to student matters shall briefly describe the reason for the closed session, such as "student expulsion hearing," without violating the confidentiality rights of individual students. The student shall not be named on the agenda, but a number may be assigned to the student in order to facilitate record keeping. The agenda shall also state that the Education Code requires closed sessions in these cases in order to prevent the disclosure of confidential student record information. Actions related to student matters shall be taken in open session and shall be a matter of public record. No information shall be released in violation of student privacy rights provided in law. (Education Code 35146, 48918; 20 USC 1232)

c. Agenda items related to pending litigation shall be described as a conference with legal counsel regarding "Existing Litigation" or "Anticipated Litigation."

Note: An Attorney General Opinion (80 Ops.Cal.Atty.Gen. 85 (1997)) has held that when taking action 2

"Existing litigation" items shall either specify the claimant's name, names of parties and case or claim number or shall state that disclosure would jeopardize service of process or existing settlement negotiations.

"Anticipated litigation" items shall state that there is significant exposure to litigation pursuant to Government Code Section 54956.9(b) and shall specify the potential number of cases. When the County Office expects to initiate a suit, items related to anticipated litigation shall state that the discussion relates to the initiation of litigation pursuant to Government Code 54956.9(c) and shall specify the potential number of cases.

to expel a student, the County Board must disclose the student's name and the cause for the expulsion. Although Education Code 49076 generally prohibits the disclosure of "student records" without parental consent or a court order, the Attorney General has found that, when responding to public requests for the release of expulsion records, the board must disclose the student's name and the cause for the expulsion. In addition, the meeting minutes must reflect the same information. The Attorney General appears to believe that federal law regarding student records (FERPA) (20 USC 1232) does not control in this instance. Opinions of the Attorney General are not binding, but are generally given some deference by the courts. However, it is the opinion of CSBA's legal counsel, and other attorneys in California, that the Attorney General's opinion is in conflict with FERPA. It is also important to note that, while state law can supplement FERPA, compliance with FERPA is necessary to continue to be eligible to receive federal education funds. Therefore, these attorneys have recommended against announcing the names of expelled students in open session until there is a judicial ruling on the issue.

d. For purposes of this section, "litigation" includes any ad judicatory proceeding, including eminent domain, before a court, administrative body exercising its ad judicatory authority, hearing officer, or arbitrator. 9.

In an expulsion action, the student's name shall not be disclosed, but the cause for the expulsion shall be disclosed in open session.

To discuss a claim for the payment of tort liability or public liability losses incurred by the County Office of Education or any member agency under the joint powers insurance pooling agency of which the County Office of Education is a member.

The County Board shall meet in closed session to address any student matter over which it has statutory authority, when the matter may involve disclosure of confidential student information.

Time and Place of Closed Sessions Conference with Real Property Negotiator The County Board may hold a closed session at any time before, during or after a regular or special meeting.

Note: An Attorney General opinion (94 Ops.Cal.Atty.Gen. 82 (2011)) has concluded that only three subjects related to real property negotiations may be considered in closed session: (1) the amount of consideration the local agency is willing to pay or accept in exchange for the real property rights to be acquired or transferred; (2) the form, manner, and timing of how that consideration will be paid; and (3) items that are essential to arriving at the authorized price and payment terms. Although Attorney General opinions are not binding, they are accorded deference by the courts.

The County Board may adjourn a regular or special public meeting at any time and go into closed session, returning to public session as soon as the closed session is over. No closed session may be held during an emergency special meeting of the County Board. The County Board may hold closed sessions outside of regular or special meetings for negotiation purposes listed below. Notification requirements shall not apply to such sessions. 1.

Discussions between the County Board and the recognized employee organization(s).

2.

Any meeting of a mediator with either the County Board or employee organization(s) or both.

3.

The County Board may meet in closed session with its real property negotiator prior to the purchase, sale, exchange, or lease of real property by or for the County Board or county office of education (COE) in order to grant its negotiator authority regarding the price and terms of payment for the property. (Government Code 54956.8) Before holding the closed session, the County Board shall hold an open and public session to identify its negotiator(s) and the property under negotiation and to specify the person(s) with whom the negotiator may negotiate. (Government Code 54956.8)

Any hearing, meeting or investigation conducted by a fact finder or arbitrator.

4. Discussion of the County Board's position on matters within the scope of representation and instruction of the County Board's designated representative.

For purposes of real property transactions, negotiators may include members of the County Board. (Government Code 54956.8)

Statement of Purpose for Closed Session Agenda items related to real property negotiations shall specify the negotiator attending the closed session. If circumstances necessitate the absence of a specified negotiator, an agent or designee may

No matters other than those given in the statement shall be discussed or acted upon during the closed session. In the case of special, adjourned or continued meetings, the statement shall be part of the notice provided for such meetings

participate in place of the absent negotiator as long as the name of the agent or designee is announced at an open session held prior to the closed session. The agenda shall also specify the name of the negotiating parties and the street address of the real property under negotiation. If there is no street address, the agenda item shall specify the parcel number or another unique reference of the property. The agenda item shall also specify whether instruction to the negotiator will concern price, terms of payment, or both. (Government Code 54954.5)

If the County Board plans to hold a closed session, the agenda of any regular or special meeting shall state the general reasons for the closed session.

Approval of an agreement concluding real estate negotiations shall be reported after the agreement is final. If the County Board renders the agreement final, it shall report that approval, the votes or abstentions thereon, and the substance of the agreement in open session at the public meeting during which the closed session is held. If final approval rests with the other party, the County Superintendent or designee shall disclose the fact of that approval and the substance of the agreement upon inquiry by any person, as soon as the other party or its agent has informed the COE of its approval. (Government Code 54957.1)

Discussions and/or Actions by the County Board The County Board may discuss any matter contained in the statement of purpose for the closed session at that closed session. The County Board may take action on any matter in the statement of purpose for the closed session. Any action taken by the County Board in respect to employing, appointing or dismissing an employee during a closed session and the roll call vote thereon shall be publicly announced at the public meeting during which the action is taken or at the next public meeting.

Pending Litigation Based on the advice of its legal counsel, the County Board may hold a closed session to confer with or receive advice from its legal counsel regarding a pending litigation when a discussion of the matter in open session would prejudice the COE or the County Board's position in the litigation. For this purpose, "litigation" means any adjudicatory proceeding, including eminent domain, before a court, administrative body exercising its adjudicatory authority, hearing officer, or arbitrator. (Government Code 54956.9)

Final action by the County Board shall be taken at a public meeting with respect to suspension, disciplinary action, or any other action in connection with any student of the County Office of Education. c. The receipt of a claim pursuant to the Tort Claims Act or a written threat of litigation from a potential plaintiff. The claim or written communication must be available for public inspection. d. A threat of litigation made by a person in an open meeting on a specific matter within the responsibility of the County Board. e. A threat of litigation made by a person outside of an open meeting on a specific matter within the responsibility of the County Board, provided that the employee receiving knowledge of the threat made a record of the statement before the meeting and the record is available for public inspection. Such record does not need to identify an alleged victim of tortious sexual conduct or anyone making a threat on his/her behalf or identify an employee who is the alleged perpetrator of any unlawful or tortious conduct, unless the identity of this person has been publicly disclosed.

Before holding a closed session pursuant to the pending litigation exception, the County Board shall state on the agenda or publicly announce the subdivision of Government Code 54956.9 under which the closed session is being held. If authority is based on Government Code 54956.9(a), the County Board shall either state the title or specifically identify the litigation to be discussed or state that doing so would jeopardize the ability to effectuate service of process upon unserved parties or to conclude existing settlement negotiations to its advantage. (Government Code 54956.9) Agenda items related to pending litigation shall be described as a conference with legal counsel regarding either "existing litigation" or "anticipated litigation." (Government Code 54954.5) "Existing litigation" items shall identify the name of the case specified by either the claimant's name, names of parties, or case or claim number, unless the County Board states that to identify the case would jeopardize service of process or existing settlement negotiations. (Government Code 54954.5) "Anticipated litigation" items shall state that there is significant exposure to litigation pursuant to 5

Government Code 54956.9(b) and shall specify the potential number of cases. The agenda or an oral statement before the closed session may be required to provide additional information regarding existing facts and circumstances described in item #2b-e above. (Government Code 54954.5) The County Board shall report the following actions related to pending litigation, and the votes or abstentions thereon, at the public meeting during which the closed session is held: (Government Code 54957.1) 1.

Approval to legal counsel to defend, appeal or not appeal, or otherwise appear in litigation. This report shall identify the adverse parties, if known, and the substance of the litigation.

Approval to legal counsel to initiate or intervene in a lawsuit. This report shall state that directions to initiate or intervene in the action have been given and that details will be disclosed to inquiring parties after the lawsuit is commenced unless doing so would jeopardize the ability to serve process on unserved parties or the ability of the COE to conclude existing settlement negotiations to its advantage.

Acceptance of a signed offer from the other party or parties which finalizes the settlement of pending litigation. This report shall state the substance of the agreement.

If approval is given to legal counsel to settle pending litigation and if final approval rests with the other party or with the court, the County Board shall report the fact of approval, the substance of the agreement, and the vote and abstentions thereon to persons who inquire once the settlement is final. (Government Code 54957.1) Review of Student Assessment Instruments The County Board may meet in closed session to review the contents of any student assessment instrument approved or adopted for the statewide testing system. Before any such meeting, the County Board shall agree by resolution to accept any terms or conditions established by the State Board of Education for this review. (Education Code 60617) Note: The following optional paragraph provides for compliance with Government Code 54954.2, which requires the agenda to have a brief general description of all closed session items to be discussed. Government Code 54954.5 provides no specific description of agenda items related to closed sessions authorized by the Education Code. Agenda items related to the review of student assessment instruments shall state that the County Board is 6

reviewing the contents of an assessment instrument approved or adopted for the statewide testing program and that Education Code 60617 authorizes a closed session for this purpose in order to maintain the confidentiality of the assessment under review. Note: Education Code 60617 does not specify reporting requirements for closed sessions related to the review of student assessment instruments. The following optional paragraph reflects the purpose the closed session to allow County Board members to review the assessments and draw their individual conclusions. At the public meeting during which the County Board holds a closed session to review student assessment instruments, the County Board shall confirm that this review was made. Any actions related to the review shall be taken in open session without revealing any proprietary or confidential information and shall be a matter of public record. Other Matters for Closed Session When appropriate, the County Board may also hold a closed session to discuss any of the following: 1.

Security Matters

The County Board may meet in closed session with the Governor, Attorney General, district attorney, legal counsel, sheriff or chief of police, or their respective deputies, or a security consultant or a security operations manager, on matters posing a threat to the security of public buildings; to the security of essential public services, including water, drinking water, wastewater treatment, natural gas service, and electric service; or to the public's right of access to public services or public facilities. (Government Code 54957) Note: Government Code 54956.5 authorizes an emergency meeting in closed session to meet with the law enforcement officials specified above pursuant to Government Code 54957. Two-thirds of the County Board members present at the meeting must agree to the need for the closed session. Those emergency situations that necessitate a need for an emergency meeting are listed in BB 9320 - Meetings and Notices, and include a terrorist attack, crippling disaster, or other activity that impairs public health or safety. The County Board may meet in closed session during an emergency meeting held pursuant to Government Code 54956.5 to meet with law enforcement officials for the emergency purposes specified in Government Code 54957 if agreed to by a two-thirds vote of the County Board members present. If less than two-thirds of the members are present, then the County Board must agree by a unanimous vote of the members present. (Government Code 54956.5) Agenda items related to security matters shall specify the name of the law enforcement agency and the title of the officer, or name of applicable agency representative and title, with whom the County Board 7

will consult. (Government Code 54954.5) 2.

Joint Powers Agency/Self-Insurance Authority Claims

Note: The following section applies to county offices of education participating in a joint powers agency (JPA) for insurance pooling or in a self-insurance authority. The County Board may meet in closed session to discuss a claim for the payment of tort liability losses, public liability losses, or workers' compensation liability incurred by a joint powers agency (JPA) formed for the purpose of insurance pooling or self-insurance authority of which the COE is a member. (Government Code 54956.95) Closed session agenda items related to liability claims shall specify the claimant's name and the name of the agency against which the claim is made. (Government Code 54954.5) Note: Pursuant to Government Code 54956.96, a JPA may adopt a provision, either through a policy or through the joint powers agreement, authorizing a County Board member serving on the JPA board to disclose confidential information received during the JPA board's closed session under the circumstances specified below. Government Code 54954.5 provides an agenda description for the purpose of this closed session. The following optional paragraphs are for use by COE's that participate in a JPA that has adopted such a provision. When the board of the JPA has so authorized and upon advice of legal counsel, the County Board may meet in closed session in order to receive, discuss, and take action concerning information obtained in a closed session of the JPA. During the County Board's closed session, a County Board member serving on the JPA board may disclose confidential information acquired during a closed session of the JPA to other County Board members. (Government Code 54956.96) The County Board member may also disclose the confidential JPA information to legal counsel in order to obtain advice on whether the matter has direct financial or liability implications for the County Board or COE. (Government Code 54956.96) Closed session agenda items related to conferences involving a JPA shall specify the closed session description used by the JPA and the name of the County Board member representing the County Board on the JPA board. Additional information listing the names of agencies or titles of representatives attending the closed session as consultants or other representatives shall also be included. (Government Code 54954.5) The County Board shall report the disposition of joint powers agency or self-insurance claims and the votes or abstentions thereon at the public meeting during which the closed session is held. This report shall include the name of the claimant(s), the name of the agency claimed against, the substance of the claim, and the monetary settlement agreed upon by the claimant. (Government Code 54957.1) 8

Review of Audit Report from California State Auditor's Office

Note: Government Code 54956.75 authorizes the County Board to meet in closed session to discuss a final draft audit report from the California State Auditor's Office. This authority relates to situations in which a member of the legislature has requested the California State Auditor's Office to audit a COE. This audit is separate from the annual audits conducted pursuant to Education Code 41020. The law does not authorize the County Board to meet in closed session to discuss the annual audit. Upon receipt of a confidential final draft audit report from the California State Auditor's Office, the County Board may meet in closed session to discuss its response to that report. After public release of the report from the California State Auditor's Office, any County Board meeting to discuss the report must be conducted in open session, unless exempted from that requirement by some other provision of law. (Government Code 54956.75) Closed session agenda items related to an audit by the California State Auditor's Office shall state "Audit by California State Auditor's Office."
