Codecademy Pro Giveaway Sweepstakes Rules NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED. ​ ​ ​1.​ ​Eligibility Codecademy Pro Giveaway (the "Sweepstakes") is open to legal residents of the fifty (50) United States and the District of Columbia (excluding U.S. Territories) who are at least eighteen (18) years old at the time of entry. Employees of Codecademy and other companies associated with the promotion of the Sweepstakes, and their respective parents, subsidiaries, affiliates and advertising and promotion agencies as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Sweepstakes is subject to federal, state, and local laws and regulations.

​ ​ ​2.​ ​Sponsor The Sweepstakes is sponsored by Codecademy, located at 575 Broadway, fl. 5, New York, New York 10012.

​ ​ ​3.​ ​Agreement to Official Rules Participation in the Sweepstakes constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon being compliant with these Official Rules and fulfilling all other requirements set forth herein.

​ ​ ​4.​ ​Sweepstakes Period The Sweepstakes begins on September 12, 2018 at 12:00 AM EST and ends on October 07, 2018 at 11:59 PM EST (the "Sweepstakes Period"). Entries that are submitted before or after the Sweepstakes Period will be disqualified. Submissions will be accepted for the duration of the Sweepstakes.

​ ​ ​5.​ ​How to Enter An eligible Entrant may enter using one (1) or two (2) methods of entry:

Entry Method 1:​ To enter, you must meet three criterion by the end of the Sweepstakes period on October 7, 2018 at 11:59 PM EST: 1) Be a Codecademy Pro subscriber, so entrants must either have an existing Pro account or must activate a new Pro account by October 7, 2018; Pro Trial users must upgrade to a paid Pro account in order to be eligible; Pro Intensive users qualify because Pro is included in the Pro Intensive enrollment. 2) Downloaded the Codecademy app and log in with valid Codecademy email address by the time the Sweepstakes ends. If a user has downloaded the app and logged in before the Sweepstakes period started, that user is still eligible. New users must download the app and create a Codecademy account in order to be eligible. 3) Start a Codecademy Path on Codecademy.com and complete at least one course lesson in that path during the duration of the Sweepstakes (September 12, 2018 at 12:00 AM EST to October 7, 2018 at 11:59 PM EST). All actions (i.e. be a paid Pro subscriber, download Codecademy app and login with valid Codecademy user email address, and complete a lesson in a Path) of your entry are collectively referred to herein as the “Entry”. Once you complete your Entry, your submission is considered final and may not be modified. To be eligible, you must satisfy the three criterion by 11:59 PM EST on October 7, 2018. Entry Method 2: ​This Alternate Method of Entry (AMOE) method is for individuals to enter the Sweepstakes via email without making a purchase: To receive one (1) AMOE Entry without purchasing Codecademy Pro, Entrants may utilize mail as an alternate means of entry, without obligation, by hand writing your name, mailing address, phone number, e-mail address and the name of the Sweepstakes (“Codecademy Pro Giveaway“) on a 4”x6” card and mail to: Codecademy, 575 Broadway, Floor 5 New York, NY 10012 (Attn: Marissa Hastings). Mail-in entries must be postmarked on or before the final day of the Sweepstakes Period and received on or before the last day of the Sweepstakes Period. Upon receiving the mailed-in card that complies with these terms, Codecademy will grant the individual an entry into the Sweepstakes. Only Entries submitted via the above methods of entry, or the alternative entry method, will be accepted. Entries are subject to all notices posted online including the Sponsor's privacy policy. Sponsor reserves the right to publicize the Sweepstakes through its Codecademy web pages and its blogs and profiles in social networks (collectively, the "Web Media"). Regardless of the method of entry used to enter the Sweepstakes, limit one (1) entry per person, per email address, and per household for the duration of the Sweepstakes Period.

​ ​ ​6.​ ​Winner Selection Process On or about October 15, 2018, the Sponsor will select potential winners in a random drawing from among all eligible entries received. The odds of being selected depend on the number of entries received. The Sponsor will attempt to notify the potential winner via email on or about November 09, 2018. If the potential winner cannot be contacted within five (5) days after the

date of the first attempt to contact him/her, the Sponsor may select an alternate potential winner in his/her place at random from the remaining non-winning, eligible entries.

​ ​ ​7.​ ​Winner Notification The potential winners will be notified by email. Each potential Grand winner (parent/legal guardian if a minor in his/her state of residence) will be required to complete, electronically sign and submit a Declaration of Compliance within five (5) days of the date notice or attempted notice is sent, in order to claim his/her prize. If a potential winner cannot be contacted, or fails to submit the Declaration of Compliance within the required time period (if applicable), or prize is returned as undeliverable, potential winner forfeits prize. If the potential winner is at least 18 but still considered a minor in his/her jurisdiction of residence, Sponsor reserves the right to award the prize in the name of his/her parent or legal guardian, who will be required to sign the Declaration of Compliance on the potential winners behalf and fulfill any other requirements imposed on winner set forth herein. Potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded. Prizes will be fulfilled approximately 8-10 weeks after the conclusion of the Sweepstakes. ​ ​ ​8.​ ​Prizes PRIZE(S): There will be three winners, subject to eligibility (each, a “Sweepstakes Winner”). Limit one (1) prize per individual. The winners will each receive a 13” Macbook Air (1.8GHz dual-core Intel Core i5 processor model), a free one-year subscription to Codecademy Pro, and a Codecademy t-shirt, hoodie, water bottle, notebook, and pen. The approximate retail value of all prizes is USD $1,455.00. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute a prize with another prize of equal or greater value if the prize is not available for any reason, as determined by the Sponsor in its sole discretion. Sweepstakes Winner acknowledges that all prizes are awarded as-is, without warranty, representation or guarantee, express or implied, in fact or in law of any kind. The winners are responsible for any taxes and fees associated with receipt or use of a prize. The value of the Prize will be taxable to the Winner as income. An IRS Form 1099 and W9 will be issued in the name of the Winner for the actual value of the Prize awarded. All U.S. federal, state and local tax liability, and any other costs and expenses associated with acceptance or use of the Prize not specifically provided for in these Official Rules are solely the Winner’s responsibility (regardless of whether the prize, in whole or in part, is used).

​9.​ ​General Conditions By participating in the Sweepstakes, you agree to abide by the Official Rules, and the Sponsor’s decisions shall be final in all respects. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Sweepstakes is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules or (b) terminate the Sweepstakes and, in the event of termination, award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the website or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages (including attorney's fees) and any other remedies from any such person to the fullest extent permitted by law. If for any reason Sweepstakes cannot be conducted as planned by reason of causes beyond the control of Sponsor, which, in the sole opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of Sweepstakes, Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend Sweepstakes, and/or may conduct Sweepstakes and select the winner from among all entries received prior to the action taken. In the event Sponsor is prevented from continuing with the Sweepstakes by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence) Sponsor shall have the right to modify, suspend or terminate the Sweepstakes. Further, Sponsor reserves the right to cancel, suspend, or amend this Sweepstakes, and cancel or refuse any entry or any individual winning the Sweepstakes, for any reason, and in its sole discretion, and will use reasonable endeavors to notify material changes to participants and potential participants. In the event the Sweepstakes is terminated prior to the stated end date, Sponsor reserves the right, but has no obligation, to award the prizes.

Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In case of a dispute as to the owner of an entry, entry will be deemed to have been submitted by the authorized account holder of the screen name from which the entry is made. The authorized account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

​ ​ ​10.​ ​Release and Limitations of Liability By participating in the Sweepstakes, entrants agree to release and hold harmless the Sponsor, and each of their respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Sweepstakes, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the "Released Parties)" from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the prize (including any travel or activity related thereto), including, but not limited to: (a) any technical errors associated with the Sweepstakes, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Sweepstakes; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d)application downloads, (e) any other errors or problems in connection with the Sweepstakes, including, without limitation, errors that may occur in the administration of the Sweepstakes, the announcement of the winner, the cancellation or postponement of the event and/or the flyover, if applicable, the incorrect downloading of the application, the processing of entries application downloads or in any Sweepstakes-related materials; or (f) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from entrants participation in the Sweepstakes or acceptance, receipt or misuse of the prize (including any travel or activity related thereto). Sponsor is not responsible for and shall not be liable for late, lost, damaged, intercepted misdirected, or unsuccessful efforts to notify the potential winners, or if potential winner is a minor, for late, lost, misdirected, or unsuccessful efforts of potential winner to provide signed parental or guardian consent. If the potential winner cannot be contacted within five (5) days after the date of the first attempt to contact him/her, the Sponsor may select an alternate potential winner in his/her place at random from the remaining non-winning, eligible entries. When a potential winner is contacted, he/she will have 48 hours in which to respond to the notification, or he/she will be disqualified and an alternate potential winner may be selected. Sponsor will not be responsible if a potential winner changes his/her e-mail address or other

contact information after he/she enters the Sweepstakes, it is his/her sole responsibility to update his/her registration information notifying Sponsor. Failure to update such information may affect a potential winner’s ability to receive the proper notification and be able to respond in time. Entrant further agrees that in any cause of action, the Released Parties liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the entrant be entitled to receive attorney's fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

​ ​ ​11.​ ​Disputes ​ Any and all disputes, claims and causes of action arising out of, or connected with Sweepstakes, shall be resolved individually through arbitration, without resort to any form of class action or litigation in court. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering Sweepstakes, but in no event attorney's fees. The Sweepstakes and these Official Rules shall be construed and governed in accordance with the laws of the State of New York. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants, Sponsor, or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of New York, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws.

​ ​ ​12.​ ​Privacy Entrants agree that personal data submitted with an Entry, including name, and email address may be collected and used by Sponsor for the purpose of conducting and administering the Sweepstakes and to send you updates and promotional materials, including advertising, and is subject to Sponsor's privacy policy, ​https://www.codecademy.com/policy​. ​ ​ ​13.​ ​Publicity Except where prohibited or restricted by law, Sweepstakes Winner's acceptance of, and participation in, the Sweepstakes Prize, or any portion thereof, constitutes the Sweepstakes Winner’s permission and consent for Sponsor to use and/or publish Sweepstakes Winner's city and state of residence, photographs or other likenesses, pictures, portraits, video, voice, testimonials, biographical information (in whole or in part), address and/or statements made by

Sweepstakes Winner regarding the Sweepstakes or otherwise, without further compensation, irrevocably, worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising, publicity, trade and/or promotion on behalf of Sponsor and Administrator, in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, electronic, cable, or World Wide Web, without further limitation, restriction, compensation, notice, review, or approval. ​ ​ ​14.​ ​Winner List To request the name of the winner send a self-addressed, stamped envelope to Codecademy 575 Broadway, floor 5, New York, NY 10012.
