T

he tide may be turning for directors long-skeptical of the need for digital expertise in the boardroom. As cyber-security fears continue to mount, companies are realizing the need for dynamic cloud-computing, e-commerce and social media strategies. One of the most dramatic examples of technological opportunity outracing regulation occurred last December when Netflix CEO Reed Hastings announced monthly corporate viewership figures on his Twitter account. He was investigated by the SEC, and four months later the commission issued a rule allowing public companies to legally release disclosures via social media as long as investors were alerted. Meanwhile, many other boards are struggling to exploit today’s technology within the strictures of regulation, prudent governance and commercial viability. This is why Agenda has decided to use its fourth annual directory to identify qualified board candidates who understand how to govern what will be a future priority for boards — digital strategy. The candidates that comprise the Agenda Digital 50 understand the new technologies that are changing how businesses find, sell to and keep customers. More importantly, they’re capable of overseeing how managers execute the five most important information technology categories: social media, big data, mobile technology, cyber-security and e-commerce. Like our previous guides — the Diversity 100, the International 100, and the Compensation 100 — this book is meant to be a reference for nominating and governance committees. They should use it when searching for talented new director nominees. Unlike those guides, however, this one highlights just 50 individuals. Our governance experts decided that there just aren’t as many tech-savvy candidates who are truly board-ready – at least not yet. For instance, nearly three quarters of executives responding to a survey by consulting firm Capgemini said they’re under competitive pressure to undergo a digital transformation. Yet only 23% of executives said their managers had the skills needed for such a move. And even fewer board members possess that talent for oversight. continued

Introduction  (continued) Nor is every board ready to leap into the Twitter/Facebook Age. One highly digital public company director who spoke on the condition of anonymity said most boards still refuse to allocate a valuable seat to a digital or IT expert as most directors believe they wouldn’t be well-versed enough in accounting, finance, management or regulatory issues to warrant inclusion on the board. Indeed, according to a report by PwC, only 30% of directors said it is “very important” to add directors with tech or digital media expertise to their boards. Yet Capgemini found during its two-year study of 400 global firms that companies that fundamentally transform their businesses through technology, or, become “digitally mature,” generate 9% more revenues than their competitors and are 26% more profitable. That reveals an urgent need for boards to oversee such transformations including within boardrooms. Agenda selected 50 outstanding potential candidates with digital backgrounds by first creating an expert advisory committee. This 16-member panel included eight sitting board members, two IT consultants, three search firm recruiters, a tech company chairman, a governance executive from Calpers and the founder of a membership group for women board directors. [Please see the inside cover for all committee members’ names.] The selection group then wrestled with the benchmarks by which to judge good board candidates with digital savvy. The objective was to find individuals who could help companies monetize the new technologies and also protect companies in terms of security. The candidates needed direct experience on at least one transformative project where they had changed a company’s products or services with digital technology. It was also as important to find individuals with board governance potential or experience, as IT experience. So you’ll not only find former or current chief information and chief technology officers in the Digital 50, but also strategists, CEOs and board members. And the group is battle tested. In most cases, they’ve managed a business division with at least $200 million in sales and 100 employees. So we are presenting these digital candidates whether your board is hunting for them now or will be hunting for them in the future.

he advisory committee spent weeks determining standards by which to choose digital director nominees. The final criteria appear below. Candidates had to meet the first set of non-negotiable standards. The second set includes ideal, but not mandatory, qualifications. The candidates: • Cannot currently be serving on more than three boards • Must be qualified, willing and able to serve immediately on a Fortune 1000 board • Must have a broad understanding of today’s technology and its future direction and a deep understanding in one or more selected technology areas.

Ideal or negotiable qualities: • Broad-based business responsibility over at least $200 million in sales and 100 employees, in more than one discipline and in more than one managerial role • Actual experience in implementing social media, big data, or mobile technology across a business division or an entire enterprise • Actual experience in changing the products or services of a company using digital technologies • Experience in a job that involved setting digital strategy for a business • Public company experience combined with broad digital background • Multinational perspective, evidence of collaborative skill sets across a mix of business and technical divisions • Broad-based knowledge of digital trends gained through consulting, board work, or top-tier business roles in a digital/tech company (C-suite level) continued

Leadership Experience

Adkins is a computer engineer by trade and a technology expert who has served at IBM for more than 30 years. He is currently responsible for developing strategies and execution plans for new clients and new markets. During his time at IBM, he helped to develop the ThinkPad, one of the first laptops, and he was named to the company’s 45-member Worldwide Management Council in 1998.

Relevant Digital Experience Aside In 2002, Adkins was named one of the 50 Most Powerful Black Executives in America by Fortune magazine. He was inducted into the National Academy of Engineering in 2005, and in 2011, Black Enterprise magazine named him corporate executive of the year. He is an avid basketball fan and longtime supporter of his hometown team, the Miami Heat.

Thomas Anderson CEO Education Dynamics Hoboken, NJ

Leadership Experience

Anderson is the head of this private equity-backed, digital marketing company that matches and refers prospective students to its 1,600 client colleges via the Internet. A former McKinsey management consultant for nine years, Anderson has been a CEO at three previous firms, including Upromise and Integrity Interactive. He was also an SVP at Sallie Mae.

Relevant Digital Experience Aside Anderson is a board member of Farm Sanctuary, an organization that protects farm animals such as pigs, cows, goats, chickens, sheep and turkeys. The group has three animal sanctuaries in New York state and California.

At Sears, Balagna wears two hats. As CIO, he is responsible for all the technology in the retail giant’s stores, back offices and companywide. He also serves as the CEO of MetaScale, which is a consulting firm Sears founded to provide consulting and hosting services to outside companies in need of big data analytics. Balagna has held management roles for the past 15 years and previously served as the CIO at Eli Lilly & Co. He also served as CEO of TGI Fridays Restaurants.

Aside Balagna and his wife founded and endowed ELIMU four years ago after traveling to Kenya and visiting an orphanage for girls rescued from one of the largest slums in Nairobi. The ELIMU organization provides transportation, room and board, and counseling services to girls from high school through college. This year for the first time, two girls in the program are headed to college. “Elimu” means “education” in Swahili.

Leadership Experience

Aside Wiley Publishing this fall will release Blalock’s first book, Dare: Straight Talk on Confidence, Courage, and Career for Women in Charge. Blalock’s book explores the leadership styles and career advice of female executives at such companies as Home Depot, IBM and Cinnabon and describes Blalock’s rise to the role of chief information officer at Southern Company.

At Advisory Capital, Blalock provides strategic consulting to client companies involved in the businesses of energy, information technology and medical care. Previously, Blalock spent 33 years with Georgia Power and Southern Company before retiring in 2011. During the last nine years with Southern Company, Blalock served as the chief information officer, where she directed IT strategy and managed a team of 1,100 employees. She also chaired the company’s leadership action council, which gave high-potential employees development assignments.

Bonchek founded ORBIT, an educational and advisory firm, in 2012 based on his belief that success in the digital age requires a major shift in thinking. Aside Cassidy was born in Tanzania, Africa, to Indian parents who were both doctors. They moved to Canada, where she grew up near Niagara Falls.

Cassidy, who’s a Silicon Valley and media industry veteran of nearly 20 years, founded and operates a video-shopping website called Joyus. Her research finds that consumers buy 5.15 times more after watching product videos than merely by browsing text about products. Venture capital backers include Time Warner Investments. Cassidy previously was president of Google in the Asia-Pacific region and Latin America. In 1999, she co-founded Yodlee, whose banking software can display all of a customer’s financial accounts on one screen. She briefly worked for Amazon and British Sky Broadcasting in London.

Janice Durbin Chaffin Retired Group President Symantec Saratoga, CA

Leadership Experience

Chaffin retired from her position as group president at Internet security software company Symantec in March 2013 after spending five years in the post and 10 years at the company. While at Symantec, Chaffin led the company’s $2 billion consumer business unit, which includes the Norton antivirus and security software. Chaffin also served as Symantec’s very first chief marketing officer and worked on strategy, market research, customer experience and advertising while the company shifted its strategy and grew from $1 billion to $6 billion.

Aside Chaffin is an aficionado of water sports, including snow skiing, kite boarding, windsurfing and paddle boarding. She and her family have traveled to Aruba every year for the past 24 years to pursue warm-water sports.

Leadership Experience

Chandrasekaran is responsible for data platforms, services, and business intelligence and analytics at Walmart US, Sam’s Club and Walmart International. Previously she was a vice president and chief technology officer for North America at PepsiCo. While there, she developed technology strategies for North American businesses, such as Frito Lay, Pepsi Beverages, Quaker, Tropicana, Gatorade and Pepsi Bottling.

Chin has worked in strategy, marketing and digital commerce at such companies as AT&T, Citibank and IBM. She previously served as the chief marketing officer at Reuters America and as executive vice president for marketing and sales at MarketXT, an electronic trading network. Chin also has extensive experience in the nonprofit world, working with such organizations as The Committee for Economic Development and the White House Fellows Foundation, and she currently serves on the board of WPBT2, the South Florida PBS affiliate.

Aside Chin is a co-founder of “OnBoard Bootcamps,” a seminar course for potential directors who wish to join boards. Toby Coppel Partner Virgin Management London, England

Leadership Experience

Coppel is one of eight partners who operate the $21 billion Virgin Group of companies. The group, chaired by Richard Branson, includes a mobile phone provider and a space flight carrier. Coppel sits on the boards of four Virgin subsidiaries. He arrived in 2010 from Yahoo, where he had been managing director of operations in Europe and Canada and before that Yahoo’s chief strategy officer. Coppel started his career at Goldman Sachs as a financial analyst.

Aside Coppel co-founded Moon Valley Enterprises, a social enterprise that helps Palestinian agribusinesses in the West Bank and Gaza export produce profitably. The group helps them sell to retailers such as Marks & Spencer in the U.K. as well as restaurants in Western Europe and the United States.

Relevant Digital Experience yyAt Yahoo, Coppel completed $5 billion of acquisitions

and investments, including a $1 billion investment in Chinese e-commerce company Alibaba, now worth $20 billion. Also acquired search engine Inktomi, photo sharing site Flickr, and 20 other start-ups.

Aside Cunningham is an avid mountain climber and has reached the top of Mount Kenya, which is the secondhighest mountain in Africa after Kilimanjaro. He lives by the motto: “He who leaves nothing to chance will do few things ill, but he will do very few things,” which is a quote attributed to Marquis of Halifax Sir George Savile, a 17th century moderate English politician and writer.

Cunningham has been the CEO at Yodle, an online marketing company, since 2007. Aside D’Ambrosio and his family are music lovers, and D’Ambrosio was recently involved as a co-producer in the concert reading of the musical A Lasting Impression at Joe’s Pub in New York City.

D’Ambrosio was named chairman of the board of Sensus in August. Prior to Sensus, he served as the CEO and president of Sears Holdings from 2011 to 2013. Aside For the past seven years, Griffith and other executives from Zipcar have ridden and raised money in the annual PanMass Challenge bicycle event in Boston. The PanMass benefits the Jimmy Fund for cancer research.

Aside Halligan, along with her two daughters, is a green belt in Hapkido, and all three are committed to learning the sport until they achieve black belt status. Hapkido is a form of martial art primarily used for self-defense. Halligan and her daughters take two classes twice a week, which Halligan makes up when she travels. They are about two years away from reaching their goal.

Halligan has been working with companies to enhance their digital strategies since the mid-1990s. In 1998, she directed Williams-Sonoma’s launch of online sales. Aside Harris serves on the Health Information Technology Standards Advisory Committee, which reports to the National Coordinator for Health Information Technology. The NCHIT then answers to the secretary of Health and Human Services, which advises President Barack Obama on health policy.

As chief information officer and chairman at the Cleveland Clinic, Harris is responsible for the academic medical center’s strategy and operational information management plan. As CIO, Harris envisioned and led the development of a system for capturing and housing electronic medical records to allow physicians and nurses to access patient information in the hospital and for patients to access their medical information from home. Patients can use the online system to schedule appointments and renew prescriptions. The Cleveland Clinic is rated one of the top four hospitals in the country.
