The Seller shall not be bound by any terms or conditions whatsoever whether oral or otherwise except those set out herein and on the front hereof. No representative, agent or salesman has any authority to waive or vary any of these conditions. The prices shown overleaf may be increased at any time by the Seller by giving written advice to the Buyer, provided that such advice is received by the Buyer before delivery. If the Buyer considers any such increase in price, unreasonable he may, within 14 days of receipt of the Seller’s advice, cancel this order by giving written notice to the Seller, provided that he shall not have already accepted the goods. The Seller shall not be responsible for any failure to deliver the goods sold nor for any delay in such delivery by reason of any circumstances not within the control of the Seller and the Seller shall be at liberty by reason of such circumstances to withhold, suspend or reduce deliveries to such extent as the Seller in its discretion may think fit. All express or implied conditions and warranties, statutory or otherwise, as to quality or correspondence with description or sample or fitness for any purpose of the goods are hereby expressly excluded. All recommendations and advice given by the Seller or its servants or agents to the Buyer or agents to the Buyer or his servants or agents as to the mode of storing, handling, applying or using the goods are given without liability on the part of the Seller or its servants or agents, and no responsibility will be accepted by the Seller for any injury, loss or damage whatsoever arising directly or indirectly from their storage, handling application or use.

No claims for damage or shortages can be entertained unless written complaints are addressed both to carrier and Seller within seven days of delivery.

Save with the written agreement of Hygeia Chemicals Ltd., the company is unable to accept the return of any goods supplied pursuant to orders received by it. In the event of the Company accepting returned stock there will be re-stocking charge of 25% on invoice value.

The Seller shall not be responsible for any claims, demands, actions, causes of actions, suits, proceedings, costs, and expenses whatsoever for or arising out of or alleged infringement of patent trade mark or copyright on merchandise delivered by the Seller.

If the rate of exchange of the currency agreed upon in the purchase contract and that of the vendor’s or the purchaser’s country should alter, both parties are entitled to withdraw from the contract as far as outstanding deliveries are concerned and/ or insofar as an adjustment of the contract price corresponding to the variation in exchange rate is unacceptable to either party.

Quotations do not include V.A.T. unless otherwise stated.

RETENTION OF TITLE 11. a) The ownership of all goods shall remain in the Company until such time as all debts due to the Company from the Customer have been paid. Until such time as all such debts have been discharged in full the Customer shall: I.

10. In the event of war, fire, flood, strike, labour trouble, accident, mechanical breakdown of facilities, riot, acts of God, or contingencies beyond the reasonable control of the party affected, interfering with the production, supply, transportation or consumption to the goods covered by this contract, or with the supply of any raw material used in connection therewith, the quantity of goods provided for in this contract shall be reduced by the amount so affected without liability but the contract shall otherwise remain unchanged. Seller’s decision as to what quantities are affected shall be final and binding.
