HEALTH CANADA ADVANCE CONTRACT AWARD NOTICE TITLE: NewsLink Maintenance, Support and Hosting Fee for Health Canada SOLICITATION NUMBER: 1000152390 1. The purpose and explanation of an ACAN An Advance Contract Award Notice (ACAN) allows Health Canada contracting authorities to post a notice on Buy and Sell, for no less than fifteen (15) calendar days, indicating to the supplier community that a good, service or construction contract will be awarded to a preidentified contractor. If no other supplier submits, on or before the closing date, a Statement of Capabilities that meets the requirements set out in the ACAN, the contracting authority may then proceed with the award. However, should a Statement of Capabilities be found to meet the requirements set out in the ACAN, and then the contracting authority will proceed to a full tendering process. 2. Rights of suppliers Suppliers who believe that they are fully qualified and available to provide the services or goods described in this ACAN may submit a Statement of Capabilities clearly demonstrating how they meet the advertised requirement. This Statement of Capabilities must be provided via e-mail only to the contact person identified in Section 12 of the Notice on or before the closing date and time of the Notice. If there is a reasonable level of evidence regarding capability, the requirements will be opened to electronic or traditional bidding processes. 3. Proposed Contractor Densan Consulting Ltd. 611-250 City Centre Avenue Ottawa, On K1R 6K7 4. Definition of Requirements or Expected Results Health Canada owns a perpetual license for the Densan NewsLink product that powers its NewsLink site. Densan Consultants Ltd. Provides technical support, system maintenance, site hosting on Densan servers, an on-going enhancements to NewsLink. Densan Consultants Ltd also provides to Health Canada any new feature they develop, at no extra charge, as part of their maintenance services. The Densan’s NewsLink Maintenance and Support Program includes the following: - Free software upgrades during the maintenance period - Unlimited telephone support for technical assistance and problem resolution

-Participation in the NewsLink User Group Its’ Hosting Services include: - Provision of equipment and staff resources to host the Health Canada media monitoring application; - All processing of feeds, searching and web page storage to occur on its servers 5. Minimum requirements Any interested supplier must demonstrate by way of a Statement of Capabilities that it meets the following minimum requirements: -Unlimited on-site and telephone support for all NewsLink Software Programs to the designated contact(s); -Web page redesign, custom features and server migration (up to 15 days); -Free upgrades to all new versions of the NewsLink Software Programs that have been purchased; -Free problem resolution modifications (bug fixes) to the NewsLink software modules; -Free participation in all NewsLink User Group activities for the designated contact(s); and -External Site Hosting - maintenance and support. The contractor will provide to Health Canada, for the duration of this Agreement, between 7:30 am and 5:30 pm., Monday to Friday, excluding holidays, all services outlined above. 6. Reason for non-competitive award Densan Consulting Ltd. is the only firm capable of performing the contract due to Copyright requirements as Health Canada owns a perpetual license for the Densan NewsLink software that powers Health Canada’s Newslink site. 7. Applicable trade agreements and justification for limited tendering or the Procurement Strategy for Aboriginal Business Not Applicable 8. Ownership of Intellectual Property All Intellectual Property shall reside with the Contractor. 9. Period of the proposed contract The contract period shall be from date of contract award until September 30th, 2014. Health Canada reserves the right to extend the duration of this Agreement up to five (5) additional oneyear options ending on or before September 30th, 2019.

10. Estimated value of the proposed contract The total estimated value of the proposed contract should not exceed $72,000.00, plus applicable taxes, including all option years. 11.
