MEMBERSHIP BENEFITS 1. This package includes (i). Club Membership (ii) Fitness centers (iii) access to entertainment (iv) Holidays, events and amusement facilities. 2. Membership is valid for Life time and the same is renewable on payment of Annual Maintenance Charges (AMC) and any other dues payable to the Company without any default. Children under 25 years age will be dependent members. 3. As of 2015 We have over 50 own/leased Country Clubs' and Country Club Fitness in India at - Ahmedabad (2), Bangalore (7), Chandigarh, Chennai (4), Cochin, Coimbathore, Delhi NCR (3), Amritsar, Vizag, Hyderabad (2), Hubli, Indore (2), Jaipur (2), Kolkata (2), Lucknow, Mangalore, Mysore, Mumbai (7), Nagpur, Pune (4), Surat. Purchase Price: Club Membership fee is specific as per individual cities.

(b) CCHHL provides an option to instantly convert the payment towards product price into an EMI option to the member at applicable rates for selected Banks as per the terms and conditions of the Bank. The charges applicable on EMI are to be paid by the member directly to the Bank. This fee will reflect on the Bank charge slip. The member has to choose the EMI option while making the payment to CCHHL and CCHHL will not responsible for any dispute raised on a later stage once the charge slip is signed by the member. Further, the member has to be aware of his own finances and credit limits, CCHHL cannot be held responsible for the interest/fees/charges levied by the member's bank for exceeding his credit limit. PARTICULARS OF THE CLUB MEMBERSHIP 4. The membership is issued by the club located within India only specified under “Particulars of the Club Membership” above. 5. Membership is marketed and sold with respect to locations in which CCHHL has clubs presently and not locations in which clubs may be proposed to be set up later. Commitments made by CCHHL personnel regarding proposed locations will not be binding on CCHHL. Membership can be transferred to another club within the CCHHL owned properties network. In case the membership fee in the location to which transfer is sought is higher than location in which membership was taken, the difference in membership fee is to be paid to CCHHL to facilitate the transfer. Transfer fee is as applicable in the event the Member transfers his membership to CCHHL owned properties only. 6. The membership is for the period specified and is transferable only once to a specified member of the family or any person of member’s choice by paying the applicable transfer fees, which may be amended periodically without prior notice/intimation. 7. It is understood that the CC Fitness Center is complimentary. CC Fitness is set up for the convenience of the Members, however, CCHHL reserves the right to shift/remove and/or make any other arrangement of its location or combine 2 or more locations, without any prior notice, if the minimum number of members are not met or for any other valid reason.

TERMS & CONDITIONS 8. The Second Party understand that THE MEMBERSHIP FEES IS NON-REFUNDABLE UNDER ANY CIRCUMSTANCES and that THE MEMBERSHIP FEE IS NOT A DEPOSIT. 9. The membership fees mentioned should be paid via Cheque/DD/PO/Credit Card/Debit card favoring “Country Club Hospitality & Holidays Ltd., .”, payable locally and should be submitted alongwith this Agreement. CASH REMITTANCE, if any, should be made ONLY TO CCHHL’s ACCOUNTS DEPARTMENT at CCHHL office and spot ONLINE receipt should be obtained. The company will not be held responsible for cash payments made or alleged to be made to Company’s sales personnel, or any employees or Marketing Associates against receipts on letter head, stamp paper etc. CCHHL strongly recommends that the Member checks the status of their payments made online with the username and password provided on their online receipt. 10. Transferring your membership can be done through your personal contacts. CCHHL does not engage in resale of memberships. 11. The Membership card will be issued to the Second Party, his or her spouse and children (upto the age of 25 years only supported by proof of age) subject to providing copy of ID proof, address proof, two photographs and compliance of the KYC norms of the whole family. 12. The Second Party understands, even in absence of the membership card that he/ she can access the club premises with the ONLINE receipt (obtained as per clause 11) for three months or till the time the member receives his membership card. 13. In the event the Second Party chooses to benefit from ‘Cash out’ price then he is liable to pay the entire amount within 30 days of initial payment. In the event the Second Party does not make the payment within 30 days of the initial payment, then the First Party will revoke the benefit of the ‘Cash out’ price and will collect the full product price from the Second Party. 14. The Second Party understands that he / she will have to pay Taxes and other levies as levied by the government i.e., Luxury tax/ Service tax and additional taxes as may be applicable from time to time. 15. Outside food/beverages are strictly not allowed in the clubs/resorts. Charges for consumables such as food, beverages and other facilities availed by the members and guests will be determined by the management from time to time and should be cleared on a day to day basis. No credit facilities will be extended to the member. 16. In an event that the Second Party makes any payment to the First Party under any agreement payment made by the Second Party will be first adjusted towards club membership amount and then any other outstanding liability.

COVENANTS OF MEMBERSHIP 17. The Second Party hereby agrees to become member of CCHHL and CCHHL accepts the same, subject to the terms and conditions of this Agreement.

18. Second Party has understood the benefits available under the membership which are more particularly listed out in this Membership Purchase Agreement. Second Party further understands that no benefits other than those listed in this Membership Purchase Agreement will be available to Second Party under this membership. 19. The Second Party understands that he / she are bound by the Rules & Regulations and ByeLaws of CCHHL in force and as duly amended from time to time. The decision of the management of CCHHL would be final in all matters relating to admission of members and in the matters concerning the members’ activities. Apart from these Terms & Conditions as mentioned above, all other statutes as applicable shall be binding on the members. Any amendment or enactment of a legislation resulting in additional obligations on First Party or changing the nature of any activity undertaken by First Party to the detriment of the First Party then the provisions in this agreement to the extent of the additional obligations are imposed on the First Party and the provisions in this agreement to the extent the law applicable is changing the nature of the activity undertaken by the First Party would be considered as extinguished before the amendment or enactment of the legislation coming into force and the Company would not be held responsible for consequences of such changes. The Second Party can obtain a copy of the Bye laws of CCHHL by making written application to Admin Manager, Admin Dept, 6-3-1219, Begumpet, Hyderabad – 500 016. 20.

No pets are allowed in any of the CCHHL own/affiliated/associated premises’.

21. It is understood by the Second Party hereto that only after submission of all the necessary documents and satisfactory verification of the same thereafter by First Party, membership cards will be issued to the Primary applicant to the address provided in this Agreement. On confirmation of a membership with First Party, the member consents to First Party regularly reaching out on phone/ mail /email/sms, updates on new schemes & other member value additions even if the party is in the TRIA regulated DND. The Second Party understands that he / she should furnish their change of address; telephone numbers etc., if any to Customer Care Dept., to keep Second Party’s record up to date. 22. Second Party understands that this Agreement (in the printed form ONLY) SUPERCEDES any communication whether written or oral or any variation or hand written remarks rewriting on the printed Agreement made by the Agents and/or representatives of CCHHL or Second Party to this Agreement and/or any other written communication issued by CCHHL representatives (including on Company Letter Head or STAMP PAPER). Further, Second Party understands that the benefits and terms of membership as set out in this Agreement are final and binding on CCHHL, and Second Party. 23. Second Party hereby declares that particulars given above are true, correct and are completely in order. If any transaction is delayed or not affected at all for the reason of incomplete or incorrect information, Second Party shall not hold the First Party responsible for any loss/damage/inconvenience caused due to the same. The Second Party shall, within 30 days from shifting to any other residence apart from the address mentioned in this application, shall intimate the same to CCHHL at the address mentioned in this application regarding the new address along with address proof. In the event the intimation of change of address is not given to CCHHL, any communication either by CCHHL or through their lawyers is deemed to be served on the address mentioned in this application. 24. Second Party acknowledges and confirms that all the Terms and Conditions, Rules & Regulations, Bye-Laws of the First Party, shall be fully and completely binding on Second Party on

signing the Agreement by Second Party and that any further amendments to the same shall also be binding on Second Party. 25. Second Party confirms that Second Party shall not use the offers, if any, or the facilities offered pursuant to the offer, if any, for any improper or illegal or unlawful purposes/activities or adopt or alter the same for any improper or illegal or unlawful gain. 26. Second Party acknowledges that Second Party has been treated pleasantly and courteously and Second Party entered into this Agreement at his/her free will and accord and there is no compulsion or coercion or undue influence exercised by CCHHL and/or its agents/ representatives. 27. Second Party here by confirms that the Second Party has thoroughly gone through the aforesaid Terms & Conditions and Membership Benefits/Obligations and Second Party has understood and accepted the same. JURIDICTION: 28. It is agreed between the Parties herein that in the event of any dispute, claim or differences arising under this Agreement, the Second Party shall contact the Central Customer care team of CCHHL at [email protected] or at (040) 44331360. In the event the Second Party reaches no resolution, then the Second party shall discuss the issue with the resolution cell of the First Party. Thereafter, if the parties fail to reach any resolution even after discussions with the officers from the resolution cell, the Second party may then adjudicate the dispute by way of sole arbitration alone as per the provision contained under The Arbitration and Conciliation Act 1996 and amendment thereto. The sole arbitrator shall be nominated by the First Party and /or the authorized person of the First Party alone. The seat of arbitration shall be at Hyderabad alone. 29. "All disputes arising out of relation to the present agreement including for arbitration proceedings shall be subject to exclusive and sole jurisdiction of the court ( The Definition of the Courts includes the District/ State/ National Consumer forums also ) situated at Hyderabad alone and nowhere else since the agreement is entered between the parties into Hyderabad for all material purpose and by virtue of present agreement the jurisdiction of all courts is excluded by the parties except for court situated at Hyderabad alone. The Second Party is hereby unconditionally and irrevocably agreed the place of jurisdiction for adopting any kind of Legal recourse will be at Hyderabad".
