SECTION I REQUEST FOR PROPOSAL Introduction The Trustees of Indiana University (the “University”) are requesting sealed proposals from qualified firms, agencies, institutions, or consortiums of these entities interested in financing, designing, building and/or owning, or developing a center to expand health science and medical education, clinical/translational research and workforce strategies resulting in training and retaining healthcare professionals in the Evansville, Indiana area. The anticipated schedule for consideration of proposals, the anticipated selection date, and the negotiation and approval of operative agreements, as well as projected construction start and occupancy dates, are set forth on the cover page of this Request for Proposal. Proposals are to be addressed and delivered to John Lewis, Associate Vice President for Capital Planning and Real Estate, Indiana University, not later than 2:00 P.M., E.D.T. January 31, 2014. Further instructions to proposers are set forth in Section V of this Request for Proposal. Background and Goals The Indiana University School of Medicine (Medical Education and Research), University of Southern Indiana (Occupational Therapy, Health Informatics, University of Evansville (Physical Therapy and Physicians’ Assistant Program), and Ivy Tech Community College of Indiana (Health Sciences and Nursing) seek to co-locate health profession education delivery in the Evansville region. Each University is committed to creating learning environments which promote academic excellence, foster personal development, and enhance the University experience for diverse student populations. Total new space required for these instructional and research activities will be approximately 170,000 gross square feet to be located in one facility or complex of facilities in the greater Evansville area. Space requirements for each program are outlined in Appendix A. Executive Summary The University intends to select and engage an experienced firm, agency, institution or consortium of these entities (herein referred to as “Developer”) to potentially own/lease, finance, design, build a health education facility or complex having at least one hundred and seventy thousand (170,000) gross square feet (together, hereafter referred to as the “Project”) on a site (“Project Site”) in the Greater Evansville Region in the State of Indiana. The Project Site can be determined and proposed by the Developer. The University will consider varied ownership, financing, and site proposals pursuant to the project. The financial terms, ownership, and length of the ground leases and master leases are to be proposed. The University will retain all naming rights to the development.

The University is proposing that the Development be complete and ready for occupancy July 1, 2017, pending all funding and requisite State approvals are secured. The University is interested in creative proposals for the development of the Project that combine factors such as attractiveness, developmentally appropriate collegiate health instruction space, competitive financing terms, and necessary infrastructure. Proposals should take account of the programmatic requirements described in Section II, but proposers are at liberty and encouraged to expand upon the specifications to evidence service capability under any agreement. Special consideration shall be given to proposals that provide benefits to the University and the Evansville community beyond those inherent in the Project. Strategic Collaboration Indiana University will serve as the strategic planning partner and indicates a willingness to continue strategic collaboration in a responsible manner. As such, the University will provide administrative and organizational support to assist the Parties in the planning. Planning efforts will include arranging meetings among the Parties to further identify and detail common goals and objectives, identifying and providing assistance in promoting strategic relationships with stakeholders including hospitals, other healthcare providers and educational entities with shared goals relating to the Project. The Project will facilitate locating at the Center the academic programs listed in the Inventory attached hereto and incorporated herein by reference as Appendix A. Collaboration opportunities for the Center may include but are not limited to the following: • • •

meeting the long-term health science education/medical education/healthcare needs of the region; exposing soon-to-be health care professionals to collaborative care prior to graduating; building a "culture of collaboration" in which faculty from schools of medicine, nursing, social work, public health, arts & sciences and other disciplines jointly assume responsibility for the creation of the learning environment; providing outreach to the community as part of the mission; catalyzing innovation, insight and entrepreneurship; launching new industries and adding value to existing industries, creating new highpaying jobs in healthcare, higher education, and related industries; and locating the Center in a location that is conducive to student learning and research and provides new and/or existing facilities to promote educational and research collaboration.

SECTION II SPECIFICATIONS AND SCOPE OF WORK Project Summary Health Education Complex The Building(s) will have approximately one-hundred and seventy thousand (170,000) gross square feet of academic, instructional, research, and administrative office space with a space efficiency of no less than 65% of assignable to gross square feet ratio. The design will provide a mix of enclosed offices and open office areas, conference rooms, classrooms, laboratories, and other instructional space. Parking needs for the occupants and users of this building(s) should be addressed in the proposal. An initial space program is provided in Appendix A. Opportunity for Phased Growth Developers should consider opportunities for future phased growth in proposing site locations for the project. Until such time, proposers are not required to specifically address design details of this additional building space in their proposals. Site and Conceptual Design Criteria Each proposer should propose and present a site and conceptual design for the Project. Specific site location and proposed ownership structure for the site should be presented. The conceptual designs should include overall conceptual site plans showing building placement, parking, sidewalks, courtyards, grading, and accessibility and proposed building design with floor plans, elevations, construction materials, colors, etc. Specific information regarding necessary site utilities and infrastructure and related financing of these elements should be detailed. The conceptual designs should note the following related requirements: 1.

All architectural and engineering design will be subject to the approval of Indiana University, its University Architect, and the Indiana University Board of Trustees.

2.

The Project must be designed to meet all federal, state, and city applicable laws and codes.

3.

In considering new buildings, their height and massing should be carefully assessed to ensure a reasonable and amenable visual presence from surrounding streets.

4.

Attention should be given to landscaping and screening.

5.

The conceptual designs should show entrances and exterior public features and amenities.

6.

The Project shall incorporate elements of energy efficient, sustainable, healthy, and environmentally responsible design.

7.

The conceptual design for the Project shall include on-site parking sufficient for handicap, visitor and service spaces.

8.

Safety and security are essential in the overall design. Security systems should reflect the latest mechanisms for student safety to include, but not limited to, video surveillance and building/room locking devices. Accessibility issues must be addressed to satisfy requirements of the Americans with Disabilities Act.

9.

The Project should achieve a minimum of a LEED Silver rating or higher to reflect Indiana University goals in sustainable design.

Financing Plan Developers should provide details of specific financing sources and mechanisms for the Project. Proposed funding sources as amounts and percentages should be specifically identified and timing of the acquisition of funds detailed. Developers should detail project ownership details. In cases where ownership will be retained by non-University entities, Developer will have the right to obtain financing for no more than the cost of the Project improvements. All financing encumbering the Project improvements will have an initial term not exceeding thirty (30) years, and any subsequent financing shall not have a term exceeding the remaining term of the ground lease(s). All financing and refinancing will be subject to University approval. In any lease arrangement, neither the University’s fee interest in the Project Sites nor the University’s interest as ground lessor will be subordinated to any financing or other lien or encumbrance which the Developer may obtain or place against the Project in connection with development and ownership of the Project. However, subject to the terms of the agreement between University and Developer, the Developer will have the right to collaterally assign its interest as lessee under the leases and lessor under the master leases as security to a recognized lending institution that advances funds for the development of the Project, subject to the approval of the University and provided that the lender enters into appropriate non-disturbance agreements with the University. Except for such collateral assignments, Developer shall not assign its interests under the ground leases or master leases, or sublet the Project Sites other than to the University, without the consent of the Trustees of Indiana University, which consent may be granted or withheld in the Trustees’ sole discretion. Proposers should provide: 1.

A detailed description of the anticipated method of financing before, during and after construction, including any investors or lenders that can be identified at the time of the proposal.

2.

An itemized list of all estimated up-front and on-going fees and charges to the University (including design, architectural, engineering, and other related planning fees prior to construction), in addition to assumptions about the financing term, amount, and interest rates. A total estimated project cost must be provided in 2017 funds.

3.

A pro forma cash flow of revenues and expenses for a five-year period. Include financing costs and debt service in the cash flow projections. Include assumptions for rental rates,

and projected timing and magnitude of rental increases along with an appropriate vacancy factor. 4.

A breakdown of routine operating and maintenance expenses.

5.

An estimate of major maintenance expenses over the life of the Project and description of how they will be funded via a maintenance reserve or other mechanism.

Performance Surety The Developer will be required to provide surety to insure the complete construction of the Project. Such surety may be in the form of payment and performance guarantees; a letter of credit or performance and payment bonds. Such surety shall cover the faithful performance of the entire Project and the payment of all obligations arising thereunder, in such form as the University may prescribe and with approved guarantors or sureties. The required guaranties, letter(s) of credit or bond(s) shall be delivered to the University not later than execution of the ground leases for the Project Site(s). Lease Terms Each proposal should specify the proposed length of all lease(s) and master lease(s); proposed rents to be paid, if any. The proposal should state the conditions under which the University would have the right, at any time, to acquire the Developer's leasehold or other interest in the property. In addition, if the proposer desires to manage the building, it should specify any applicable standards or terms. The University and Developer will negotiate appropriate agreements for the ground lease, design, development, construction, furnishing and equipping, and/or lease back to the University, of the Project. Terms of the agreement(s) shall include, but shall not be limited to the following: 1.

The Project Sites, location, present conditions, and applicable governmental regulations including applicable federal and state environmental regulations shall be submitted at the time of proposal.

2.

The Project must be available for occupancy by the University no later than July 1, 2017.

3.

Architectural design, plans, and specifications shall be subject to University approval in addition to any other reviews required by applicable law.

4.

Any utilities required to be brought to the Project Site shall be at the sole cost and expense of the Developer. Buildings should be wired to University specifications to permit wireless network capability.

5.

The University will expect the Developer’s lender to engage the services of an Architectural/Engineering (“A/E”) firm to monitor and report in writing weekly on the progress and quality of construction to the Developer’s lender and to the University. The University shall not be responsible for any cost for these services. This will not relieve

the Developer or its general contractor of the professional responsibilities of an A/E on a construction project. 6.

Without limiting any liabilities or any other obligations of the Developer, Developer shall be required to provide and maintain at least the minimum insurance coverage specified by the University, with forms and insurers acceptable to the University, throughout the term of any agreement or lease between the University and the Developer.

7.

The Developer will defend, indemnify, and hold harmless the University and The Trustees of Indiana University and the officers, employees and agents of the University from and against any and all liability, claims, liens, judgments, expenses, and costs which result from, or in any way arise out of, or in connection with Developer's ownership, operation, development, or construction of the Project improvements.

8.

In addition to any implied warranties, the Developer will be required to warrant that the Project conforms to the specifications, drawings, and descriptions approved by the University.

9.

No right or interest in the agreement(s) shall be assigned, or any obligation delegated, by the Developer without the written permission of the University. Any attempted assignment or delegation by the Developer shall be wholly void and totally ineffective for all purposes unless made in conformity with this paragraph.

10.

The Developer shall operate as an equal opportunity employer and shall not discriminate against any employee or applicant for employment because of race, color, religion, age, sex, sexual orientation or national origin, or because he or she has a physical or mental disability or because he or she is a disabled veteran or a veteran of any conflict, including, without limitation, with respect to employment, upgrading, demotion or transfer, recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of compensation, and selection for training including apprenticeship. Developer shall conform to all state and federal laws, executive orders and rules and regulations relating thereto.

11.

The University may by written notice, stating the extent and effective date, terminate the Project for convenience in whole or in part, at any time. University shall pay the Developer as full compensation for performance until such termination: (1) the unit or pro rata cost for the delivered and accepted portion; and (2) a reasonable amount, not otherwise recoverable from other sources by the Developer as approved by the University, with respect to the undelivered or unacceptable portion of this project, provided compensation hereunder shall in no event exceed the total project cost.

12.

All Developer books, accounts, reports, files and other records relating to the agreement(s) shall be subject at all reasonable times to inspection and audit by The Trustees of Indiana University, or their agents for five (5) years after completion of the agreement. Such records shall be produced at University, or such other location as designated by University, upon reasonable notice to the Developer.

13.

Developer shall not use the University or any of its names or trademarks in any Developer advertising, without prior authorization.

14.

The Developer shall comply with and require all of its contractors, subcontractors, agents and employees to comply with all the provisions of applicable state sales excise tax law and compensation use tax law and all amendments to same. The Developer further agrees to indemnify and save harmless the University, of and from any and all claims and demands made against it by virtue of the failure of the Developer or any of its contractors, subcontractors, agents and employees to comply with the provisions of any or all said laws and amendments.

15.

Employees of the Developer assigned to the Project and identified by name in the proposal shall remain dedicated to the Project. Personnel changes shall be permitted only with prior notification and approval of the University.

16.

The University and the Developer shall agree that in the event that the Developer fails to perform under this Agreement, the University will be damaged. The extent of the damage will be very difficult to calculate, and the Developer shall agree to pay the University liquidated damages if the agreed upon construction and occupant move-in dates are not met.

17.

The agreement(s) will contain such other terms and conditions as are mutually agreed upon by the University and the Developer.

SECTION III DEVELOPER QUALIFICATIONS 1.

Experience. Proposers must provide evidence of a minimum of ten (10) years of experience in collegiate or health care design, development, construction, and management. A Developer may be a consortium among two or more entities having such experience. Evidence should include a description of the experience of the firm or consortium of firms making the proposal and the key principals involved in the proposed project, including experience with projects of comparable size and complexity; a description of the length of time in business, business experience, public sector experience, and other engagements of the firm or consortium of firms.

2.

Company and Team Information. Proposers must identify (i) the legal structure of the firm or consortium of firms making the proposal (i.e. corporation, partnership, joint venture or limited liability company); (ii) the proposer’s management approach, and how each principal (i.e. major shareholder, member, or partner) and major subcontractor in the structure fit into the overall team; and (iii) the names, addresses, and telephone numbers of persons who may be contacted for further information. The response should include resumes of the key individuals who will be involved in the Project. Proposers should also identify any firms that will provide design, construction and completion guarantees and warranties, and a description of such guarantees and warranties.

3.

MBE/WBE Participation. Indiana University is committed to diversity in procurement. Developers must outline plans for MBE and WBE participation for the project.

4.

References. Proposers must provide at least three (3) references with respect to development capability and experience and telephone number of the contact for each of these, together with written authorization permitting the University to solicit further information.

5.

Financial Strength. Proposers must submit information regarding their financial capability to successfully pursue, complete and, to the extent applicable, manage the Project on a timely basis. The proposer should provide: (a) Evidence of the proposer’s financial condition, including a copy of a current or most recently audited financial statement of the firm or each of the firms part of a consortium and each majority owner thereof, as well as their most recent report for the current calendar or fiscal year; (b) Financial and banking references and telephone number of the contact for each of these, together with written authorization permitting the University to solicit further information. (c) A description of any monetary claims made against any proposer or member of a consortium of firms by any college or university.

6.

Additional Value and Resources. Proposers should provide a description of any additional resources, skills, services or plans the proposer possesses and which are not addressed as a specific part of this Request for Proposals that would be available as part of an agreement with the successful proposer.

SECTION IV EVALUATION CRITERIA The University will evaluate proposals on criteria including, but not limited to, the following, and provided that the University reserves and retains the right to utilize other criteria the University deems appropriate and to reject any request or proposal at any time for any reason whatsoever.

1.

Experience and Qualifications, such as: (a) Experience with similar projects; (b) Demonstration of ability to perform work;

(c) Leadership structure; (d) Management approach; (e) Financial condition; and (f) The general reputation of the Developer.

2.

Responsiveness to the Specifications/Scope of Work and Attractiveness of Conceptual Design, such as: (a) Proposed site and design; the extent to which the site location and conceptual design addresses the University’s goals and satisfies the programmatic requirements; (b) Proposed project schedule; (c) Conformity to laws, regulations, and standards; and (d) Willingness to accept the basic agreement terms set forth in this Request for Proposal.

1.

Competitiveness of financial and other terms for site ownership and/or leases and, as to the Project, if applicable, the Proposer’s experience developing and/or managing buildings of similar size and scope.

2.

Financial strength and capability, such as: (a) Developer’s financial ability to perform and invest equity; (b) Adequacy and method of financing; (c) Estimated cost, including all related planning cost; (d) Life-cycle cost analysis; and (e) Nature, timing and provider of third-party financing.

3.

The terms for the University for site acquisition under the master leases or other mechanisms.

4.

Collaborative chemistry between the University and the Developer.

5.

Additional value and resources that may be provided by the Developer or the Project, such as: (a) Benefits to the greater Evansville community; (b) Compatibility with local, regional and State economic development efforts; (c) Projected positive social, economic and environmental impacts; and (d) Other benefits to the University.

SECTION V INSTRUCTIONS TO DEVELOPERS 1.

2.

No telephone, electronic or facsimile proposals (except copies as hereafter provided) will be considered. Proposals received after 2:00 PM E.D.T. on January 31, 2014 will not be considered and will be returned to the proposer unopened.

3.

Ten (10) identical copies of the proposal, on letter-size (8-1/2” x 11”) paper and assembled with spiral or metal ring bindings, should be submitted, together with one electronic copy on a flash drive or compact disk.

4.

Proposals may be withdrawn at any time prior to 2:00 PM E.D.T. on January 31, 2014.

5.

No department, school, or office at the University has the authority to solicit or receive official proposals other than the Office of the Associate Vice President for Capital Planning and Facilities. All solicitation is performed under the direct supervision of the Associate Vice President for Capital Planning and Facilities and in complete accordance with University policies and procedures.

6.

The University reserves the right to issue supplemental requests for proposals to and conduct discussions with, some, but not all, proposers, and to accept revisions of proposals, and to negotiate all terms including rents. All submissions are presumed to be subject to the Indiana Access to Public Records Law.

7.

The University will conduct a Pre-Proposal Conference on December 19, 2013 in Evansville, IN. All parties interested in submitting a proposal should attend the conference to clarify information related to this RFP. All answers to questions during the session will be forwarded in writing to all attendees. Any requests for clarification issued outside of this date must be submitted in writing to the Associate Vice President for Capital Planning and Facilities.

8.

Parties submitting proposals which meet the selection criteria and which are deemed to be the most advantageous to the University may be requested to give an oral presentation to a selection committee.

9.

The award shall be made to the proposer whose proposal is determined to be the most advantageous to the University based on the evaluation factors set forth in this Request for Proposal.

10.

Proposals must fully respond to the Request for Proposals, though, in addition, alternative responses may be considered. All proposals must be signed by an individual authorized to extend a formal proposal. Proposals that are not signed may be rejected.

11.

The University reserves the right to reject any or all proposals or any part thereof, or to accept any proposal, or any part thereof, or to withhold the award and to waive or decline to waive irregularities in any proposal when it determines that it is in its best interest to do so. The University also reserves the right to hold all proposals for a period of ninety (90) days after January, 31, 2014 and the right to accept a proposal not withdrawn before January 31, 2014.

12.

The successful Developer is expected to enter into a master development agreement, ground leases of the Project Sites, master leases of the completed Projects and any other agreements with the University necessary to effectuate the development and operation of the Project within sixty (60) days after the proposal is accepted, with all such documents in forms approved by The Trustees of Indiana University. Such documents shall incorporate any contract terms included in this Request for Proposal. Proposals that are contingent upon any changes to these contract terms may be deemed non-responsive and may be rejected.

14.

Any person, firm, corporation or association submitting a proposal shall be deemed to have read and understood all the terms, conditions and requirements in this Request for Proposal.

15.

All responses and accompanying documentation will become the property of the University at the time the proposals are opened.

16.

All inquiries or requests for significant or material clarification or interpretation, or notification to the University of errors or omissions relating to this Request for Proposal must be directed, in writing or by facsimile or e-mail, to:

The University makes no warranty of any kind as to the correctness of any oral answers and uses this process solely to provide minor clarifications rapidly. Oral statements or instructions shall not constitute an amendment to this Request for Proposal. Developers shall not rely on any oral responses from the University. Formal questions about any part of this Request for Proposal, which could result in a material issue or a formal amendment to this Request for Proposal should be submitted on a Developer Inquiry Form in the form which follows in this Request for Proposal. All formal inquiries must be submitted at least seven (7) calendar days before 2:00 PM E.D.T. on January 31, 2014, or subsequent deadline. Failure to submit inquiries by this deadline may result in the inquiry not being answered. The University reserves the right to decline to respond to any inquiry. Written responses will be available to all proposers. 17.

The University shall not reimburse any proposer for the cost of responding to this Request for Proposal or for other costs or expenses of any nature.

18.

This Request for Proposal is neither a contract nor an offer to enter into a contract. University reserves the right to change, amend or withdraw this Request for Proposal at any time. It is the responsibility of a proposer to inquire of the University whether any changes, amendments or modifications to this Request for Proposal have occurred prior to submitting a response. The University shall incur no liability of any nature whatsoever for a proposer's reliance on information contained herein or attached hereto. All such information shall be independently verified or confirmed by a proposer at the proposer’s sole risk and cost.

19.

The University reserves the right to terminate negotiations with the selected Developer if the University determines that it is not in the University's best interest to continue negotiations.

20.

The Project is subject to review by the Indiana Commission for Higher Education and to the University obtaining all approvals required under applicable laws and regulations, including, without limitation, the Trustees of Indiana University, the Governor and the State Budget Agency.

21.

Insurance Requirement Minimums:

INDIANA UNIVERSITY MINIMUM INSURANCE REQUIREMENTS FOR CONSTRUCTION, NON-CONSTRUCTION AND PROFESSIONAL DESIGN CONTRACTS Obligations of Contractors and Consultants Contractors and Consultants (whether corporation, sole proprietorship or partnership) shall procure and maintain during the term of the contract and until final acceptance of the completed work under the contract, insurance of the types of coverages and minimum limits as identified here and shall provide the Owner with Certificate(s) of Insurance evidencing these coverages prior to beginning work. With the exception of their “hold harmless” obligations, which are addressed separately below, Contractors and Consultants shall be referred to herein as "Contractor," irrespective of their area of expertise. •

It is the responsibility of the Contractor and Subcontractors to become familiar with Owner’s insurance requirements and to ensure that they can meet these requirements prior to submitting a bid to perform the work. Please provide this exhibit to your insurance agent so the correct certificate can be issued without delay.



No Contractor or Subcontractor of any tier shall be on the jobsite or proceed with work, and shall not be paid for any work performed, until proper certificate(s) of insurance have been submitted to and approved by the Owner. All required insurance policies shall be written by a company(s) authorized to do business in Indiana. The Owner shall not be liable to any person for the failure of the Contractor or any Subcontractor to carry specified insurance.



It is the responsibility of all Contractors to ensure that all of its Subcontractors also meet these insurance requirements.



If any part of any coverage includes a deductible, self insurance, a captive insurance company or a fronting arrangement, the amount so covered must be disclosed on the certificate or in a separate letter from the Contractor. Owner reserves the right to approve of this coverage.

Insurance Requirements 1. 2. Automobile Liability • The box(es) that is/are checked must include a check in the box for Any Auto or All Owned, Hired and Non-Owned Autos • Combined Single Limit coverage: $1 million • If separate Bodily Injury and Property Damage limits are purchased, each must be $1 million 3. Excess/Umbrella • Excess coverage per se is not required. However, any of the dollar amount requirements can be met by a combination of primary and excess coverage. • Excess/umbrella coverage must be per occurrence coverage. 4. Professional Liability Any type of design or consulting contract requires Professional Liability coverage of at least $1 million. Owner reserves the right to require increased limits of coverage if, in the opinion of the Owner, project is hazardous in nature or poses a higher than usual risk. 5. Worker’s Compensation The Contractor shall procure and maintain a Workers’ Compensation policy to cover its obligation under the applicable laws of any state or federal government to its employees employed on the jobsite or elsewhere on this project, including its liability as an employer under common law (commonly known as Employer’s Liability Coverage “B”) with limits of not less than that listed below. Before commencing work, Contractor shall submit to the Owner a valid State Form 41321 (Certificate of Compliance – Worker’s Compensation and Occupational Diseases) or a facsimile

thereof at Owner’s option. If the Contractor has no employees (i.e., a one-person shop) then a Certificate of Exception must be obtained from the State. Worker’s Compensation:

6. Builder’s Risk Insurance The Owner shall maintain during the course of construction Builder’s Risk Insurance in an amount of not less than one hundred percent (100%) of the insurable value of the completed work, including materials, equipment, and supplies on the site and to become a part of the completed work, subject to a $25,000 deductible. The Contractor shall bear responsibility for that deductible. The insured shall be the Owner and the Contractor(s) as their respective interests may appear. The Contractor’s loss, if any, is to be adjusted with and payable to the Contractor upon written request to the Owner. The Contractor shall be responsible for and shall insure, if required by the Owner, all materials, equipment, supplies not on the site and to become a part of the completed work, Contractor’s equipment, tools, scaffolding, staging, towers, forms and temporary buildings, and other materials, equipment and supplies not intended to become a part of the completed work. This provision shall not release the Contractor from its obligation to complete, according to plans and specifications, the work covered by the Contract and the Contractor and its Surety shall be obligated to the full performance of the Contractor’s undertaking. NOTE: Prompt notice of potential claims is required. In the advent of an occurrence that might be covered by Builders Risk insurance, notice must be given to the University within one work day of the occurrence. Except for emergency repairs, no changes to damaged property will be made until an inspection is made. Insurance Policy Endorsements All insurance policies must provide the following endorsements to the policy and must be noted on the certificate(s): [1] 1. Additional Insured Endorsement (CG2010 10 01 and CG2037) or equivalent form required on General Liability, Automobile Liability and Excess/Umbrella Liability policies naming the Owner and/or Other Parties as defined in Owner’s Contract and including coverage for completed operations. its officers, agents and employees.” If additional insured status is automatically granted by the insurance form “where required by written contract” then it is sufficient to note that on the certificate with a reference to the form number. This must include information about the Excess/Umbrella coverage, e.g., “Excess coverage is following form.” 2. Aggregate Per–Project Endorsement (CG2503) to the General Liability Policy indicating that the general aggregate applies separately to each project. 3. Waiver of Subrogation on General Liability, Automobile Liability, and Employer’s Liability/Workers’ Compensation Policies in favor of the Owner. 4. All insurance policies shall be primary and non-contributing with respect to any insurance carried by the Owner, and shall contain a severability of interests clause in respect to liability, protecting each insured as though a separate policy had been issued to each. 5. All policies shall contain a covenant requiring (30) days written notice by the insurer to the Indiana University Office of Risk Management before cancellation, reduction or other modifications of coverage for any reason, whenever possible. Certificate Details Description of Operations The DOO must include the Indiana University project name and project number to which this coverage applies. Insurance Companies All insurance carriers selected by contractor must be rated “A-” or above in the most recent edition of the “A.M. Best’s Key Rating Guide.” Hold Harmless Agreement Contractor shall indemnify and save harmless the Owner from any and all losses, costs, damages, liability and expenses, including reasonable attorney fees (“Losses”), arising out of or in conjunction with claims or suits for damage to any property not included in the scope of work and/or injury to persons, including Contractor's employees and all Subcontractor's employees of any tier, including death, alleged or claimed to have been caused by or through the performance of the work or operations incidental to the work by the Contractor, its agents or employees, or by its Subcontractors of any tier, their agents or employees, whether through negligence or willful act; and Contractor shall, at the request of Owner, undertake to investigate and defend any and all such claims or suits against Owner.
