Being a Strategic Board and Asking the Right Questions It is recently becoming accepted that good governance is about more than just compliance with regulation and more than just good advice to the CEO. Boards should act in a strategic capacity, creating a vision for the organization, however they often don’t do this for a variety of reasons. This session will explain what questions you should ask to steer a board in a strategic direction. 12:00 – 1:30pm Lunch 1:45 – 3:00pm Choice from IPGA Sessions: a) How to Build Meaningful ‘Ends’ b) The Role of the Board Administrator c) Leading Together – Specific Tools and Techniques 3:00 – 3:15pm Break 3:15 -4:30pm International Progress on Board Diversity There is a generally held consensus that diversity of age, background, gender and ethnicity on boards helps to support good decision making and better represent society at large. However, what progress is being made around the world on achieving boardroom diversity? Are there particular industries or sectors that have made more progress than others? What strategies are being used, for example, legislation, shareholder activism or self-regulation, and how effective have they been so far? 4:30 – 4:45pm Break 4:45 – 5:45pm Understanding Organizational Budgets and Financial Statements Governance is, in large part, about oversight and this includes on the financial affairs of the organization. Breakfast Break Managing Board Dynamics and Communications in a Crisis Working with a group of people, such as a board, with the difficult task of governing an organization, contentious issues are bound to come up. This session will provide tools for managing meetings on difficult issues and dealing with board dynamics. The board is also responsible for communicating with the public and this session will also provide information on how to do this effectively, especially in a crisis situation. Break Approaches to Corporate Governance Challenges How do different approaches to governance resolve typical boardroom issues? In this session a panellists who come from a variety of different approaches to the work of boards, will tackle common issues from their different perspectives. Lunch Government Corporations and State Owned Enterprises State owned enterprises (usually referred to as Government Corporations in Canada) play an important role in the economy of countries around the world. In Canada, these agencies include Canada Post, VIA Rail, the Bank of Canada, and the Canadian Broadcasting Company. In British Columbia, Government Corporations include B.C. Hydro and B.C. Transit. As in the rest of the world, Government Corporations in Canada have come under attack for a variety of reasons, and in many cases have been privatized (i.e. Air Canada). This session will address the governance challenges posed by these Government Agencies and State Owned Enterprises, and what has been done internationally to improve their corporate governance. Break Executive Compensation and ‘Say on Pay’ There has been a lot of talk in the media internationally about ‘Fat Cats’ and the movement for shareholders and stakeholders to have a ‘Say on Pay’. How does compensation for board members and executives work and how is it determined? How is compensation linked to company and individual performance? What are the aims of different compensation strategies and are they effective? Have shareholders had any influence on executive compensation and is this likely to increase in the future?
