Ladies and Gentlemen: Pursuant to Section 4 of the Natural Gas Act (“NGA”) and Part 154 of the Federal Energy Regulatory Commission’s (“Commission”) regulations thereunder, Transcontinental Gas Pipe Line Company, LLC (“Transco”) hereby submits for filing with the Commission Version 0.0.0 of Part II, Sections 13.4, 13.5, and 13.6 to its FERC Gas Tariff, Fifth Revised Volume No.1 (“Tariff”). The tariff records are proposed to be effective April 1, 2012. Statement of Nature, Reasons and Basis Transco submits herewith for inclusion in Part II, Section 13 three tariff records that summarize the essential elements of negotiated rate storage service agreements between Transco and Atlanta Gas Light Company (“AGL”), Transco and Pivotal Utility Holdings, Inc. d/b/a Elizabethtown Gas (“Pivotal”), and Transco and Virginia Natural Gas, Inc. (“VNG”) (collectively, “Eminence Customers”). Transco and the Eminence Customers have agreed to consolidate each of the Eminence Customers’ two service agreements under Rate Schedule ESS into single Rate Schedule ESS service agreements in accordance with the provisions of Section 22 of the General Terms and Conditions of Transco’s Tariff.1 Agreements setting forth negotiated rates applicable to the Eminence Customers’ service agreements were filed previously in Docket No. RP96-359-043, and accepted effective

October 1, 2009 by Commission letter order issued on September 18, 2009.2 By amendments dated March 22, 2012, each of the Eminence Customers and Transco will effectuate the consolidation of two service agreements by terminating one service agreement and amending the remaining service agreement to include the consolidated service entitlements. The tariff records submitted herein reflect the essential terms of the surviving amended negotiated rate service agreements. Each of the Eminence Customers has requested that the consolidation (and termination) become effective April 1, 2012. Accordingly, pursuant to the Commission’s Alternative Rate Policy Statement and the provisions of Transco's Rate Schedule ESS that permit Transco to negotiate rates,3 Transco submits herewith for filing a tariff record reflecting a summary of the negotiated rate service agreements between Transco and AGL (Contract No. 1018467), Transco and Pivotal (Contract No. 1013463), and Transco and VNG (Contract No. 9014759). The summaries include the exact legal name of the customer, the applicable charge, the applicable rate schedule for the service, the receipt and delivery points, the quantity of gas to be stored, withdrawn, and injected under the service agreement and the term of the negotiated rate. Transco affirms that the above identified service agreements do not deviate in any material aspect from the Rate Schedule ESS form of service agreement in Transco’s FERC Gas Tariff. Effective Date and Waivers The tariff records submitted herein are proposed to be effective April 1, 2012, the effective date requested by the Eminence Customers. Transco respectfully requests a waiver of Section 154.207 of the Commission’s regulations and any other waivers that may be required for the Commission to permit the tariff records filed herein to become effective April 1, 2012. The Eminence Customers’ ESS service agreements were initially filed as non-conforming agreements. However, their non-conforming provisions were subsequently made part of the Rate Schedule ESS form of service agreement, and the ESS Customers’ service agreements, which then became conforming, were removed from Transco’s Tariff list of non-conforming agreements in a filing dated March 17, 2010 in Docket No. RP10500.
