THE GREAT NORTHERN SWEEPSTAKES

OFFICIAL RULES NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. THE SWEEPSTAKES IS NOT OPEN TO MINORS. THE SWEEPSTAKES IS BASED UPON CHANCE AND NOT SKILL. In connection with The Great Northern, a 10-day winter celebration in Minneapolis and Saint Paul that invites people to experience the cold in a positive way through sports, culinary experiences, the arts and other programming, The Great Northern Winter Festival, a Minnesota Nonprofit Corporation, (“Sponsor,” “we,” “our,” “us”) is offering you the chance to enter The Great Northern Sweepstakes (“Sweepstakes”) to win the prize defined below (“Prize”), subject to the official rules set forth herein (“Official Rules”). 1. THE PRIZE: One (1) prize will be awarded consisting of The Classic Wood Toboggan Sled (6ft), toboggan pad, mug, and t-shirt from Northern Toboggan Company (Estimated Retail Value: $440.00). No substitution, cash redemption, or transfer of the Prize is permitted. Any difference between the estimated retail value of the Prize and the actual value of the Prize will not be awarded. 2. DISCLAIMER: THE PRIZE IS AWARDED “AS IS” AND SPONSOR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING THE APPEARANCE, SAFETY OR PERFORMANCE OF THE PRIZE. 3. SWEEPSTAKES PERIOD: The Sweepstakes begins at 12:00:00 PM (Noon) Central Time on Friday, January 26, 2018 and ends at 11:59:59 PM Central Time on Saturday, February 3, 2018 (“Sweepstakes Period”). Official time determinations shall be made by Sponsor according to Sponsor’s timekeeping. The winner of the Sweepstakes (“Winner”) will be selected at random by the Sponsor on Monday, February 5, 2018 and announced via a post on the Sponsor’s Instagram account, @thegreatnorthernfestival. 4. ELIGIBILITY: The Sweepstakes is only open to citizens and legal permanent residents of the 50 United States and District of Columbia who have a non-private Instagram account and who are at least the age of majority in the state in which they reside at the time of entry. Instagram is free to join and use, and you must follow the directions from Instagram to join Instagram, including agreeing to Instagram’s Terms of Service and Privacy Policy. Employees, volunteers, officers, and directors of Instagram, the Sponsor, and its affiliates, and the immediate family members, IRS dependents, and members of the same household of the foregoing, are not eligible to participate. By participating, you agree to these Official Rules and the decisions of the Sponsor, which are final and binding in all respects.

5. METHOD OF ENTRY: You may enter the Sweepstakes only once. If you enter the Sweepstakes more than once, only your first eligible submission will be considered. To enter the Sweepstakes, you must sign in to Instagram and complete all of the following tasks in a single post to Instagram during the Sweepstakes Period: 1. Post an original digital photograph taken by you to Instagram; 2. Use the hashtag #TheGreatNorthern in your post; and 3. Tag both @thegreatnorthernfestival and @northerntoboggan in your post. (a submission that meets all eligibility requirements is referred to herein as an “Entry.”) Sponsor reserves the right to refuse to accept, delete, and/or otherwise exclude from eligibility any submission that Sponsor determines, in its sole discretion, is inappropriate, indecent, offensive, discriminatory, disparaging, negative, misleading or deceptive, or irrelevant. Regramming, or reposting someone else’s Entry, will not be accepted as an Entry by you. Any other attempted form of entry except as described in this Section 5 or Section 19, below, is void. Automated submissions are prohibited, and any use of automated devices will cause disqualification of any and all submissions by any person found to have used such automation. By making any submission to Sponsor, you represent that your submission and/or Entry is your original work and does not infringe the intellectual property rights of any other person, and you grant to Sponsor an irrevocable, royalty-free, fully paid up, perpetual, worldwide license to copy, reproduce, distribute, display, transmit, record, and use your Entry and/or any submission by you, and your name, picture, likeness, voice, biographical information and statements, for any purpose, including but not limited to, advertising, trade, publicity and promotional purposes, at any time or times, without compensation, in all media now known or hereafter discovered, without notice, review or approval. 6. PRIVACY: IF YOU DO NOT WANT YOUR REAL NAME, AGE, and/or STATE OF RESIDENCY TO BE PUBLICLY DISCLOSED, YOU MUST NOT ENTER THE SWEEPSTAKES. You acknowledge and agree that by making a submission to the Sweepstakes on Instagram, your submission and/or Entry on Instagram, and your personal information, if any, included therewith, will be publicly available on Instagram and may be further shared by Sponsor or other users of Instagram without your further consent or approval. Any personal information you include with your submission and/or Entry on Instagram may be made public and/or shared on Instagram. If you are selected as the Winner, you must also provide your real first and last name, age, and physical address to Sponsor to determine your eligibility and you hereby agree that Sponsor shall identify you publicly by your real first and last name and Instagram account, and may include your age and state of residency on Instagram, to publicly identify you as the Winner on Sponsor’s Instagram account. Your identity as the Winner and your submission and/or Entry on

Instagram and any personal information included therewith may be shared by Sponsor and other users of Instagram without your further consent or approval. All personal information collected by Sponsor will be used for administration of the Sweepstakes. If you follow Sponsor during the Sweepstakes Period and continue to follow Sponsor’s Instagram account after the Sweepstakes Period, you may receive posts and/or direct messages from Sponsor. You may unfollow Sponsor’s Instagram account at any time. 7. OTHER TERMS AND CONDITIONS: You agree and acknowledge that your Entry and/or any submission made by you may also be subject to Instagram’s terms and conditions. 8. ODDS OF WINNING: The Sweepstakes is based on chance and not skill. The odds of winning depend on the number of eligible entries received. 9. WINNER SELECTION PROCESS: Sponsor will randomly select a potential winner on Monday, February 5, 2018. Sponsor will check all submissions to see if each submission qualifies as an Entry. In order to win the Prize, the selected potential winner must meet all eligibility requirements, comply with these Official Rules, and must timely respond to Sponsor’s communications. Sponsor will contact the potential winner by direct message to the Instagram account used by the potential winner to submit the potential winner’s Entry and announce the potential winner on Sponsor’s Instagram account. If the potential winner does not respond to Sponsor within seven (7) days to claim the Prize, the Prize will be deemed forfeited by the potential winner and the Prize may be awarded to a randomly selected alternate potential winner, in Sponsor’s sole discretion. By accepting the Prize, the Winner represents and acknowledges he or she is in compliance with these Official Rules. Any request for the identification of the Winner may be made by sending the request with a self-addressed stamped envelope to Sponsor at the address set forth in Section 20, below. 10. CLAIMING THE PRIZE: The Prize will be made available for pick-up after verification of the eligibility of the Winner and acceptance of the Prize by the Winner, at a location to be communicated to the Winner. The Winner is responsible for picking up and transporting the Prize and all costs associated therewith. All federal, state and local taxes, if any, on the Prize and any other costs and expenses associated with the acceptance and claiming of the Prize and any use not specified herein as being provided by Sponsor are solely the Winner's responsibility. 11. WINNER DOCUMENTATION: If you are selected as the Winner, you agree that, upon request from Sponsor, you will (1) complete and sign an Affidavit of Eligibility and Release for Sponsor prior to receiving the Prize; and (2) provide such documentation Sponsor may reasonably require in order to confirm your eligibility as the Winner. 12. FORCE MAJEURE: In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein by any event beyond its control, including but not limited to blizzard, extreme cold, fire, flood, earthquake, explosion, labor dispute or strike, act of God or public enemy, or any federal, state or local government law, order, or

regulation, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes. If the Sweepstakes is terminated before the designated end of the Sweepstakes listed above, Sponsor will (if possible) select a Winner from all Entries received as of the date of the event giving rise to the termination of the Sweepstakes. 13. RELEASE OF LIABILITY: By making any submission and/or Entry, you release Sponsor, the Northern Toboggan Company, Instagram, and each of their parents, subsidiaries, and affiliated companies, advertising and promotion agencies, and their respective officers, directors, employees, representatives, volunteers, and agents (collectively, the “Released Parties”) from any liability whatsoever, and agree to defend and hold harmless the Released Parties from any liability, arising from or related to (a) any bodily injuries, including death, losses or damages of any kind to any person(s) or property, resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse, or use of the Prize, or your participation in the Sweepstakes, or any Sweepstakes-related activities (including any travel related thereto), (b) any negligent or more culpable act or omission by you, (c) any claims that your submissions and/or Entry violates or otherwise infringes the rights, including but not limited to intellectual property rights and rights of publicity or privacy, of any third party, (d) your failure to comply with these Official Rules, and (e) your failure to comply with any applicable law. 14. LIMITATION OF LIABILITY: Released Parties are not responsible for lost, late, misdirected, incomplete, or non-delivered submissions or other communication; or for interrupted or unavailable satellite, network, server, Internet Service Provider, Instagram, websites, telephone or other connections, availability or accessibility, or miscommunications, or failed computer, satellite, telephone or cable transmissions, or lines, or technical failure or jumbled, corrupted, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures, or technical errors or difficulties, or other errors of any kind whether human, mechanical, electronic or network or the incorrect or inaccurate capture of submissions or other information or the failure to capture, or loss of, any such submission or information. Persons who tamper with or abuse any aspect of this Sweepstakes or otherwise attempt to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair practices, or intending to annoy, abuse, threaten or harass any other participants or Sponsor, or Sponsors affiliates, as solely determined by Sponsor, will be disqualified. Any use of robotic, automatic, macro, programmed or like entry methods will void all such submissions, and disqualify any person using such methods. Released Parties are not responsible for injury or damage to your or to any other person’s computer, mobile device, or other personal property related to or resulting from participating in the Sweepstakes or downloading materials from or use of Instagram. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, technical failures or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, or fairness, of the Sweepstakes or submissions, Sponsor reserves

the right at its sole discretion to suspend, modify or terminate the Sweepstakes, and randomly select the Winner from among all eligible, non-suspect submissions received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. Released Parties are not responsible for any incorrect or inaccurate information, whether caused by Instagram users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes, and assume no responsibility for any error, interruption, deletion, defect, delay in operation, or transmission, communications line failure, theft or destruction, or unauthorized use of Instagram. In case of dispute, the authorized account subscriber of the Instagram account used to enter the Sweepstakes at the actual time of Entry will be deemed to be the entrant, and must comply with these Official Rules. The “authorized account subscriber” is deemed to be the natural person who is assigned the account by Instagram. 15. IN NO EVENT WILL RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF ANY WEBSITE OR DOWNLOADING FROM AND/OR PRINTED MATERIAL DOWNLOADED FROM INSTAGRAM OR ANY WEBSITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON INSTAGRAM AND ANY OTHER WEBSITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO EVERY PARTICIPANT. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. 16. SEVERABILITY: The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. 17. GOVERNING LAW & JURISDICTION: The Official Rules and the Sweepstakes are governed by are subject to all applicable federal, state and local laws and regulations. All issues and questions concerning the construction, validity, interpretation and enforceability of the Official Rules, or the rights and obligations of you and/or Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Minnesota, without giving effect to the conflict of laws rules thereof, and any matters or proceedings arising from or related to the Official Rules or Sweepstakes shall take place in Hennepin County, Minnesota.

18. SOCIAL MEDIA DISCLOSURE: This Sweepstakes is not sponsored, endorsed, or administered by, or associated with, Instagram. You acknowledge and agree that you are providing your information, submissions, and/or Entry to Sponsor and not to Instagram. You shall direct any questions, comments or complaints regarding the Sweepstakes or the Official Rules to Sponsor and not to Instagram. Instagram® is a registered trademark of Instagram, Inc. 19. ALTERNATE MEANS OF ENTRY: You may enter the Sweepstakes by sending your name, age, address, and email address to us at the address in Section 20, below. We must receive your submission within the Sweepstakes Period for your submission to be considered eligible. A submission that is postmarked during the Sweepstakes Period but not received by us during the Sweepstakes Period will not be eligible. You may enter the Sweepstakes only once, whether by the method in Section 5, above, or this Section 19. If you are selected as the Winner we will notify you by email, and you agree we may publicly identify you as the Winner by first and last name, age, and state of residency, on our Instagram account, and you agree you are subject to all other applicable eligibility requirements and terms and conditions set forth in these Official Rules. Sponsor will not share your complete address or email address on Instagram. All personal information collected by Sponsor will be used for administration of the Sweepstakes. 20. SPONSOR: The Sponsor of the Sweepstakes is The Great Northern Winter Festival, a Minnesota nonprofit corporation, located at 206 North First Street, Minneapolis, MN 55401.
