“Pequeños Gigantes” (Small Giants) is a children’s talent competition show which will be produced by Univision Networks & Studios, Inc. (the “Producer”) to be broadcast, distributed and exploited at the sole discretion of the Producer, throughout the world, in perpetuity, by any and all means and without any restriction (the “Program”). In order to participate in Program auditions and have an opportunity to be selected as participant in the Program, each child (the “Participant”) and the parent or legal guardian of such child (the “Guardian”), must meet the Eligibility Requirements below and fill out, sign and deliver this application, which includes the following documents, to the Producer: 1. Application and Questionnaire (to be completed by the Guardian and signed by the Participant); 2. Grant of Rights and Release (to be signed by the Participant); 3. Parental/Guardian Consent (to be completed by both parents or the legal guardian).

SHOW OVERVIEW: “Pequeños Gigantes” (Small Giants) is a children’s talent competition show which will be produced by the Producer. Up to 100 contestants will be given the opportunity to compete to prove who possesses the most talent in signing, dancing and/or other talents (e.g., acting). The contestants selected to participate in the Program will have to remain in Miami, Florida from January 15, 2017 and, if they are selected to continue to the next stages of the Program, must remain in Miami, Florida until April 15, 2017 or until eliminated from the Program. The Producer reserves the right to modify, at any time and in its sole discretion, such production location(s) and date(s). The training, interviews and other activities involving the contestants may be recorded for the potential broadcast and exploitation thereof, in whole or in part, throughout the world, in perpetuity, by any and all means of communication and exploitation currently known or subsequently developed, including, but not limited to all forms of television, radio, Internet, social media, wireless systems (“wireless”), podcasting, printed publications, cellphones and other mobile devices and/or SMS (jointly, “Any Media”), with no payment or consideration whatsoever. The Participants will be required to participate in interviews, challenges and other activities that demonstrate (i) talent and creativity in singing, dancing and/or other disciplines (e.g., acting); (ii) charisma, discipline and generosity; and (iii) creative originality. The Producer and/or the judges will rate the challenges undertaken by the Participants and the audience will also vote, in the manner indicated by the Producer, for their favorite Participants. The Participants will be eliminated in such manner as the Producer shall determine, in its sole discretion, until the winner of “Pequeños Gigantes” is selected. ELIGIBILITY REQUIREMENTS: Each Participant shall comply with the following eligibility requirements: (a) be between 6 and 11 years old as of September 1, 2016 and possess valid documentation that reflects so; (b) be a citizen or lawful permanent resident of the United States of America, AND PROVIDE THE PRODUCER WITH THE EVIDENCE OF SUCH ELIGIBILITY ON THE AUDITION DATE (for example, U.S. passport, Green Card and/or birth certificate issued by a state of the United States of America or Puerto Rico); (c) have valid documentation to travel and be available to travel, compete and remain in Miami, Florida commencing on January 15, 2017 until April 15, 2017, or on such other locations and/or dates indicated by the Producer; (d) be fluent in Spanish; (e) be in optimal physical and mental condition; (f) have obtained written permission to participate in the Program from all of Participant’s parents or legal guardians who are entitled to the physical custody, care and control of the Participant; (g) fill out, sign and deliver an authorization to the Producer to obtain a background check; (h) fill out, sign and deliver to the Producer this application document, including the Application and Questionnaire and Grant of Rights and Release, and two pictures of you.

Each Guardian shall comply with the following eligibility requirements: (a) have the legal authority to accompany the Participant, a minor, to production locations in the United States without restrictions AND PROVIDE THE PRODUCER WITH THE EVIDENCE OF SUCH ELIGIBILITY ON THE AUDITION DATE (examples include, without limitation, identification document issued by a state of the United States of America or Puerto Rico, passport, Green Card, birth certificate); (b) have valid documentation to travel and be available to travel, compete and remain in Miami, Florida commencing on January 15, 2017 until April 15, 2017, or on such other locations and/or dates indicated by the Producer; (c) fill out, sign and deliver an authorization to the Producer to obtain a background check, including a criminal background check; (d) fill out, sign and deliver to the Producer this application document, including the Application and Questionnaire, Grant of Rights and Release and Parental/Guardian Consent; (e) if the Guardian is not Participant’s parent, Guardian must provide a certified copy of the court document appointing Guardian as the Participant’s legal guardian. Without limiting the foregoing, if the Participant and/or Guardian are included in any of the following categories, the Participant will not be able to participate: (v) any Participant or Guardian who, as of September 1, 2016 are employees, agents or representatives of (a) the Producer, Univision Communications Inc., The Univision Network Limited Partnership, Univision Television Group, Inc., Univision Interactive Media, Inc., UniMás Television Group, Inc., UniMás Network, Galavision, Inc., Univision Management Co., Univision of Puerto Rico, Inc., Univision Radio, Inc., Fusion Media Network, LLC, Made-for-Web, LLC, El Rey Holdings LLC, Uni-Rey Services, LLC, Flama Media Network, LLC, or their respective affiliates, parent companies or subsidiaries; (b) any person or company that provides services or goods to the Program; (c) the co-sponsors of the Program, including its advertising agencies; as well as the persons related to the production, distribution and/or administration of the Program and/or the jury of the Program; (w) any Participant or Guardian who is currently under, or negotiating an artistic representation agreement with any person or entity that prevents or precludes them from complying with the features of the Program or from signing and fulfilling with any representation agreement required by the Producer; (x) any Participant or Guardian who is involved in the development, production, distribution of materials and selection of contestants and/or the winner of the Program; and/or (y) the direct family members (including spouse, parents, children, siblings, grandparents, stepparents, stepchildren, nephews, grandchildren, cousins and/or uncles) of, or the persons that live in the same household as any of the persons identified under clauses (v), (w) or (x) above. The foregoing Eligibility Requirements are subject to change at any time at the Producer’s sole discretion.

HOW TO PARTICIPATE IN THE PROGRAM AUDITIONS: (a) Download, fill out and sign (and cause the Participant to fill out and sign, where applicable) this document, including the Application and Questionnaire, Grant of Rights and Release and Parental/Guardian Consent (which are available at www.pequenosgigantesunivision.com). (b) The Participant must prepare his/her audition to showcase his/her talent as follows: 1. If the Participant will sing, the Participant must be prepared to sing two songs a cappella and two (2) songs with background music. At least one of the songs sang a cappella and at least one (1) of the songs sang with background music must in be in Spanish. If the Participant attends the in-person audition, the Participant must bring the music tracks, without voices, in one of the following formats: MP3, WAV, flash drive or CD.

If the Participant will dance, the dance routine must be 1 minute long. If the Participant has a dance partner, they must audition together. If the Participant attends the in-person audition, the Participant must bring the music tracks in one of the following formats: MP3, WAV, flash drive or CD. If the Participant will showcase another extraordinary talent, the Participant must bring to his/her audition all materials he/she needs for his/her audition.

(c) There are two ways to audition: 1. In Person. The Participant and Guardian may attend an in-person audition and take: (i) all pages of this document duly filled out and signed, including the Application and Questionnaire, Grant of Rights and Release and Parental/Guardian Consent; (ii) two photographs of the Participant; (iii) proof of the Participant’s age (e.g., Passport or Birth Certificate); (iv) proof of the Participant’s citizenship or legal permanent residence of the United States of America; and (v) proof that the Guardian has the legal authority to accompany the Participant, a minor, to production locations in the United States without restrictions. In addition, the Participant must be prepared to demonstrate his/her talent as described above. The dates, times and places of the auditions will be announced on air and/or at www.pequenosgigantesunivision.com. The auditions are currently scheduled to take place in the following cities and on the following dates: New York, New York on October 29, 2016 San Antonio, Texas on November 4, 2016 Houston, Texas on November 6, 2016 Chicago, Illinois on November 12, 2016 Miami, Florida on November 19, 2016 Los Angeles, California on December 10, 2016 San Juan, Puerto Rico on December 17, 2016 Each Guardian and Participant will be responsible for the expenses related with the Participant’s audition, including fuel expenses, airfare, transportation, accommodations and/or meals. The Producer reserves the right to change, at any time and at its sole discretion, the locations, dates and/or times of the auditions. 2. Sending a Video. The Participant may also audition by the Guardian emailing the Producer a video of the Participant’s audition to [email protected] prior to December 17, 2016 at 11:59 p.m. (Eastern Time). Such email must include (i) all pages of this document duly filled out and signed, including the Application and Questionnaire, Grant of Rights and Release and Parental/Guardian Consent and (ii) a video of the Participant specifying his/her name and demonstrating the Participant’s talent. The video must not include: (a) third party’s trademarks (for example, a branded soda can); (b) images of other individuals or celebrities (nor dead or alive); or (c) content that is vulgar, pornographic, coarse, or in any way illegal. The videos that do not comply with these requirements can be disqualified at the sole discretion of the Producer. In the event the Participant is selected to advance in the competition, the Guardian must present the following to the Producer: (i) proof of the Participant’s age (e.g., Passport or Birth Certificate); (ii) proof of the Participant’s citizenship or legal permanent residence of the United States of America; and (iii) proof that the Guardian has the legal authority to accompany the Participant, a minor, to production locations in the United States without restrictions. All the applications, grant of rights and videos must be submitted before 11:59 p.m. (Eastern time) on December 17, 2016. Only one video per Participant will be accepted. The Participants will be selected by the Producer to continue to the next phase of the competition based on their personality, charisma and talent at the sole discretion of the Producer. In the event the Participant is selected to move forward in the competition, the Participant and/or Guardian must fill out, sign, submit and agree to comply with all of the documents and terms and conditions required by the Producer, which may include, without limitation; (i) a Health 3


Certificate issued by the Health Department and/or by the Participant’s physician; (ii) an authorization to obtain, if deemed necessary by the Producer, the Participant’s medical records and/or to submit to a medical and/or psychological exam, at the discretion and expense of the Producer; (iii) a Participant Agreement; (iv) authorization to the Producer to obtain a background verification (“background check”) of the Participant and Guardian, which includes the verification of criminal records; and (v) exclusive talent agreement(s) – e.g., exclusive recording, licensing and/or merchandising agreements. In the event such documents are not turned in by the required date(s), the Participant may be disqualified at the sole discretion of the Producer. The applications, videos, and all other materials submitted will be property of the Producer and will not be returned. Any personal information presented in relation with the Program can be used to offer the Participant and Guardian information about other offers, products or services. The personal information that the Participant and Guardian submits will be subject to Univision’s privacy policies. To obtain a copy of Univision’s privacy policies please visit www.univision.com. The Producer will not be responsible for lost, stolen, mutilated, missing, fake or illegible materials. Any documents and/or materials which are illegible, incomplete, falsified or inaccurate are null and void. All decisions, including without limitation, the selection and eligibility of participants, the rules for being selected to participate in the Program, the use of videos in which the participants appear (including during the selection phase to participate in the Program), and the recording, transmission, exploitation and distribution of the Program, are at the sole discretion of the Producer. The Producer reserves the right of not producing the Program, revising the dates and/or end or modify the Program for any reason and at any time, including if its integrity is affected by fraud, technical failure and/or an element beyond of the Producer’s reasonable control. At its sole discretion, the Producer may disqualify any person that considers have violated the rules set by the Producer or any of the applicable legal provisions. For the avoidance of doubt, the act of: (i) participating in the auditions, castings, activities, interviews, promotions, videos, and/or other selection phases; (ii) signing this document, including the Application and Questionnaire, Grant of Rights and Release and and/or any other document related with the Program; or (iii) being referred to as “participant,” “contestant” or any similar term in this document, including the Application and Questionnaire and Grant of Rights and Release or by any representative of the Producer, does not make the participant/contestant a contestant of the Program and/or the winner of any prize. Notwithstanding the foregoing, the Guardian and Participant must respect, at all times, what is established in this document, including the Application and Questionnaire, Grant of Rights and Release and Parental/Guardian Consent and all of the other rules and regulations established by the Producer, who will make the final and non-appealable decision of the persons who will participate in the Program and who will be, in due time, notified of such distinction through the mechanism that is determined by the Producer. Whenever the context may require, any pronouns used in this entire document shall include the corresponding masculine, feminine or neuter forms, and the singular form of nouns and pronouns shall include the plural and vice versa.

(d) IF THE PARTICIPANT OR GUARDIAN IS WEARING OFFENSIVE CLOTHING, ACTING IN AN ARROGANT, COARSE OR VIOLENT MANNER AND/OR IF THE PARTICIPANT OR GUARDIAN IS WEARING ANY BRAND NAME, AN IMAGE OF A DECEASED OR LIVING CELEBRITY, SPORT TEAM OR POLITICAL PARTY OR PRODUCTS OR SERVICES, OR SIMILAR, OR IF THE PARTICIPANT IS WEARING A WHITE SHIRT OR DRESS A SHIRT OR DRESS WITH STRIPES, THE PARTICIPANT MAY BE DISQUALIFIED OR THE PARTICIPANT OR GUARDIAN MAY BE ASKED TO COVER, REMOVE OR CHANGE THE PARTICULAR CLOTHING ITEM, AT THE PRODUCER’S SOLE DISCRETION. (e) Any decision regarding the auditions, the Participants and the Program will be taken at the discretion of the Producer and all such decisions shall be final and non-appealable. (f) The application, photographs and/or any other material provided by the Guardian and/or Participant shall be the property of the Producer and will not be returned. (g) The Participant and Guardian hereby represent, under oath, that any details, information, documentation and materials stated under the foregoing application and delivered to the Producer are true, accurate and by no means false, misleading or owned by third parties. (h) The Producer reserves the right to disqualify at any moment any applicant by any reason whatsoever, in the Producer’s sole and absolute discretion, including if the Participant or Guardian has submitted false, inaccurate or misleading information has been provided. (i) Neither the Participant or Guardian may release, disclose or discuss with any third party any information related to this application, the auditions, the Program, the Participant’s appearance in the auditions and/or Program, the production crew, the other participants or any other related information of which the Participant or Guardian becomes aware, without the prior written consent of the Producer in each instance. 10


(j) The Participant and Guardian acknowledge and agree to follow the rules, regulations, terms and conditions of the Program and that the rules may be changed, either orally or in writing, at any time by the Producer and to be bound by such rules. The decisions of the Producer shall be final and non-appealable. This may include the performance of musical works, choreographies and/or dramatizations. I understand that this purpose may change at the sole discretion of the Producer. I agree to be available at the times and places that the Producer reasonably requests regarding the Program (including during the selection stage to take part in the Program), including without limitation any trial, audition, rehearsal, advertising, trailers, press calls, pictures, recordings, retakes, performances, interpretations, interviews and any other contributions (collectively, my “Participation”). In the event I am selected to take part in the Program, I also undertake to live and remain in Miami, Florida during the dates and at the places indicated by the Producer and for the period determined by the Producer. If my Participation constitutes a work subject to copyright, such work shall be regarded as a “work made for hire” (as defined under the Copyright Law of the United States of America) and the Producer will have the ownership over all the corresponding rights, with no restriction whatsoever. In addition, I acknowledge that the Producer is the rightful owner of the Program and that is possesses all the rights to use, broadcast, distribute, license, sell, exhibit, promote, disseminate, adapt, modify, edit and exploit the Program worldwide, for the maximum period of time permitted under the applicable law, by All Media, in any way and without any restriction. In the event I directly or indirectly acquire or obtain any right derived from or related to the Program and/or my Participation, I agree to record in writing the assignment of any and each of such rights, with no consideration to me whatsoever, including but not limited to all the current or future rights contained in All Media, in accordance with the terms provided by the applicable law and for the exclusive and sole benefit of the Producer, and I will provide such documents to the Producer within three (3) working days after acquiring such rights. I represent and warrant that: (i) any content submitted by me to the Producer, including any video submitted by me for my audition (collectively, the “Materials”), is an independent and original creation; (ii) I am the only author of the Materials and the only owner of all the rights, title and interests (including the copyright) in such Materials and all the parts and elements thereof; (iii) the Materials do not contain any material or content from a third party, including, but not limited to audio, video, pictures, images, graphics, works of art, visual arts works, text, scripts, articles, dialogues, or thematic materials; (iv) the Materials do not constitute nor do they refer to any product, service, business or company name, trademark, logo or identifiable slogan; (v) the Materials do not contain anything that is regarded as defamatory, libel, obscene, violent or offensive; (vi) the Materials comply with the broadcast regulations established by the Producer; (vii) the Materials have not been previously published, exhibited, distributed, registered, edited or exploited in any way or by any means by any person; and (viii) the file containing the Materials does not contain any virus, spyware, malware or any other harmful or invasive program, code or software. In addition, I hereby irrevocably and exclusively authorize the Producer to use, reproduce, publish, distribute, transmit, exhibit, realize, edit, modify, adapt, sublicense, commercialize, create derivative works of and exploit in any other manner the Materials, including all the recordings, pictures, images and video content or audio of the same, in All Media worldwide and in perpetuity and for all purposes related to the Program and for any general commercialization, advertisement, promotion, merchandise or for any other business purposes of the Producer, without notice or consideration to me. I acknowledge and agree that I do not reserve any right related with such use or publication. I acknowledge and understand that any use by the Producer of my Participation and/or Materials, directly or indirectly, may be negative, derogative, shameful or unfavorable for any reason. Therefore, I do not reserve any right or action of any kind related to the above. I acknowledge that the Producer will have no responsibility to me and that it may, at any time, disqualify me from the Program, at its sole and exclusive discretion. Without limiting the foregoing, in the event of a lack of compliance, of a negligent act or of an omission by me with the terms and conditions of the Program, the Rules (as defined below) and this Release, the Producer may disqualify me from the Program, withhold, refuse or revoke any prize obtained by me, and/or enforce any remedy provided by the law. I acknowledge that any decision by the Producer is final and non-appealable and that the Producer reserves the right to remove me from the Program, its facilities or locations, at its sole and exclusive discretion. In addition, I acknowledge and agree that the interests of the Program shall prevail over the interests of any contestant, and in the event of any dispute related to any element of the content of the Program or the Rules, the decision made by the Producer shall be final and non-appealable. Even if I am disqualified from the Program, I acknowledge and agree that the Producer is fully authorized to use and exploit my Participation, the Materials and all the other rights provided under this document, in accordance with the terms and conditions of this Release. 13

I agree to comply with all of the terms and conditions of the Program that are established from time to time by the Producer (including its delegates or representatives) either orally or in writing (the “Rules”). I also agree to behave properly while participating in the Program, to comply with all of the procedures and Rules and to follow all the instructions given by the delegates or representatives of the Producer, or by any production staff of the Program, as well as the security measures established by the Producer in the facilities and generally for the realization of the Program. I acknowledge that the Producer reserves the right to modify this Release or to terminate the Program at any time without any liability to me. Furthermore, I will timely comply with all the instructions and requests given by the Producer and its production team. I represent and warrant that as of the execution date of this document, I am between 6 and 11 years old and that I am eligible to participate in the Program as it is detailed in this document. I agree that the Producer reserves the right to require me at any time to show my identification papers. I also represent and warrant that I speak in Spanish as if it were my native language. I guarantee that I am a citizen or a lawful permanent resident of the United States of America and that I reside in the United States of America or in the Commonwealth of Puerto Rico. I guarantee that I am in a good health condition, that I do not suffer from any disease and that I have the proper physical and mental capacity to participate in the Program. I guarantee that I have been and will be truthful and precise and that in under no circumstances will I act in a fraudulent or deceiving manner during the Program and in processing the application documents for the Program and in submitting any information requested by the Producer. I shall promptly notify the Producer if any information provided by me is inconsistent through and including the date of the first television broadcast of my last appearance in any episode of the Program. I agree to notify the Producer of any recorded audio or audiovisual material or existing printed material created before the Program and that includes my participation. Without limiting the foregoing in any way, the Producer is fully authorized to: a) modify, adapt or make any additions or deletions to the Program (and my participation in the same) at its discretion; b) exploit and authorize the exploitation of any recording or fixation of my Participation in the Program as a stand-alone or as part of the Program, by All Media, in perpetuity and throughout the world; c) dub my voice to any other language; d) include my name, image, voice, biographical details, pictures, interpretations, performances and recordings of interviews as stand-alone or as part of the Program, by All Media, in perpetuity and throughout the world, including, but not limited to advertising and promotional material. I acknowledge that the Producer is under no obligation to record or broadcast my Participation and/or to broadcast the Program, either in whole or in part. I represent that my Participation in the Program is not a professional performance, and therefore I agree that such participation does not grant me any right to receive any salaries, wages, fees or any other consideration. In the event that I perform any musical composition as part of my Participation in the Program that is composed and/or written by me (“Composition(s)”), I guarantee that such Composition(s) are totally original and that they are not subject to any third party rights or liens that have not been previously notified to the Producer before my performance for the Program and such performance and inclusion as part of the Program shall not violate any third party rights. I hereby grant Producer a license, throughout the world, to all of the rights over the Composition(s) for the full duration of the term of copyrights therein and all extensions, renewals and/or restorations thereof, such that the Producer may synchronize and exploit all the Composition(s), in whole or in part, as part of the Program through All Media (including, but not limited to advertisement and promotional materials). 14

I agree not to disclose to any third party any information related to the Program or my Participation thereof, or this document and all the other documents related to the Program, or the matters related to the judges, contestants, hosts, advisors, the Producer (or any designee of the same), or any of its affiliates, employees, agents or representatives and/or business activities of which I may have knowledge during or relating to my participation in the Program (including the selection stage for my participation in the Program). I guarantee that without the prior written consent of the Producer, I will not publish or discuss with any third party, nor will I make any written or oral statement, either in public or in private, or by any means of communication, (including, but not limited to email, Facebook, Twitter or any other social media, press, television, radio) or that by its nature may be published. If I am contacted by a member of the press, or by any other communication media, including, but not limited to the Internet, I agree to direct them to the Producer, with no exceptions whatsoever and without making any statements. 23. I represent to the Producer that I will execute any other document required for my participation in the Program, and I understand that I may be required to sign additional documents, releases and agreements in any stage of the Program in order to continue in the Program. 24. I represent and warrant that my Participation in the Program, including, but not limited to the interpretation of any Composition(s), will not include anything that represents an offense or violation of copyright or of any other right that may cause damages of any kind to the Producer or to any third party. 25. I agree that the Producer, the co-sponsors of the Program and their respective controlling companies, affiliates, subsidiaries, advertising agencies, its executives, employees and agents (collectively, the “Indemnified Parties”), are not liable and shall be indemnified and held harmless by my family and I from and against any and all claims, including for damages, injuries, accidents, deaths, suffering, distress, violation of copyrights or trademarks, libel or calumny, property damage or any other damage or loss of any kind or nature, costs, expenses and legal fees or of any other kind (known or unknown) incurred by me, the Indemnified Parties or by any other third party arising out of or relating to, for example, but not limited to, (a) my participation at any stage of the Program, either before, during or after the same, including the auditions; (b) my presentations in or to promote the Program (if applicable); (c) the different activities related in any way to the auditions, my Participation and/or the Program; (d) my disqualification or elimination from the audition or the Program; (e) anything that I do or say regarding the audition, my Participation, the Program and/or the sponsors of the same; (f) any travel I make to attend the audition or to appear in the Program; (g) any misstatement or misrepresentation in this Release or in any other document delivered to the Producer; (h) my lack of compliance with any of the provisions provided under this Release or under any other document delivered to the Producer; (i) the exercise and enjoyment by the Indemnified Parties of the rights and licenses granted to them under this Release or under any other document delivered to the Producer; and/or (j) the receipt, loss, use or misuse of any prize, gift or souvenir won or received during the audition and/or the Program, amongst others. 26. I understand and agree that the above is a total and complete release of all claims that I may have against the Indemnified Parties, either known or unknown to me, and that no action shall be taken by me or on my behalf related to any such claims, and it is clear that this document, including the Application and Questionnaire and Release, shall bind my family members, heirs, executors, administrators and assignees. 27. I understand and agree that all the rights under Section 1542 of the Civil Code of California or any other similar law of any other State or territory within the United States of America are expressly waived herein. Such Section states the following: “1542. A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.” 28. I represent, acknowledge and agree that in no event shall I have the right to prohibit and/or prevent the exhibition, distribution and/or exploitation of the Program and/or my participation related thereto in any way, in any part of the world, in perpetuity. 15


29. I will not promote any commercial product or service during my participation in the Program without the prior authorization from the Producer. Unless otherwise approved by the Producer, I have not paid or accepted any money or any other compensation (including the share of the prizes) regarding my participation in the Program, if applicable, nor have I authorized any person to do so. I am aware that the payment or acceptance, as well as the payment or acceptance agreement, of money or any other compensation for mentioning any person, company or product during the Program without disclosing it to the Producer before the Program is broadcast, is a federal crime punishable by a fine and/or imprisonment and it will result in my immediate disqualification from the Program. 30. The Producer may transfer, either completely or in part, and with no limitation whatsoever, all of the rights provided under this document, as well as those related to my Participation in the Program, to any third party. 31. I represent and warrant that I have not executed nor will I execute any agreement or arrangement of any kind or any other business with a natural or legal person with relation to my Participation and/or appearance in the Program or that prevent or restricts in any way such Participation, the rights granted to the Producer and/or my ability to sign and comply with any representation agreement required by the Producer, including, but not limited to an exclusive music recording agreement. 32. I acknowledge that I have carefully read the contents of this document and that is my desire to be bound by the provisions herein. 33. If any provision of this document is determined to be void or unenforceable by a competent authority, such provision shall not affect in any way the remaining provisions of this document. 34. The judges of the United States of America shall have the exclusive jurisdiction regarding the terms and conditions of this Release, which shall be read according to the laws of the State of California, in the United States of America. THE INFORMATION PROVIDED BY YOU IS TRUE AND YOU AGREE ON THE TERMS AND CONDITIONS MENTIONED ABOVE. IN THE EVENT OF PROVIDING MISLEADING INFORMATION YOU WILL BE AUTOMATICALLY ELIMINATED AT ANY TIME.

PARENTAL/GUARDIAN CONSENT

I agree that the Participant is a minor and that I will therefore act as his representative as permitted by parental authority or the court order that appoints me as his legal guardian. I acknowledge that the minor should always be accompanied by his/her Guardian and that I am therefore assuming responsibility for any physical injury or emotional damage, cause of action or third parties damages that may arise due to the minor while he is under my supervision. In consideration of my possible participation in the Program, I hereby agree to be governed by and comply with all of the terms and conditions of this Agreement, as if I were a party to this Agreement, to the extent that such terms and conditions may relate to my participation in the Program and the audition process, if applicable (including, but not limited to, the filming of my appearance in relation to the program and the audition process and the use of my name, voice, likeness, etc.). I understand that my participation in the Program, if applicable, is a privilege that can be revoked by the Producer at any time for any reason, in the Producer’s sole and absolute discretion. Furthermore, I agree to cooperate with the Producer to have this Agreement and any past or future agreements signed by the Minor in connection with the Program, approved by an applicable court of law and I hereby waive any notice and any chance to appear and be heard in connection with any such proceeding.
