ROLE OVERVIEW The Foundation for Surgery (the Foundation) is responsible for raising and dispersing funds for RACS’ philanthropic activities including surgical research scholarships and Indigenous and global health projects. The Foundation Board reports to RACS Council and is responsible for developing and overseeing implementation of the Foundation’s strategic and business plan, within RACS overall strategic plan, and ensuring compliance with governance and regulatory requirements. The Foundation for Surgery Board Members are elected or co-opted according to the Foundation for Surgery Board’s Terms of Reference. Board Members participate in the responsible leadership and direction of the Foundation and are actively engaged in supporting fundraising campaigns and developing and using personal networks to assist the Foundation to achieve its aims. KEY ACCOUNTABILITIES, COMPETENCIES AND TASKS Primary Responsibility Role related  Understand the Board’s role and its relationship with RACS, attend meetings and contribute to effective decision making, comply with the Boards Terms of Reference  Strategic expertise to contribute to setting and reviewing the Foundation’s vision and strategy through constructive questioning and suggestions  Ability to read and comprehend financial accounts and financial reporting requirements  Oversee compliance with legislation, regulations and policy  Identify and provide support in managing areas of risk to the Foundation  Provide guidance and support on branding, engagement and stakeholder communication  Champion the cause of the Foundation by promoting it to internal and external audiences and acting as a conduit between the Foundation and the broader community  Participate in philanthropic giving and strategic and transparent grant making  Ability to draw upon experience in not-for-profit, fundraising and/or philanthropic organisations Personal  Integrity: Fulfil a Board Member’s duties and responsibilities to act ethically with appropriate independence in the Foundation’s interests and declaring conflicts of interest  Collaboration: Engage fully with fellow board members and management in achieving the goals of the Foundation for Surgery  Commercial judgement: Demonstrate business acumen and ability to assimilate and synthesise complex information  Generosity and philanthropic leadership: Board members are encouraged to show philanthropic leadership and to personally donate to the Foundation  Commitment: Actively contribute to the Foundation and its activities.  Specialist knowledge is desirable in  fundraising and business development including relationship management, direct mail, events, donor acquisition and retention, engagement and care, online fundraising  marketing, communications and branding  philanthropy and grant-making. DIRECT REPORTS 

Nil. All staff in the College report through their Manager and/or Director to the CEO. They do not report directly to Board Members.

FINANCIAL AUTHORITY LIMITS 

The Foundation Board is responsible for disbursement of Foundation Funds in accordance with advice from the RACS Investment Committee.

LOCATION WITHIN ORGANISATIONAL STRUCTURE 

The Foundation Board via the Chair reports to the RACS Council.

TENURE AND METHOD OF APPOINTMENT 

According to the Foundation Board Terms of Reference, all Board Members are elected or coopted for a period of three years from the date of their appointment by Council, and upon expiry of that term, may be re-appointed for a maximum of three terms of three years including any time in Chair or Deputy Chair roles.
