Executive Director Indiana State Bar Association Indianapolis, Indiana ____________________________________________________________________________________ The Organization The Indiana State Bar Association, founded in 1896, is a voluntary 501(c)(6) trade organization qualifying as a nonprofit association representing approximately 11,500 members of the bench and bar of Indiana as well as paralegals, law librarians, law students and legal and court administrators. Through its activities, the ISBA serves its members, their clients and the public interest as the independent voice of the legal profession in Indiana. The Association has an annual budget of approximately $3MM and a staff of 20. The ISBA’s core purpose is to support the professional interests of members of the Indiana State Bar Association; advance the profession of law and secure a more effective administration of justice; promote positive reforms in the law; support initiatives that foster and enhance diversity and inclusion in the law; and encourage excellence in legal education for both the law student and the practicing lawyer. It also strives to improve the administration of justice and promote public understanding of the legal system. It achieves these goals by focusing on member satisfaction, professionalism, and quality services. It endeavors to make membership in the ISBA indispensable and relevant to all Indiana legal professionals. Members are afforded the opportunity to expand their professional development, build lasting relationships with fellow practicing lawyers at various networking functions, make a positive difference in their local community through the ISBA’s public service programs, and receive discounts on Continuing Legal Education (“CLE”) offerings throughout the year. Members throughout the state participate in meetings and activities as well as the annual meeting of the Association. The ISBA also hosts multiple networking, service, and professional gatherings. The Association provides a variety of programs and services to members including: printed and online publications together with Res Gestae magazine, Addendum, the bimonthly e-newsletter, and Section Newsletters; a member directory; CLE programs and resources; Casemaker, an online library of state and federal laws and opinions; and affinity programs and services. The ISBA sponsors important services to assist the profession, including: Continuing Legal Education Programs; Judges & Lawyers Assistance Program; Law Related Education Programs; Mentor Match; and the Leadership Development Academy. The Leadership Development Academy, now entering its sixth year, develops lawyers to be informed, committed and involved so that they may fill significant leadership roles in local and state bar associations, Indiana communities and organizations, and serve as role models in matters of ethics and professionalism. The ISBA Board of Governors reviews legislation pending before the Indiana General Assembly and recommends positions on such legislation while providing liaison with state offices (governor, attorney general, secretary of state, etc.) and agencies. The ISBA also reviews court rules and maintains regular contact with the Supreme Court of Indiana and other state courts and judicial associations. The ISBA is governed by a nominated and elected 25-person Board of Governors based on representation from across the State. He will retire in late 2017, thus the ISBA’s Board of Governors has embarked on a national search to recruit a new Executive Director.

The Position Location The position is located at the ISBA headquarters at One Indiana Square

 Indianapolis, IN 46204. Indianapolis is the capital and largest city in Indiana with a regional population of 1.7 million. As a major manufacturing and transportation hub, Indianapolis is the second most populous city in the Midwest and 14th largest in the U.S. It is within a single-day drive of 70 percent of the nation's population. Anchoring the 26th largest economic region in the U.S., the city's economy is based primarily on business services, transportation and logistics, education, financial services, hospitality and tourism, and distribution services. Indianapolis has a thriving downtown with fine dining, entertainment, cultural opportunities and professional sports, all within walking distance of the ISBA’s offices. Indianapolis is home to the Indianapolis 500 Race, a world-renown Children’s Museum, the Indianapolis Symphony Orchestra, the Indiana Repertory Theater, the NFL’s Indianapolis Colts, and the NBA’s Indiana Pacers, just to name of few of the attractions and venues for culture and entertainment. Reporting Relationships The Executive Director reports to the 25-member Board of Governors and oversees a current staff of 20 full-time employees, including: the Associate Executive Director, Legislative Counsel, Director of Communications; Law Practice Management Coordinator; Director of Meetings & Events; Director of Public Relations & Social Media; Local & Specialty Bar Liaison; Director of Continuing Legal Education; Membership Records & Technology Coordinator; and Section & Committee Liaisons. This executive will maintain and promote important interactions and working relationships with ISBA members; outside financial advisers and consultants; executives at other national, state, specialty, and local county and city bar associations; the public at large; and members of the media. Position Charter The Executive Director serves as the chief executive officer of the Association under the direction of its officers and Board of Governors. The Executive Director is responsible for the effective conduct of the affairs of the Association. This person assists the officers and the Board of Governors in the formulation of the Association's mission, goals and objectives and related policies. Within that framework and in frequent consultation with the Association President, the Executive Director plans, organizes, coordinates, and directs the ISBA’s staff, programs and activities. He/she is responsible for budget and fiscal management as well as appropriate staffing. Major Duties and Responsibilities The Executive Director has the following responsibilities: Board of Governors Interaction The Executive Director provides the Association’s Board and officers with the necessary resources and innovative ideas to sustain the growth and development of the ISBA. Working closely with the Association President, he/she is responsible for developing Board meeting schedules and agendas, maintaining Board minutes and records, carrying out plans and programs of the Board, serving as representative of the Board for all contacts with the ISBA staff, initiating programs for consideration by the Board, and advising the Board on matters under consideration. Responsibilities include: • Provide supportive leadership and work closely with the Board in establishing strategic, operational and tactical plans and priorities for the Association. • Understand the changing nature of the practice of law and the market forces impacting the legal profession. • Evaluate the ISBA’s programs and services, with recommendations to the Board for change as needed, and a system of measuring progress toward the attainment of Association goals. • Assure that the Board is kept fully informed of the activities, operations, and financial condition of the Association required for the efficient and orderly conduct of business. • Oversee the preparation and presentation of an annual budget for the consideration of the Board, and report to the Board the financial condition of the Association. 2

Maintain continuing communication with the Association President and other officers so that necessary actions can be taken between meetings of the Board. • Account to the Board for carrying out all motions, resolutions, and directives approved by the Board. Membership Activities and Interaction Provide leadership to and oversee the ISBA staff and volunteers as they work to retain existing members, enhance the diversity and expand the size of the membership. Also, the Executive Director will oversee those activities necessary to maintain effective member relations and meet member expectations. He/she is responsible for motivating members to personally, professionally, and financially support the ISBA’s programs and events. Responsibilities include: • Analyze and interpret the needs of members and recommend revisions in programs to improve service and assistance to make membership more valuable and relevant. • Identify and develop other appropriate non-dues revenue opportunities. • Maintain communication with members through on-site visits, conversations, meetings, and writings. • Work diligently to insure that ISBA programs, services and products assist members to become increasingly competitive and successful. • Solicit suggestions, proposals, and requests from members and work closely with the Association President and officers to translate them into action consistent with the fundamental objectives and policies of ISBA • Insure that the Association’s benefits are available to all members throughout the state of Indiana. Programs and Services Responsible for the effective delivery of ISBA programs and services to members and, as appropriate, to the public at large. This includes web content, publications, CLE programs, special events, and fund raising opportunities. ISBA Staff As the Executive Director of the organization, oversee employment, assignment of duties, supervision, evaluation, training and ongoing leadership of all ISBA professional and support staff. Responsibilities include: • Assure consistency of HR policy development and implementation and ensure that staff members are prepared to successfully implement the Association’s programs. • Foster a working environment that values teamwork, diversity, and inclusion while ensuring the highest levels of service to the members. • Ensure the general competence of staff. • Create and promote ethical standards of work and behavior. • Reflect and reinforce a commitment to diversity and inclusion. • Ensure appropriate staff participation in continuing education, training, professional conferences, and seminars to develop and maintain overall staff competence. • Determine competitive compensation levels of staff employees in line with approved budgetary guidelines. Fiscal Management In concert with the Board, outside auditors, and financial staff, ensure the efficient preparation of accurate and timely financial statements with detailed supporting information relating to ISBA programs and services. • Work with financial staff to ensure that all financial records are accurately and properly maintained as required by law and generally accepted accounting principles. • Work with financial staff to present financial statements and reviews to the Board; ensure that financial records are audited in accordance with ISBAPolicy. • Oversee the development of the ISBA budget and relate the budget to program and service goals. • Responsible for all expenditures within the framework of the budget. Advocacy Activities Participate as appropriate in advocacy activities including: • Maintain communication and relationships with the American Bar Association, ICLEF (Indiana Continuing Education Forum), Indiana Bar Foundation, other Indiana municipal, specialty, and state bar officials as well as elected officials and their staffs. • Assist the President in communicating the ISBA’s position on industry and public issues in a timely manner. 3

Interaction with Related Associations Maintain awareness of trends and developments in the legal profession, and activities and programs of other state, local, specialty, and national bar associations and other professional associations. Responsibilities include: • Maintain alignment and relationships with municipal, specialty, and county Bar associations in the state. • Maintain effective relationships with other public and private organizations, assuring that the position of the Association and its members is positively represented. • Represent the positive values of ISBA membership to all interested parties. Association and Headquarters Office Operations Supervise the operations of the Association and manage the personnel, facilities, operations and assets of the Association. The Executive Director is responsible for the internal structure of the ISBA to ensure that the organization is effectively and efficiently managed. Responsibilities include: • Maintain executive oversight of all activities of the Headquarters office with overall administration of all association activities. Investigate ways to improve the efficiency and effectiveness of operations. • Provide procedures and methods for the conduct of official business. • Anticipate emerging and long-range opportunities and challenges to the Association’s effectiveness and mission; provide support for and contribute to the Association’s strategic and operational planning processes. • Responsible for management of ISBA leased office space with a goal of providing for an efficient operation and presenting an attractive “front door” for the use of ISBA members and visitors.

Other Duties Perform such other duties as are provided by the Association bylaws or assigned by the Board. Travel The Executive Director will have several occasions each year to travel, including attendance at: Board and District meetings; educational seminars; meetings of the National Association of Bar Executives, National Conference of Bar Presidents; other related events. Compensation The Executive Director is expected to earn an attractive compensation package; appropriate perquisites and some relocation assistance will be provided. The Candidate Education A Bachelors’ degree from a well-regarded college or university is required; an advanced degree in law, business, public administration or related field is highly preferred. Persons with a JD degree may be advantaged. A demonstrated commitment to continued professional development is expected (e.g. American Society of Association Executives or Certified Association Executive designation). Professional Qualifications The ideal candidate has demonstrated a successful career track record in association management and is currently serving as the top executive of a comparable state or large metropolitan bar association or professional services-focused association with a proven track record of success. Alternative experience includes serving as a “#2” or other senior-level executive at a complex business association, as an executive from a law firm or private or public sector entity, or relevant senior leadership roles in the military. Persons with a demonstrated commitment to and success in addressing and enhancing membership diversity and inclusion as well as the growth of a voluntary association of professionals are highly preferred.

Challenges and Opportunity The projected first year accomplishments for the new Executive Director of the ISBA include: • Establish presence as Executive Director and become familiar with the operations of the organization including staff, finances, programs, Officers, and Board members. Meet with various leaders and key supporters of the ISBA membership to develop begin to develop strong relationships with key constituencies. • In concert with the Board and staff, evaluate the strategic direction of and future opportunities for the ISBA through a review of current programs and personnel; develop strategic, operational, and budgetary plans. • Evaluate and develop responses to important organizational challenges and operational goals such as: Increase the number of high value products and services available to the ISBA members. Increase the percentage of Indiana lawyers who belong to the ISBA. Assure sustained financial stability through an increase in dues-paying member base, along with dues and non-dues income enhancements. The Executive Director position of the ISBA is an outstanding opportunity for a committed association or other executive to lead a professional association with a long history of success. An experienced staff and committed Officers and Board provide a strong foundation for the ISBA’s future and continued success. At the same time, however, the legal professionals that support the Association face significant challenges from changing client preferences, industry consolidation, and competitive threats from non-traditional service providers.
