Prospecting Support for Recruits program – 2012 REGISTRATION

Your financial centre has one or more of the 362 recruits who have joined our ranks in 2011 or recruits who have joined our ranks since 2009? This relationship marketing program is designed specifically for you. Launched in 2009, this program has great results so far. Indeed, it has generated more than $800,000 since its implementation and nearly $450,000 has been generated in 2011. You would like to participate or participate again? Here are the main features of the project for 2012: Our objective is to provide a targeted list of prospects whose phone number is not on the DNCL to recruits with less than 36 months experience in the industry.

9 OBJECTIVES

DFS has renewed its agreement with the same supplier it has been using since 2009. For this next phase, we will only be receiving the names of leads who have answered the spring and fall 2011 survey, and afterwards those who will have answered the spring 2012 survey. Furthermore, we will once again use the services of the other supplier who has access to the latest phone directories (Bell, Telus, etc.) to get these prospects phone number.

Adults aged 25 to 54 with a household income of $20,000 minimum, with or without children.

TARGET MARKET

In total, you will be receiving lists for a 6-month period, broken down into two separate lists:

Lists will be sent in hard copy by inter-office mail and in electronic format by email, giving you greater flexibility in managing your lists and assigning names based on availability and the territory specific to each registered recruit. It will also make sales follow-up easier. In April, May, October and November we will be sending you a PDF file with the names of prospects who have registered on the DNCL in the previous 30 days (the list is updated every 30 days by Bell Canada). You will need to remove these prospects from your lists before making any calls.

Our goal is to provide 50 names per recruit per month. Please note that we may not be able to provide you with the maximum number of names per recruit per month if you register several recruits and you belong to a financial centre in the Greater Montreal area, Ontario or British Colombia. We sometimes have to divide territories (forward sorting areas–FSAs) when centres are close together.

9 QUANTITY

After this registration period we will give you more precise information on the total number of leads that we will be able to provide based on the number of recruits you register and the available FSAs. We will ask each of you which FSAs you would like to receive. The number of prospects that we will be providing for the six-month period is based on the number of registrations we receive in February. If you hire other recruits afterwards, it will be your responsibility to manage the assignment of leads and reduce the number of prospects per recruit, if necessary. However, everyone participating must complete the registration form and undertakings form attached to this message, even if the project has already started.

9 COST

The cost for participating in this project is based on the number of names that we will be able to provide you with. We will let you know the cost before sending out the lists for the first and last three months. We will send your financial centre ONLY ONE invoice in November 2012 based on the total number of confirmed names, at $0.40 per name (Example for one recruit: 6 months = 300 leads X $0.40 = $120.00). Please note that there will be no refund if a recruit cancels his/her registration.

Once your participating recruits have been identified, please complete the forms attached to this memo, entitled Responsibilities and Registration Form and Undertakings of the Financial Centre and recruits, for each recruit and have them sign it.

9 REGISTRATION

The registration deadline is February 24, 2012. Please note that we must receive all documents by this date. No registration will be accepted after this deadline. To confirm your registrations, please forward your forms, by internal mail to Chantale Normand Rancourt at mail code Q152. You will receive an email in mid-March with the number of prospects available for your centre.

9 READY TO BEGIN?

You will receive the first solicitation list (for April to June) in the third week of March. You will receive the last list (for September to November) in late August. Project follow-ups will be done via email with your financial centre's project lead. UNLESS ADVISED OTHERWISE, WE WILL ASSUME THAT YOUR FINANCIAL CENTRE'S PROJECT LEAD IS THE SAME AS IN 2011.

RESPONSIBILITIES AND REGISTRATION FORM

The main responsibilities of each party for the "Prospecting Support for Recruits" project are shown below. The parties are Desjardins Financial Security (DFS), the DSFIN/SFL Financial Centre and the recruit.

DESJARDINS FINANCIAL SECURITY DFS will provide to the financial centre a targeted list of prospects whose phone numbers do not appear on the National Do Not Call List (DNCL). DSF will forward to the financial centre's Managing Director or the contact person assigned to this project a list with a maximum of 50 names per recruit, for a period of 6 months starting in April and ending in November 2010 (no activity in July and August). DSF will coordinate this project and ensure that the process goes smoothly and efficiently with the cooperation of the financial centres' Managing Directors or the contact person assigned to this project.

DFSIN-SFL FINANCIAL CENTRE The Financial Centre will register the recruits within the centre who have less than 36 months experience in the industry. The Financial Centre will support the participating recruits and see that the process goes smoothly and efficiently. The Financial Centre will inform DFS about the prospecting results and/or of any problems encountered during the project and/or any improvements that may be necessary.

RECRUIT Each recruit will phone every prospect on his or her list, based on the numbers provided, within 90 days of receiving the list (the phone call deadline will be identified on each list). The recruit will not call prospects recently added to the DNCL who are on the lists sent out every 30 days by DFS. The recruit will never mention to the prospect the source of their phone number and will never mention or refer to the selection criteria that lead to this list (e.g., prospects with a family income of more than $20,000, with or without children, etc.). Using the provided follow-up form, the recruit will inform the Managing Director or the contact person assigned to this project about the results and/or problems encountered and/or the improvements that may be necessary.

UNDERTAKINGS OF THE FINANCIAL CENTRE AND RECRUIT

For the purposes of the above-mentioned project, Desjardins Financial Security Life Assurance Company (“DFS“) has signed an agreement with a supplier (the “Agreement“) to rent a prospect list for the benefit of the Financial Centres affiliated with the SFL, Partenaire de Desjardins Sécurité financière network and Desjardins Financial Security Independent Network and their recruits. The Agreement includes certain undertakings made by DFS that the Financial Centres and recruits must also make. Therefore, in addition to the undertakings already made on the project Registration Form, the undersigned Financial Centre Managing Director and recruit jointly and severally give the following undertakings to DFS,: • • •



The prospect lists transmitted by DFS shall remain confidential and shall be used for a one-time purpose only in the context of the project defined by DFS. Only the individuals who have agreed to be solicited under this project may be solicited again. The Financial Centre and recruits shall note and transmit to DFS the names of the contacted individuals who want to be removed from the prospect lists. The prospect lists must be destroyed no later than December 31, 2012. Prospects imported into CRM will automatically be removed from the CRM of the recruit or financial centre, with the exception of prospects whom representatives have identified in CRM as having agreed to be solicited under this project or as having agreed to be re-solicited. The Financial Centre and recruits shall comply with privacy laws.

The undersigned Financial Centre Managing Director and the recruit understand that failure to comply with any of the undertakings stipulated above or on the project Registration Form could lead to a breach of contract and/or damages for which they could be held financially responsible.
