The Rapids Launch Party VIP Entry Sweepstakes (“Sweepstakes”) is sponsored by Money Services, Inc., a Transamerica company, 4333 Edgewood Road NE, Cedar Rapids, IA 52499 (“Sponsor”). The Sweepstakes is subject to all federal, state and local laws and regulations, and is void where prohibited or restricted by law. By entering the Sweepstakes, you represent that you satisfy all eligibility requirements and agree to be bound by these Official Rules. You understand that the results of the Sweepstakes, as determined by Sponsor and its agents, are final in all respects. Sponsor and its parent company, subsidiaries, affiliates, advertising and promotional agencies, and each of their respective parent corporations, affiliates, subsidiaries, officers, directors, employees, representatives are collectively known as the “Sponsor Entities.” THESE OFFICIAL RULES CONTAIN AN ARBITRATION AGREEMENT, CLASS ACTION WAIVER, AND LIMITATIONS OF LIABILITY THAT AFFECT YOUR RIGHTS UNDER THESE TERMS AND WITH RESPECT TO ANY DISPUTE BETWEEN YOU AND SPONSOR REGARDING THE SWEEPSTAKES. THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH FACEBOOK. YOU UNDERSTAND THAT YOU ARE PROVIDING YOUR INFORMATION TO SPONSOR AND NOT TO FACEBOOK. THE INFORMATION YOU PROVIDE WILL ONLY BE USED AS PROVIDED BELOW IN THESE OFFICIAL RULES. Any questions, comments or complaints regarding the Sweepstakes should be directed to Sponsor, not to Facebook, nor to any named or depicted third party sponsor (other than Sponsor). ODDS OF WINNING: Odds of winning depend on total number of eligible Entries received during the Sweepstakes Period. SWEEPSTAKES PERIOD: The Sweepstakes begins at 2:00PM MT on March 7, 2018 and ends at 2:00PM MT on March 14, 2018 (the “Sweepstakes Period”). Sponsor’s computer will serve as the official clock for the Sweepstakes. ELIGIBILITY: Sweepstakes is open only to legal residents of the fifty United States and the District of Columbia, who at the time of entry are at least 21 years of age and who have a valid Facebook account. Employees, officers, and directors of Sponsor and its affiliated companies, parents or subsidiaries, advertising and promotion agencies, brokers, distributors, agents, representatives, contractors, and any other individual or company involved in the development, execution of the Sweepstakes, and members of their immediate families (parent, child, sibling and their respective spouses) and same households, whether or not related are not eligible to enter or to win. Sponsors of pension plans issued or administered by Sponsor or its affiliated companies, and the plans’ participants are not eligible to enter or to win. Associated persons of unaffiliated securities firms (broker-dealers or investment advisors) are not eligible to enter or to win. HOW TO ENTER: During the Sweepstakes Period, an eligible entrant must follow the steps below to receive one (1) entry into the Sweepstakes (an “Entry”):

Log in to your Facebook account, visit the Sponsor page on Facebook at https://www.facebook.com/Transamerica/ and leave a comment on Sponsor’s post referencing this Sweepstakes. No sharing, tagging, or other on-platform activity is required to enter. Such activity will not increase your chances of winning. If you do not have a Facebook account, you can create one at no cost at www.facebook.com. Sponsor has the right to disqualify any Entry or request removal of any post to any social media site that does not comply with these Official Rules and the entry instructions. There is a limit of one (1) per person. All Entries must be received during the Sweepstakes Period. Only complete and valid Entries submitted in accordance with these Official Rules as determined by Sponsor will be eligible to be entered into the Sweepstakes. No faxed, telephoned, emailed entries will be accepted. Use of multiple accounts to enter more than the allotted Entries per person will disqualify the entrant. Sponsor has no obligation to advise an entrant of an incomplete or otherwise non-compliant Entry. Sponsor is not responsible for lost, late, invalid, damaged, delayed, misdirected, unintelligible, incomplete, garbled, or misdirected Entry, which will be disqualified. Tampering with the entry process or the operation of the Sweepstakes is prohibited and any Entries deemed by Sponsor, in its sole discretion, to have been submitted in this manner will be void. Entries generated by a script, macro, or other automated means will be disqualified. Receipt of Entry will not be acknowledged, and proof of submission of an Entry will not be deemed proof of receipt. PLEASE READ THE FOLLOWING REQUIREMENTS CAREFULLY. ENTRIES WHICH DO NOT COMPLY WITH THESE REQUIREMENTS MAY BE DISQUALIFIED OR NOT FULLY CONSIDERED. Entry may not contain, as determined by Sponsor in its sole discretion, any content that: • is sexually explicit or suggestive; violent or derogatory of any ethnic, racial, gender, religious, professional or age group or treat any individual, organization or group with disrespect; profane or pornographic; contains nudity or is otherwise potentially offensive to a family audience; • promotes alcohol, illegal drugs, tobacco, firearms/weapons (or depicts the use of any of the foregoing); references politics or takes a political point of view; • depicts or describes any act which is dangerous or suggests any person undertake a dangerous activity, as determined by Sponsor, in its sole and absolute discretion; • defames, misrepresents or contains disparaging or defamatory remarks about other people or companies; • contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by third parties other than Sponsor; • contains any personal identification, such as license plate numbers, e-mail addresses, street addresses or telephone numbers; • contains copyright-protected materials owned by third parties other than Sponsor (such as photographs, sculptures, paintings, songs, and other works of art or images published on or in websites, television, movies or other media); • contains materials embodying the names, likenesses, voices, or other indicia identifying celebrities or other public figures, living or dead, or images of individuals who have not granted permission; • contains look-alikes of celebrities or other public or private figures, living or dead; • communicates messages or images inconsistent with the positive images and good will of the Sweepstakes or Sponsor; • is otherwise inappropriate, indecent, harmful, discriminatory or obscene; or • violates any law. All Entries must be in keeping with Sponsor’s image and may not be offensive, as determined by Sponsor, in its sole and absolute discretion. Sponsor reserves the right, but will not be obligated, to review (or have its designee review) Entries for compliance with these Official Rules. Sponsor may disqualify any Entry or remove any Entry from the Sweepstakes for any reason, as determined by

Sponsor in its sole and absolute discretion, exercised at any time. Any Entry that fails to comply with the requirements set forth in these Official Rules, as determined by Sponsor in its sole discretion, may be disqualified. 5. WINNER SELECTION: Total of two (2) prize winner[s] will be selected. The potential winner[s] will be selected by Sponsor in a random drawing from among all eligible Entries received during the Sweepstakes Period, to take place on or about March 15, 2018. Entrants are eligible to win only one prize as described below. In the event an account holder is selected for multiple prizes, the account holder’s first selected Entry will be deemed the potential winner and alternate winners will be selected for the remaining prizes. Sponsor’s decisions are final on all matters relating to the drawing. 6. WINNER NOTIFICATION: Sponsor will notify each potential winner by sending him/her a Direct Message on Facebook with instructions on how to redeem the prize. The potential winner must follow the instructions to redeem a prize, including providing all the requested information, including, but not limited to, his/her full name, email address, date of birth and mailing address (PO Boxes not permitted) within forty-eight (48) hours or the potential winner may be disqualified and the prize may be forfeited. A winning Entry may not be declared until verification of eligibility of the entrant as well as verification of compliance with these Official Rules. Sponsor assumes no responsibility for undeliverable prize notification resulting from any form of active or passive filtering by any social media platform or for insufficient space in an entrant’s user account to receive notifications or emails. Potential winner[s] must comply with these Official Rules in order to be confirmed the winner of a prize. Potential winner[s] must sign and return any required forms, including, without limitation, statements of eligibility, prize acceptance and liability and publicity release forms, and applicable tax forms (“Confirmation/Release”) to Sponsor by at least March 18, 2018. The return of the abovementioned forms within the allotted time shall be solely the responsibility of the potential winner; Sponsor is not responsible for delays in delivery. If prize notification is returned as undeliverable or if a potential winner fails to comply with these Official Rules, cannot be reached by Sponsor (or its designee), or fails to return all of the required forms within the time specified, that potential winner may be disqualified and the prize forfeited and a new potential winner may be selected, all in Sponsor’s sole and absolute discretion. By participating in the Sweepstakes and submitting an Entry, Entrant agrees that Sponsor has the right to conduct a background check, and Entrant further agrees to execute a specific consent to such background check upon request by Sponsor. Sponsor further reserves the right to disqualify any winner if the content of a background check is inconsistent with the positive image and/or good will with which the Sponsor wishes to associate, as determined by Sponsor in its sole discretion. 7. PRIZE: Two (2) entries into the VIP lounge at the Colorado Rapids launch party on March 21, 2018 at Temple Night Club, Denver, Colorado. Confirmed winners will submit their name along with the name of their guest to Sponsor. Sponsor will provide both names to the Colorado Rapids to be included on the list of persons eligible to access the VIP lounge. Travel, food, beverages, or any other accommodations, goods, or services of any kind are not included. A government issued ID (driving license, passport, etc.) must be presented for entry. Two (2) winners will be selected, both receiving two (2) entries to the VIP lounge. There is no monetary value associated with the Prize. The Prize can neither be sold nor purchased. Sponsor is not responsible for awarding more than the stated number of prizes. If, for any reason, more prize notifications are sent (or more claims are received), Sponsor reserves the right to award

the intended number of prizes through a random drawing from among all eligible prize claims received. All prizes may not be awarded if an insufficient number of eligible entries is received. Sponsor reserves the right, at its sole discretion, to substitute any prize, or portion thereof, with one of comparable or greater value. Prizes are nontransferable and cannot be redeemed for cash. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. Each winner agrees to comply with all applicable terms, restrictions, and regulations that may be connected with any prize. All other costs and expenses not expressly set forth herein shall be solely the winner’s responsibility. NOTE ABOUT FACEBOOK: Sponsor is not responsible for any changes or unavailability of Facebook that may interfere with the Sweepstakes (including any limitations, restrictions, or conditions on Sponsor’s ability to use Facebook for the Sweepstakes as set forth in these Official Rules that are not acceptable to Sponsor) or ability of entrants to timely enter, receive notices or communicate with Sponsor via Facebook, in which case, Sponsor, in its sole discretion, may terminate or modify the Sweepstakes. In the event of a dispute concerning who submitted an Entry, the Entry will be declared to have been made by the registered account holder of the email address associated with Facebook account for the potentially winning entrant provided that person meets all other eligibility criteria. 8. PUBLICITY AND MARKETING: Except where prohibited by law, submission of an Entry in the Sweepstakes constitutes permission to the Sponsor and its affiliates and those operating on its behalf, including the Colorado Rapids, to use the Entry, entrant’s name, image, biographical information, voice, statements, image, picture and likeness for purposes of administration of the Sweepstakes (including, posting winner’s name on Transamerica and the Colorado Rapids’ social media channels) and in advertising and trade, worldwide in all forms of media now known or hereafter developed, in perpetuity, without further notice, approval, or compensation. Sponsor and its designees are not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation. Sponsor may also use entrant’s entry information to send entrant marketing communications, advertising content, promotional materials, or other offers in accordance with Sponsor’s Online Privacy Statement which may be found at https://www.transamerica.com/individual/privacypolicy/. 9. CONDITIONS, RELEASE OF LIABILITY, AND DISCLAIMER OF WARRANTIES: Entrants agree to these Official Rules and the decisions of the Sponsor, and release, indemnify, and hold harmless the Sponsor, Sponsor Entities, and Facebook from any and all liability, for loss, harm, damage, injury (personal or private), cost or expense whatsoever including without limitation, property damage, personal injury of any kind and/or death alleged to occur in connection with participation in the Sweepstakes, or acceptance, use or misuse of a prize. Winner further releases and agrees to indemnify and hold harmless the Sponsor and Sponsor Entities from all liability for any injury or damage caused by or claimed to be caused by participation in this Sweepstakes, or use or redemption of any prize awarded, including, but not limited to, any prize-related activity. The Sponsor Entities shall have no responsibility for any damage to an Entrant’s computer or telephone system that is directly or indirectly caused by entering the Sweepstakes or otherwise participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, dropped or delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor Entities are not responsible for lost, interrupted, inaccessible or unavailable

networks, servers, satellites, Internet Service Providers, Sweepstakes communications or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical or programming malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in the offering or announcement of any prize or in any prize notification documents, or other errors of any kind or nature; or for the incorrect or inaccurate capture of Entry or other information, or the failure to capture or the loss of any information. Sponsor Entities are not responsible for any incorrect or inaccurate information, whether caused by Sweepstakes Entrants, tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Sweepstakes. The Sponsor reserves the right to correct clerical or typographical errors in promotional materials. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If, for any reason, the Sweepstakes is not capable of running as planned by reason of, but not limited to, tampering, unauthorized intervention, fraud, technical failures or any other causes which Sponsor deems could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes and select the winner from eligible, non-suspect Entries received prior to the action or as otherwise may be deemed fair and equitable by Sponsor. Sponsor shall post notice of such action on the Website or as otherwise permitted under applicable law. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES AND LIMITATIONS OF LIABILITY, AS SUCH, TO THE EXTENT SUCH EXCLUSIONS ARE SPECIFICALLY PROHIBITED BY APPLICABLE LAW, SOME OF THE EXCLUSIONS SET FORTH ABOVE MAY NOT APPLY TO YOU. 10. SEVERABILITY: In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. 11. DISPUTES; GOVERNING LAW: YOU AND SPONSOR AGREE THAT, EXCEPT FOR DISPUTES THAT QUALIFY FOR STATE COURTS OF LIMITED JURISDICTION (SUCH AS SMALL CLAIMS, JUSTICE OF THE PEACE, MAGISTRATE COURT, AND SIMILAR COURTS WITH MONETARY LIMITS ON THEIR JURISDICTIONS OVER CIVIL DISPUTES), ANY CONTROVERSY OR CLAIM, WHETHER AT LAW OR EQUITY, ARISING OUT OF OR RELATED THIS SWEEPSTAKES, REGARDLESS OF THE DATE OF ACCRUAL OF SUCH DISPUTE, SHALL BE RESOLVED IN ITS ENTIRETY BY INDIVIDUAL (NOT CLASS-WIDE NOR COLLECTIVE) BINDING ARBITRATION. Arbitration is the submission of a dispute to a neutral arbitrator, instead of a judge or jury, for a final and binding decision, known as an “award.” Arbitration provides for more limited discovery than in court and is subject to limited review by courts. Each party has an opportunity to present evidence to the arbitrator in writing or through witnesses. An arbitrator can only award the same damages and relief that a court can award under the law and must honor these Official Rules. Any arbitration will take place in the county where you reside and will be determined by a single arbitrator. The arbitration shall be conducted by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and Consumer Arbitration Rules (the “Rules”), and judgment on the award may be entered in any court of competent jurisdiction. The Rules, including instructions for how to initiate arbitration, are available at http://www.adr.org or by calling the AAA at 1-800-778-7879. The arbitrator shall decide all issues of the case on the basis of the applicable

law, not equity. If you initiate arbitration, you must serve Sponsor (at the address identified in Section 15 of these Official Rules. Any filing fee or administrative fee required of you by the AAA Rules shall be paid by you to the extent such fee does not exceed the amount of the fee required to commence a similar action in a court that otherwise would have jurisdiction. For all non-frivolous complaints, Sponsor will pay the amount of such fee in excess of that amount. The arbitrator will allocate the administrative costs and arbitral fees consistent with the applicable rules of the AAA. Reasonable attorney’s fees and expenses will be allocated or awarded only to the extent such allocation or award is available under applicable law. You and Sponsor agree that this Sweepstakes affects interstate commerce so that the Federal Arbitration Act and federal arbitration law apply and govern the interpretation and enforcement of this provision (despite the choice of law provision). This agreement to arbitrate shall survive termination of the Sweepstakes or these Official Rules. If a court or arbitrator determines in an action between you and us that this Class Action Waiver is unenforceable, the arbitration agreement will be void as to you. These Official Rules and the interpretation of its terms shall be governed by and construed in accordance with the laws of the State of Iowa without regard to its conflicts of laws provisions. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Sweepstakes, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts with jurisdiction nearest the County of Linn in the State of Iowa. The parties agree not to raise the defense of forum non conveniens. 12. USE OF DATA: Use of data about Entrants collected by Sponsor is limited to administration of the Sweepstakes and publicity and marketing purposes set forth in these Official Rules. By participating in the Sweepstakes, Entrants hereby agree to the collection and use of information as set forth in these Official Rules and in the Sponsor’s Online Privacy Statement, and acknowledge that they have read and accepted the Sponsor’s Online Privacy Statement. Sponsor may engage certain third party companies to perform services in connection with the administration of this Sweepstakes and information provided by entrants may be collected and used by those third parties for purposes of administration of the Sweepstakes and the fulfillment and verification of prize awards. 13. NOTICE TO ENTRANTS: The Sponsor is not responsible for: (i) lost, late, misdirected, damaged, or illegible Entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, affecting transmission of an Entry, prize notice or acceptance on account of technical problems. By participating in the Sweepstakes, Entrants: (i) agree to be bound by these Official Rules, including all eligibility requirements; and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to the Sweepstakes. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. Sponsor reserves the right in its sole discretion to permanently disqualify any person it believes has intentionally violated these Official Rules, and to select alternate winner from among all other eligible Entries received. SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND PURSUE ALL REMEDIES AGAINST ANY INDIVIDUAL, WHETHER OR NOT AN ENTRANT, WHO INTERFERES OR ATTEMPTS TO INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES TO THE FULLEST EXTENT PERMITTED BY LAW. 14. The copying or unauthorized use of any of those materials, associated trademarks or any other intellectual property without the express written consent of its owner is strictly prohibited.
