@SanofiIT TWITTER ACCOUNT TERMS OF USE You will find hereafter the Terms of Use governing your Interaction with @SanofiIT (hereinafter and referred to on the @SanofiIT biography as “Terms”). These Terms supplement Twitter terms in respect of Interactions, being specified that Interactions must also comply with Twitter terms. By Interacting with @SanofiIT you (hereinafter “You”) are deemed agreeing to comply with these Terms. @SanofiIT is operated by Sanofi-Aventis S.p.A. Direzione e Coordinamento Sanofi (Francia) - Viale Luigi Bodio, 37/b – 20158 Milano P. IVA 00832400154, with a view to Sanofi’s Corporate and Institutional information in Italy. If you are not covered by the geographical audience, please do not interact with @SanofiIT. This version of the Terms is dated May 2014 and governs the Interaction with @SanofiIT as from To be supplemented with the date. The Terms may be subject to revisions from time to time. Such revisions will be announced via a Tweet and You will have the possibility of deciding whether You want to continue to Interact with @SanofiIT under the revised Terms. Any use of @SanofiIT subsequent to the entry into force of any revised version of the Terms of @SanofiIT is deemed an acceptance of and an agreement to abide by such revised version of Terms. 1. Definitions: All capitalized terms used but not defined in the Terms have the meaning defined in the Twitter glossary 1. Interaction: Any interaction with @SanofiIT, i.e. retweet of a Tweet posted by @SanofiIT, Direct Message to @SanofiIT, Mention of @SanofiIT, Following of @SanofiIT, selection of any tweet posted by @SanofiIT as a Favorite done through Your Twitter account. Interact: any Interaction activity. Sanofi: The French company registered with the French Company Register under n° B 395 030 844, having its registered office 54 rue La Boétie, 75008 Paris, France, and its Affiliates. Sanofi-Aventis Groupe: The French company registered with the French Company Register under n° B 403 335 938, having its registered office 54 rue La Boétie, 75008 Paris, France. Affiliates: Any company which controls, is controlled by or is under common control with Sanofi. For the purposes hereof, control shall mean the direct or indirect ownership of at least fifty per cent (50%) of the voting share capital of any company or the power to designate a majority of the members of its principal management body. 2. Purpose of @SanofiIT @SanofiIT is managed by the Sanofi-Aventis S.p.A. @Sanofi is the official Corporate Twitter account of Sanofi-Aventis S.p.A., which is intended to share the latest news and updates from Sanofi in Italy. The content of this account is intended to the Italian audience. It is not intended for medical advice or discussion about Sanofi drugs or other companies’ drugs, or to report any side effects that may be associated with Sanofi products or products of other companies. Tweets from @SanofiIT may contain information or details regarding Sanofi activities that are not available or accessible in every country. If You have specific questions about Sanofi activities please contact Your local Sanofi office. These can be found at www.sanofi.com. 3. Interactions with @SanofiIT 3.1. Regulation and law applicable to Sanofi As Sanofi-Aventis S.p.A. operates in a regulated industry, the type of information which can be shared and discussed by and with @SanofiIT is limited. @SanofiIT is aimed at providing a forum for discussions regarding [remind positioning of the account]. @SanofiIT is not intended to discuss treatments or as a forum for reporting Sanofi's or other treatments’ side effects, either actual or potential, associated with the use of drugs. 3.2. Language of Interaction The language to communicate with @SanofiIT through Interaction is Italian. In the event You communicate with @SanofiIT in another language than Italian, Sanofi cannot guarantee that You will receive an answer from Sanofi. 3.3. @replies and Direct Messages @SanofiIT welcomes feedback and ideas from all users of Twitter and Followers, and endeavors to join the conversation whether possible. However Sanofi is not able to reply individually to all messages received via @SanofiIT. 3.4 Disclaimer Sanofi is not responsible for Your Interactions and other third parties’ Interactions. Sanofi does not approve or endorse the third parties’ Interactions (e.g. Followers of @SanofiIT) or more generally any information posted by Twitter users even when they relate to its products or activities, does not warrant their accuracy, and assumes no responsibility or liability arising from content posted by third parties’ on Twitter nor for any error, omission, defamation, or libel, whether they constitute Interactions or not. Caution should be used before relying on any particular statements or opinions expressed in Interactions or about Sanofi’s or Sanofi’s products or activities. Sanofi reserves the right without prior notice and in its sole discretion to delete @SanofiIT or parts or all of its contents, at any time. Twitter may occasionally be unavailable and Sanofi accepts no responsibility due to Twitter downtime. You acknowledge: (i) It is technically impossible that the @SanofiIT will be provided free of defaults and Sanofi cannot take any responsibility for this, (ii) that defaults may lead to the temporary unavailability of @SanofiIT, and that (iii) the operation of the account may be adversely affected by conditions and performances outside Sanofi’s control, such as, for example, transmission and telecommunication links between Sanofi or You and Twitter and/or between Sanofi and other systems and networks. Sanofi, at any time, temporarily or in permanently modify or interrupt, all or part of the @SanofiIT in order to make improvements and/or changes to the account. Sanofi is not liable for any modification to or suspension or interruption of the account. 3.5 Limitations of liability Sanofi makes every effort to the best of its abilities to ensure the accuracy and updating of the information tweeted via @SanofiIT. Sanofi cannot be held liable for: • any imprecision, inaccuracy or omission relative to the information provided via @SanofiIT; • any damage resulting from fraudulent intrusion by a third party leading to the modification of the information or materials provided via @SanofiIT; • In a more general way, any damage, direct or indirect, regardless of its cause, origin, nature or consequences, even whilst Sanofi has been aware of the possibility of such damage, whether it be the result of (i) access or inability to access @SanofiIT, (ii) the use of Twitter or Interactions, including any damage or virus which

may infect Your computer system or any other product, and/or (iii) credit given to any information provided directly or indirectly by @SanofiIT. The materials on @SanofiIT are provided “as is”, without any kind of warranty, whether express or implied. Sanofi does not offer any express or implied warranty relative without limitation to their merchantability and fitness for a particular purpose. 4.

No endorsement of third parties’ activities

Sanofi does not endorse any third parties’ activities on Twitter, whether through Interaction or not, unless otherwise expressly confirmed in writing. In particular, @SanofiIT may decide to follow other Twitter accounts and select tweets posted by third parties as Favorites. Such Followings and Favorites shall in no case be considered as an endorsement of the followed Twitter accounts or of their activities. Sanofi shall in no case be held responsible of the activity of the Twitter accounts it follows or from which it selects tweets as Favorites through @SanofiIT. Tweets from @SanofiIT may contain links to websites and other contents that are not owned or controlled by Sanofi. Sanofi has no way of controlling the content of these third-party sites which remain totally independent of Sanofi. In addition, the posting of a link by @SanofiIT toward a third-party’s website or content shall in no case be considered as an endorsement of such content or website and Sanofi shall in no case be held responsible of any use to which such content or website may be put. 5. Monitoring and moderation @SanofiIT will be updated and monitored during Italian working days. Sanofi will moderate all Mentions of @SanofiIT on Twitter and reserves the right to take appropriate actions in case of infringement of the Terms, including blocking the concerned Twitter account from Interaction and requesting Twitter to block the user concerned. If Your Interaction or more generally any of Your posts on Twitter include possible adverse events or side effects associated with any Sanofi’s product or treatment, Sanofi-Aventis S.p.A. may be required to contact You for further information, in order to document the Adverse Event report, if required, to comply with safety regulatory obligations.

6. Governing law and disputes

You agree that the Terms shall be governed, construed and enforced in accordance with the Italian laws, without regard to principles of conflict of laws. Any claim or dispute arising between You and Sanofi in connection with the validity, interpretation and performance in whole or in part from the Terms shall be decided exclusively by a court of competent jurisdiction located in Italy.
