DECODing Corporate Culture

How to Decode the Corporate Culture? When you join an office, you meet many kinds of people. These very people develop and direct the office culture. These people can be divided into five categories - Competitors, Avoiders, Compromisers, Accommodators and Collaborators. These 5 aspects decides the individuals characteristics and determines where he/she fits in or type of approach he/she needs to take while joining a new office. There are five possible interaction styles, using a very simple example- that of a buyer called Madhu and a person selling her “favourite” sari for `5000. How these five possibilities of interaction between the shop keeper and Madhu will lead to different outcomes. Situation 1: Madhu as a Competitor: I want this sari for `3000 and will not give a penny more. The shopkeeper had bought the sari for `2500, he could have earned more money out of it but since he doesn’t know how to assert himself, he gives in. Situation 2: Madhu as an Avoider: I want this sari for `3000. The shopkeeper says no and Madhu leaves the shop. In the process, neither the shopkeeper nor Madhu gain anything. Situation 3: Madhu as a Compromiser: I want this sari for `3000. The shopkeeper insists on `5000, so Madhu says let’s do one thing, I will bear a loss of `1000, and you also bear a loss of `1000 and let us settle for `4000. Situation 4: Madhu as an Accommodator: I want this sari for `3000. The shopkeeper insists on `5000, so Madhu says OK and buys the sari for `5000. Situation 5: Madhu as a Collaborator: I want this sari for `3000. The shopkeeper insists on `5000, so Madhu says look I know you bought this sari for `2500. You can make a good profit of `1000 if you give it to me for `3500. It is a gain for me as well as you. Think about it. The shopkeeper sees logic in it and gives the sari for `3500.

Real Estate sector has been hit hard Post demonetization, further RERA regulations have compelled them to be more transparent and amidst all GST has been a real night mare for them especially with regards to the Transitional provisions concerning the said sector This article makes an attempt to address pervasive queries concerning real estate sector under the transitional provisions Q: Tax implication on under-construction flat sold pre – GST Case study: A builder sold under-construction flat to Mr A on 25th April 2017 & registered the agreement on the same day by paying the VAT @ 1% on sale consideration of Rs 1,00,00,000/-As on 30th June 2017 the demand raised by the builder was 35% (% completed) of sale consideration and amount received from Mr A was Rs 10,00,000/Taxes paid as on 30th June 2017 VAT paid : Rs 1,00,000/- (1% on 1,00,00,000/-) ST paid : Rs 1,57,500/- (4.5% * 35%*1,00,00,000/-) - As per Sec 142 (11) (c) where tax was paid on any supply both under the VAT Act and under Chapter V of the Finance Act, 1994, tax shall be leviable under this Act and the taxable person shall be entitled to take credit of value added tax or service tax paid under the existing law to the extent of supplies made after the appointed day Service tax Since the liability to pay service tax was determined by applying the Point of Taxation Rules, 2011 and if the builder has raised the demand letter as per the agreement even though the consideration is received post GST the same is not leviable to GST as per the provisions of Sec 142 (11) (b) MVAT Amendment made in MVAT Act 2002 by insertion of new section 42 (3B) in MVAT Act, 2002 which provides the mechanism to calculate the VAT liability on the amount received as on 30th June 2017 and any excess VAT paid would be eligible as credit to be claimed in Form Tran 1 Thus the excess VAT of Rs 90,000/- [1,00,000/- less 1% * 10,00,000/- (amount received)] will be claimed in column no 11 of Form Tran1 Q: Whether the builders are liable to pay tax again under GST in cases where the Service Tax had already been paid/ payable on flats, as per earlier law? No, builders are only liable to tax (GST) the supplies to the extent provided post 01.07.2017. As per our case study GST would be levied on Rs 65,00,000/- (65% * 1,00,00,000/-)

Q: Whether Credit of duties/taxes paid on the inputs (viz steel, Cement, bricks etc.) lying in stock as on the appointed day i.e. 01.07.2017 is allowed in respect of residential/ commercial complexes which are under construction as on 1.7.2017? As per section 140 (3) of CGST Act, 2017 Credit of eligible duties is allowed to the suppliers of construction services (builders/developers who were availing abatement in terms of Notification. No. 26/2012-ST dated 20 June, 2012) in respect of the inputs lying in stock as on 01.07.2017 provided that the following conditions are fulfilled; such inputs or goods are intended to be used for making taxable supplies; the said registered person is eligible for input tax credit on such inputs as per GST law; the said registered person is in possession of invoice or other prescribed documents evidencing payment of duty under CENVAT Credit Rules, 2004, in respect of such inputs; and such invoices or other documents were issued not earlier than twelve months immediately preceding the appointed day i.e., 1.7.2017. Declaration in Form Tran 1 Credit of central duties - column no 7a Credit of State Taxes - column no 7c Q: Further can the builder take the ITC of inputs already used for construction (i.e W-I-P)? There was an instant match of principles by which I lead life and that of the company. Zumba® believes in empowering individuals in an environment of love, mutual respect and sans judgements. One of my core strengths has been to recognize potential in others and bring the best out of an individual and empower them. While I was already doing this in a limited capacity, Zumba® fitness gave me a platform to touch thousands of lives.

During 2005, stressful work hours, odd sleeping patterns and unhealthy food habits took a toll on my health, causing a setback in self-confidence and pushing me towards anxiety disorder. Dance was my only cure. All ailments vanished when I was on the dance floor. Quitting a cushy corporate job wasn’t an easy choice, but equipped with a passion and a strong will, I decided to embark on a journey of professional dance training at 25 in Mumbai in 2008. Destiny had other plans. I shifted to the US in 2009 and Zumba® happened to me on a cold snowy morning. I decided to attend an 8 am Zumba® class that morning which had 80 participants taught by a slightly overweight instructor who was inspiring the 80 of us to move to foot-tapping International songs and we were smiling right back at her as we were sweating out the calories. I wanted to be her. I wished to be able to inspire. I was instantly hooked and never looked back. For the next three years I trained in every possible format of Zumba® fitness in the US and taught across the state of Connecticut as a licensed instructor. In 2012 April, I received a call from the CEO Alberto Perlman from Zumba® Fitness LLC, Miami headquarters to audition for the role of the lead Zumba® Education Specialist for India. It was the lifechanging moment which brought me back to my country to relaunch Zumba® fitness in India

on behalf of Miami headquarters in May 2012 and since then it’s been a challenging yet immensely satisfying role. My business mission is to change and empower lives through fitness. For the last 5 years, there have been many examples of people taking up fitness as a career seriously. I have been fortunate to be the one who has orchestrated this change with Zumba® as the platform, for thousands of instructors in India, many of whom have now successfully opened fitness centers and are paying it forward to countless others and helping them to get fitter in their lives. My vision is to take this fun,effective and affordable fitness revolution now to smaller tier 2,3 cities and make people realize the multiple benefits of being fit, why it’s necessary for people of all ages and that it doesn’t necessarily need to be boring or expensive. And create job oppurtunities in these cities which can further the economic strength and bring about social change. Our strength lies in empowering the entire community of our instructors. I believe that if we emphasis on instructors in terms of building their skills to be better fitness trainers and providing multiple marketing and learning tools in order for them to put focussed emphasis on delivering great classes we have created a solid foundation. Hence you

will see that in India we are always flooded with multiple Zumba® events and its run end to end by this community itself. Apart from the fact that Zumba® has successfully fuzed fun and fitness and is loved by 15 million people over the world, most folks stick to the fitness format due to the bond they create with fellow Zumba® goers and their instructors. Carving a niche in the fitness industry which was pre-dominantly for the body building industry has been a huge accomplishment for me.

Two awards this year, one was Femina Women Achievers Award and the other Fitness Trendsetter Award 2017 by FEA(Fitness Excellence Awards-The first fitness awards in India ) has been a huge confidence booster for me as I believe Im on the right track. To be recognized at fitness expos and airports alike by people and congratulated, the feeling is uncomparable. As I have dual roles of being an ambassador and presenter and then also a Business Advisor and India lead

for Zumba® the challenges are varied. When on stage I have to work on my technical skills as a presenter and as an India lead I have to constantly strive to grow the brand via collaborations and associations and lead a community of thousands of instructors in the country. Fitness is not limited to aspiring bodybuilders and having six pack abs. It’s about being holistically healthy and hence I intend to bring about a fitness revolution in

the society through the influence I have gained with the support of an amazing community. We have to encourage people like you and me to simply move via a fun-fitness format like Zumba® and get them hooked to fitness.

I strongly believe in the merit of more women entrepreneurs in our society and on which I have been working along these past few years.

I have had the honor of creating job opportunities via Zumba® Fitness LLC in India for thousands of women and to see mothers and grandmothers or full time corporate goers creating a livelihood with this alternate fitness and bringing about a positive change in the society keeps me going. Finally, I am truly passionate about education. Being part of a fitness science education academy or opening one of my own is a dream. Fitness science education should be a compulsory part of schools is what I strongly believe in and will strive for in thr coming years. The increasing issues of hypertension,obesity and diabetes in young adults we can uproot from the start itself, if this education introduced. Back in 2015, I had the honor of hosting India’s first and largest Zumba® Fitness concert in Mumbai with the creator of Zumba® himself - Alberto ‘Beto’ Perez with more than 1500 attendees. That experience was a humbling one from planning the minutest detail and taking the opportunity to bring Zumba® to the forefront in India. It was not just about executing the event but ensuring we involve hard-working individuals among the instructor community to be part of the core team. The right team was picked months ahead and planning was done end-to-end. It taught me the value of leading from the front. I am thankful to work closely for guidance with my superiors from Zumba® , MD Dave Sibley (ex-MTV) and VP Darren Jacobson(ex Virgin Active) Since then I have been consciously involving and giving a chance to genuine hardworking people to take up and own some operational part of my events. While this does increase my work in co-ordinating, it has helped me to give a personal touch to my events and help me

strengthen the bond amongst the members of the instructor community.

Also as currently I am leading the country officially for Zumba® as their Business Advisor and Lead Zumba® Education Specialist for the next phase of growth hence my team of ten master trainers and me are responsible to take the phenomena to two and three tier cities like Orissa, Chandigarh,Goa,Patna, Indore and the list is long. I not only have to ensure that my team is empowered but the “how” of this empowerment is ensured. A typical week would have atleast one concall, once a month of a business related knowledgesharing session and finally sharing best practices that I have gathered over the past years so that they have the tools to be successful. The challenge is that they are not all at one place but instead spread across various cities of India, Hence my efforts to communicate our doubled. Thus effective communication as a leader and empowering a team has been a great learning for me. Being in the thick and thin of the fitness industry has given me the opportunity to work with multiple people from different walks of life, the likes of fitness stalwarts, media houses, and brands. I have realized that great associations happen only when there is a mutual respect to what all parties bring to the table and a nuanced understanding of what the brands stand for and how each interaction should be a win-win. Taking the time of my loved ones for granted is what I regret. Im blessed with a wonderful family

and a great set of friends and it seems they are tailor-made to my hectic life of travelling. But for the longest time I lost focus and it was all about phonecalls at dinner tables and answering interview questions during a movie. After a strong intervention from the family , realization dawned and today the priorities are clear. Work and family go hand in hand. Due importance is deserved by both. For your own sake. With multiple trainings each month and tireless travel in and out of India, it becomes very important for me to take deliberate mini-vacations from work. I love traveling, learning about new cultures and trying out local flavors. I try to schedule my travel plans to coincide with my work schedule whenever possible. Lately, I have put more time to reading and the recent books I liked are from Amish Tripathi. I am a constant thinker and am countlessly surprised by how powerful our human minds are. In most stressful situations, I turn inward and become reflective to rethink the situation and what should I do going forward. Firstly, Show courage for the self! Lose a few battles to win the war. Have the courage to fall, and develop the determination to pick yourself up to win that battle of life. Secondly, it is not going to be an easy path to follow your passion and dreams. Have at least one confidant, one support system, be it an individual, education or job. A safety net gives you the power to soar, and if you fall, there is someone or something to catch you. And thirdly when it comes to winning in life, you have to first know how to lose, and it’s an important process. So, live it, feel it and when you win, which we all eventually do, laugh at it!

What made you take the leap into amusement industry? While I was a management student in the ESADE Business School in Spain, I kept a keen eye on some of the key industries in India. One of them being the amusement industry. Also, being fortunate enough to travel to some of the most exciting amusement centers across the globe, I had it in my subconscious to venture into this segment at some point in life. On further observation, what drew my attention was how over the years the standard of living and spending capacity of an average individual in India, belonging to the middle class & upper middle class segment had improved to a considerate level. Putting together my expertise and observations I realized my goal of returning back to India and starting my own venture. And that is when I made a decision of letting go an enticing placement offer that would fetch me more than 100 grands.

Back then there were not many companies in India who combined technology with creativity and created something interesting to amuse and entertain families. Also, there weren’t many successful businesses who were working on simulation products. Thus we decided to fill in the void in the form Modern Mastiii. This business of serving happiness to people with the use of technology attracts me and drives me to innovate and create more number of amusement products & centers. What is Modern Group all about? Modern Group is not only a leading maker of technology and simulation based products for the amusement industry but is also one of the prominent operators of FECs across cities in India. In a retail business like ours, that has a wide range of offerings, building a consumer culture isn’t a challenge, especially when the target audience is people of all age groups belonging to lower middle class till upper middle class. The games or attractions available at all our outlets are majorly focused on family and group indulgences. However, none of the attractions will ever disappoint a

solo visitor too. Our product mix is such that there is something, absolutely world class, of interest for every visitor. In order to increase customer loyalty we take the following measures: We make sure that every outlet is aesthetically state of the art New machines are added almost every quarter. Thus when a customer re-visits (i.e. on an average 3 months for a re-visitor) the customer finds the outlet fresh and exciting Our pricing is down to earth with a view to giving value for money and loyalty What has been your greatest moment of success? How do you approach marketing your business? The key sources of marketing for us are our customers. Our marketing strategy primarily revolves around engaging people. However, experiential marketing is key in our industry. We often execute it through events, social media engagements and through our own loyalty card system. Where do you see yourself in 5 years? 10 years? Your Future Plans?

For the next 3-5 years, my future plans are: In retail operationsTo organically expand in 6-7 more centers across the country in terms of Mastiii Zone, Snow Mastiii and the entertainment mall (yet to be branded) We will also look at some inorganic expansion possibilities, like acquiring single and small chain operators at strategic locations where we can expand rapidly To set up an amusement park and water park together in one premise In ManufacturingTo bring in more VR related products To bring in more arcaded products related to sports To soon launch some products based on Mixed Reality (MR) My 10 years plan: In terms of course correction, we believe in taking one step at a time. Since we are into the technology business which is volatile yet lucrative, having a strict laid out 10 years future plan would not feasible. However, a rough vision is to have a huge setup catering to the amusement industry. We might also invest in industries parallel to it i.e. cinema theaters, cinema making, a chain of restaurants, etc. What are some of your leadership experiences while making Modern Mastiii a largest chain of its own product? Managing people is the biggest challenge and every day we are learning how to manage our people even better. We

consider every employee as a communication touch point to our customers. And while operating a chain of retail outlets it gets difficult to gauge if the mission, vision and ethics laid down by the top management reaches every employee across outlets and cities. We have laid down an exhaustive training mechanism for this. A training mechanism is important, also because every now and then we introduce new technologies and every employee at all our outlets has to first understand the technology in order to service end customers. Are there any major life lessons that you have learned about business relationships through your personal experiences? Not able to recall any such incident. What is the biggest mistake you’ve made as an entrepreneur? Making mistakes and learning is an ongoing process. I have always taken every mistake as a paid tutor. The most important of the mistakes was undermining the importance of technology security. There have been incidences where our software has been pirated and our business suffered huge monetary losses due to it. Owing to which we had to do various litigations. On further investigation, we realized that we mainly lacked in not making timely investments in technology security. It is imperative to pay attention to technology security in a fast growing technology company. What do you do to recharge when you’re feeling drained?

Also, cycling is something that I enjoy with a group of friends and maybe do some intercity rides. Apart from sports, I like to read – currently reading on Hindu mythology. Sleeping without gazing at my kindle for at least sometime seems impossible. Reading, to me is a great stress buster. How did you overcome the biggest hurdles in building your business? To most of us even a smallest change is a big hurdle. It is imperative that to bring about a major change the change agent has to be strong and compelling enough to be able to counter the resistance of all change bearers. The biggest change/hurdle was to give the business the shape of a chain of outlets from a single outlet. Even though the expansion was always a plan, it was quite challenging to expand a technology centric outlet to various cities where I could not reach out personally. The distant employees had to deliver the products/services to customers at SOPs which were scripted at our head office. Every employee is a customer touch point and needs continuous training on various skills which is a huge challenge. We are still evolving and this remains a huge challenge that every customer touch point completely understands the company’s core values to be able to deliver to our customers efficiently.

Your Message to Entrepreneurs? There are actually a couple of them to pen down: There is no alternative to hard work and there are no nonworking hours. Once a business grows it is necessary to delegate and keep yourself free. There’s definitely a cost associated with delegation but it keeps you free and enables you to think and see beyond your business. A vision is necessary and without a vision you do not know what to do next and what after the next. Most importantly do consider the exit plan before starting up a business. Be practical and understand the life of business you are getting into.

True Potential

To Myself, In the memory you will find me. Hands burning up. The darkness holding me tightly. Until the sun rises up. Don’t remember how many times you were lonely, remember how many days you woke up safe and sound in the morning in your bed and got another day to fix your life. Another set of 24 hrs to do what you always wanted to do. Another opportunity to dare to live and be what you have always dared to live and be. You get this life only once. If you live it well, once is enough. Keep adding new people to your life. Remove toxic people from your life who cause your faith to falter and shatter. Stop taking part in futile activities, stop your bad habits or minimize them to as little as possible. Make a list and become mentally conscious of how many hours you subtly and unconsciously waste away, whiling away worrying about your future and things which you have no control over by sitting idle, while life is simply passing you by... If a person wants to be productive and be contributing genuinely, he / she will definitely find something meaningful to do or contribute. Nobody’s existence is futile. Always remember that. If you can’t do big things yet, then start doing small. Earn thousand rupees if you can’t earn ten thousand. Earn hundred rupees if you can’t earn a thousand. Focus on building relationships, if you can’t earn money. Focus on building your personality or taking it to even greater heights if you can’t build relationships. By personality, what I mean is, start rising early, start reading some previously untouched books in your collection, start going

to the gym. Start doing things that scare you at first sight such as talk to a new agent, show a flat. Life is all about building it up. You always have two choices. Upgrade or degrade. If you don’t upgrade, then you choose to degrade. Arm yourself starting from now, with skills and talents you never thought possible / achievable. Thinking big is not about making billions, it is about losing things of which, about which, you have made big issue about till now, in your life. And there will consistently be these things to be found. You will always find, if you care enough to seek, if you desire enough to know, if you desire enough to do. The problem is there is no self-help book that can ever help you. At best, these self-help books, you can only refer to and forget. I mean, and then go about your practical application part. Forget what you read, it’s all nonsense as it’s just another theory, another concept in your head, and a concept cannot make you rich. And a concept is not going to take you to date, build your relationship or make your money or your career. It’s all drama in there in all these books. No real good can come from them. Stick to your highest dreams, and your highest aspirations, work hard for them to get them into reality and never let them go. These are the only things that will keep you alive. I mean, This kind of lifestyle is the only thing that will keep you alive And guess what? You will never ever for a single day have to worry about your survival as you will be working and living with your

With huge sorrow and insurmountable worries, depression and problems and when it snowballs, you do not know how to begin and where to begin to start fixing it.
