ANNOUNCEMENT
Sonae Capital, SGPS, S.A. (“Sonae Capital”) announces that, on this date, has reached an agreement with Meridiam Infrastructure Europe II SCA SICAR (“MIE II”), to sell, directly to MIE II or to any of MIE II’s affiliates, Sonae Capital 36% indirect holding in Norscut - Concessionária de Auto-Estradas, S.A., for a total consideration of 42 million euro. The enforcement of the abovementioned agreement is conditional upon a set of conditions precedent namely the non-opposition of the Portuguese Competition Authority.
