Terms and conditions for #Unrooming (the "Competition") By entering the Competition, you agree to be bound by these terms and conditions (these "Terms and Conditions"). Promotional materials relating to the Competition, including all information on how to enter the Competition, also form part of these Terms and Conditions. In the event of any conflict between any terms referred to in such promotion materials and these Terms and Conditions, these Terms and Conditions take precedence. 1.

The promoter of this Competition is Hotels.com ("Hotels.com").

Participants must be at least 18 years old and legally resident within the United Kingdom. Employees and agents of Hotels.com or any of its subsidiary or affiliated companies and their immediate families and members of their households, and anyone otherwise connected with operation or fulfilment of the Competition are not eligible to take part. Hotels.com reserves the right to require participants to prove that they are eligible. If the winner is found to be ineligible, Hotels.com reserves the right to award the prize to another participant and to require the return of any prize already awarded.

The Competition commences at 14.00 UK time on 1 July 2016 and all entries must be received by 13.59 UK time on the closing date of 2 September 2016.

To enter, participants must record a short video, reviewing a hotel room which they are staying in from the moment the room door is opened. Videos must include the name of the hotel, the room number and the participant's rating of the room out of 5. Participants must then submit their entry via one of three methods: (a) the direct upload tool on the Hotels.com Unrooming page (uk.hotels.com/deals/uk-unrooming/); (b) Twitter; or (c) Instagram. Details of how to submit entries via each of these methods are as follows: a)

Direct upload on the Hotels.com Unrooming page: i.

visit uk.hotels.com/deals/uk-unrooming/;

ii.

click the 'upload a video' link; and

iii.

complete the entry form, provide the full name of the hotel in the 'caption' box, attach your video and submit the form.

Twitter: i.

visit and 'follow' the @HotelsdotcomEU Twitter page; and

ii.

tweet us the video from your own Twitter account, stating the @HotelsdotcomEU handle and the #unrooming hashtag as well as the full name of the hotel. Instagram:

i.

visit and 'follow' the hotelsdotcomeurope Instagram page; and

ii.

share your video from your own Instagram account, stating the #unrooming hashtag as well as the full name of the hotel.

Entries submitted by any other means will not be accepted: only those submitted via the official methods of entry set out in clause 4 of these Terms and Conditions. Use of script, macro or any automated system to enter the Competition is prohibited and entries made (or which appear to have been made) using any such system may be treated as void. Any illegible, incomplete or fraudulent entries will be rejected.

All eligible participants will receive a coupon to receive 10% off their next booking with Hotels.com for each hotel room reviewed by way of an eligible #unrooming video (a "Participation Prize"). Details of how to claim the Participation Prize will be sent by email to the address provided on submission of the entry if the participant has entered via direct upload on the Hotels.com Unrooming page, or by direct message from Hotels.com to the participant’s Twitter or Instagram account (as applicable) if the participant has entered via one of these methods. In order to receive a direct message from Hotels.com on Twitter or Instagram, you must (a) be following or have subscribed to the applicable Hotels.com account, and (b) have your account settings set to “unprotected” and/or “public”.

There will be a total of four main prize winners during the Competition, one for each of the following weekly periods (each a "Week"):

a)

14.00 on 1 July 2016 – 13.59 on 8 July 2016;

b)

14.00 on 8 July 2016 – 13.59 on 15 July 2016;

c)

14.00 on 15 July 2016 – 13.59 on 22 July 2016.

d)

14.00 on 22 July 2016 – 13.59 on 29 July 2016.

e)

14.00 on 29 July 2016 – 13.59 on 5 August 2016.

f)

14.00 on 5 August 2016 – 13.59 on 12 August 2016.

g)

14.00 on 12 August 2016 – 13.59 on 19 August 2016.

h)

14.00 on 19 August 2016 – 13.59 on 26 August 2016.

i)

14.00 on 26 August 2016 – 13.59 on 2 September 2016.

Each of these main prize winners will win a Hotels.com coupon valued at £200 (a "Main Prize"). The Main Prize winner for each Week will be the person who submits the best video (judged by reference to usefulness, quality of information, humour and originality) out of all complete, eligible and properly submitted entries received. A Main Prize winner will be selected between 14.00 and 17.00 UK time on the Friday at the end of each Week by an independent judge and the judge's decision is final. The Main Prize winner for each Week will be notified no later than 18.00 UK time on the Friday at the end of that Week by email to the address provided on submission of the entry if the participant has entered via direct upload on the Hotels.com Unrooming page, or by direct message from Hotels.com to the participant’s Twitter, or Instagram account (as applicable) if the participant has entered via one of these methods. In order to receive a direct message from Hotels.com on Twitter or Instagram, you must (a) be following or have subscribed to the applicable Hotels.com account, and (b) have your account settings set to “unprotected” and/or “public”. If a Main Prize winner does not comply with the instructions in the email or direct message within three (3) days after Hotels.com sends the email or direct message, he/she will forfeit the Main Prize, and Hotels.com may select an alternative winner in his/her place from all remaining complete, eligible and properly submitted entries received. 8.

Participation Prizes and Main Prizes ("Prizes") can only be used for bookings made on the UK Hotels.com site. The recipient of a Prize is responsible for paying all associated costs that are not specifically stated in these Terms and Conditions, including (where applicable) accommodation, meal costs, spending money, insurance and all other incidentals. The recipient of a Prize is also personally responsible for any personal or incidental expenses and any VAT, national and/or local tax liabilities incurred in claiming or using the Prize. Each Prize is as stated and is non-exchangeable and non-transferable. There is no cash or other alternative to a Prize in whole or in part. By participating in the Competition, entrants agree that the Prize is awarded on an "as is" basis, and that neither Hotels.com nor any of its subsidiary or affiliated companies, make any representations or warranties of any nature with respect to the Prizes. Participants agree that by entering the Competition they hereby unconditionally and irrevocably grant to Hotels.com a perpetual, non-exclusive, non-transferable license to use, modify, copy, post, and distribute any and all videos, images, hashtags and comments submitted by participants. Participants also hereby agree to irrevocably and unconditionally waive any and all moral and similar rights vesting in their entry to the Competition and to undertake to execute all such documents as are reasonably required by Hotels.com to perfect the aforesaid license to Hotels.com. Participants hereby represent and warrant that they have all rights necessary to grant the rights provided for in this clause 9, and that all materials forming part of their entry to the Competition, and any use of such materials by or on behalf of Hotels.com, comply with all applicable laws, rules, and regulations and do not infringe or otherwise violate the intellectual property or other rights of any third party. Participants further agree that, in the event their video is selected as a Main Prize winner in this Competition, the aforesaid license granted to Hotels.com shall be exclusive for use in the travel industry, and they shall not license nor allow any other company in the travel industry to use, copy, distribute, modify, or post the video. Furthermore, participants represent and warrant that they have obtained all rights, licences, and permissions necessary, in writing, from any person who may have helped create and/or be featured in their entry and that their entry to the Competition fully complies with these Terms and Conditions and: (a) is their original work and does not include the work of a third party, or if it does include such work that they have obtained all rights, licences, and

permissions necessary, in writing; (b) has not previously been submitted in any competition or other promotion and has not won an award or prize of any kind; (c) does not contain any use of the names, likenesses, photographs, or other identifying elements, in whole or in part, of any person, living, or dead without permission (proof of which must be provided to Hotels.com upon request); (d) does not include trade marks, logos, or copyright protected material which belongs to third parties without permission (including, but not limited to, company names, music, photographs, motion picture or television programme clips or audio tracks, works of art, or images published on or in websites, television, movies, or other media); (e) is not subject to any third party agreements and Hotels.com will not be required to pay or incur any sums to any person or entity as a result of its use (as set out in these Terms and Conditions) or the exploitation of the idea or video or rights therein; (f) does not defame, misrepresent, or contain disparaging remarks or any other content which could adversely affect the name, reputation or goodwill of Hotels.com or any other individuals and/or entities (the determination of which shall remain in the sole discretion of Hotels.com); (g) does not contain pornographic or sexual content, hateful or discriminatory content of any kind (including racism, sexism, etc.), does not contain content which promotes violence or harm to another living creature or any other offensive, obscene or inappropriate content (the determination of which shall remain in the sole discretion of Hotels.com); (h) does not include threats of any kind or anything that may intimidate, harass, or bully anyone, or invade the privacy of any person (the determination of which shall remain in the sole discretion of Hotels.com); (i) does not violate any applicable local state, provincial, national or international law or include any content that would encourage or provide instructions for a criminal offence; (j) does not feature, refer to, or mention any brands competing with Hotels.com; (k) does not contain any known virus, trojan horse, worm, trapdoor or similar software that may in any way infect or affect any of Hotels.com's hardware or software systems or the hardware or software systems of any third party viewing the entry; (l) does not invade the privacy or violate any personal right of any person or entity; (m) does not feature children or any third parties without their consent (or their parent’s consent in the case of a child under 13 years of age); (n) does not include logos, branding, promotional material or any other content intended for commercial purposes; and (o) does not have any music playing in the background. Hotels.com reserves the right to remove or temporarily suspend from the Competition any content submitted if it suspects any breach of these Terms and Conditions or if it receives any complaint from a third party relating to such content. 10.

In the event that, for reasons beyond Hotels.com’s reasonable control and not related to the participant, Hotels.com is unable to award a Prize as described in these Terms and Conditions, Hotels.com reserves the right to award a prize of a similar nature and an equivalent value, or at its sole discretion, the cash value of a Prize. In the event of a printing or other error resulting in there being more winners than Main Prizes for the Competition, Hotels.com reserves the right at any time to divide the Main Prize or the value of the Main Prize between the Main Prize winners of the Competition.

11.

The provision of a Prize does not imply endorsement by Hotels.com of the hotels featured or any other third parties concerned in any way with the Competition. Any complaints or queries relating to the use of Prize should be directed to [email protected].

12.

By entering the Competition, participants agree to have their name and content featured in publicity materials relating to the Competition without further reference, payment or other compensation. This includes making their name as the Main Prize winner available on the Hotels.com Unrooming page, Twitter page, Instagram page on the day the Main Prize winner is being drawn. This also includes their video content being featured as video reviews for hotels on the Hotels.com website. Details of the Main Prize winners will also be made available to participants and the public on request by sending an email to [email protected] no later than 15 days after the end of the Week that the Main Prize winner is chosen.

13.

Although the Competition may be featured on Facebook, it is in no way sponsored, endorsed, administered by, or associated with Facebook and you agree that Facebook is not liable in any way. You are providing information to Hotels.com and not to Facebook. The information you provide will only be used for the purposes referred to in clause 14 below. Although the Competition may be featured on Twitter, it is in no way sponsored, endorsed, administered by, or associated with Twitter and you agree that Twitter is not liable in any way. You are providing information to Hotels.com and not to Twitter. The information you provide will only be used for the purposes referred to in clause 14 below.

14.

Hotels.com will collect and process participants' personal information and it will be shared with Hotels.com's agents and affiliates (including those outside the European Economic Area) to the extent necessary in order to conduct the Competition including for the Prize to be delivered to the winner. If participants do not provide any of the mandatory information requested when entering and taking part in the Competition, they may not take

part in the Competition. Participants' names and other personal details from their entry to the Competition will be collected and stored by Hotels.com and its affiliates (including those outside the European Economic Area) and held in accordance with the applicable privacy policy in place from time to time (see http://uk.hotels.com/customer_care/privacy.html). 15.

Hotels.com reserves the right to modify, cancel, terminate or suspend the Competition in whole or in part, at its sole discretion, if it believes the Competition is not capable of being conducted as specified within these Terms and Conditions or in the event of a virus, a computer bug or unauthorized human intervention or any other cause that is beyond the reasonable control of Hotels.com that could corrupt or affect the administration, security, impartiality or normal course of the Competition. Neither Hotels.com nor any of its subsidiary or affiliated companies are responsible for any condition, circumstances, losses, failures or delays caused by events beyond its or their control such as (but not limited to) the acts or defaults of any supplier selected by Hotels.com to provide a Prize or otherwise that may cause the Competition to be disrupted or corrupted, or that may lead to loss or damage of the Prize in transit to the winner.

16.

Save where it has been negligent, Hotels.com will not be responsible for any damage, loss or injury resulting from participants' entry into the Competition or their acceptance and/or use of a Prize, or for technical, hardware or software failures, lost, faulty or unavailable network connections or difficulties of any kind that may limit or prohibit their ability to participate in the Competition. Hotels.com will not be responsible for any lost, damaged, defaced, incomplete, illegible or otherwise unreadable entries. Proof of posting is not proof of receipt by Hotels.com of any entries. Nothing in these Terms and Conditions shall in any way limit Hotels.com's liability for death or personal injury caused by its negligence or for any other matter where liability may not as a matter of law be limited.

17.

Any participant who enters or attempts to enter the Competition in a manner, which in Hotels.com's reasonable determination is contrary to these Terms and Conditions or by its nature is unjust to other entrants (including without limitation tampering with the operation of the Competition, cheating, hacking, deception or any other unfair playing practices such as intending to annoy, abuse, threaten or harass any other entrants or Hotels.com and/or any of its agents or representatives) may be rejected from the Competition at Hotels.com's sole discretion. Furthermore, where such actions have significantly impaired the Competition, Hotels.com may, at its sole discretion, add further stages to the Competition as it deems reasonably necessary in order to resolve any problems arising as a result of such actions.

18.

All Hotels.com's decisions in relation to the Competition are final and Hotels.com will not enter into any correspondence with participants.

19.

These Terms and Conditions are governed by English law. The courts of England and Wales shall have exclusive jurisdiction to hear any dispute or claim arising in association with the Competition or these Terms and Conditions.
