SUMMER 2016 CERTIFICATE PROGRAM

U.S. BUSINESS LAW FOR INTERNATIONAL PRACTITIONERS If so, consider joining other international legal professionals in an immersion program in U.S. Business Law taught by renowned faculty from Penn Law and Wharton on the camp us of the University of Pennsylvania, a global, Ivy League institution. During this two-week Certificate program you will gain an understanding of how U.S. business works, starting with a short introduction to the U.S. legal system and its effect on business, and then delving into topics such as mergers and acquisitions, regulatory issues, negotiations, and deals. This dynamic program includes small group and case study work, a visit to the U.S. Supreme Court and Capitol Building in Washington, D.C., a day visiting Wall Street, the financial district and a New York City firm, and a visit to the Delaware Chancery Court. Penn Law will offer instruction in a number of areas of U.S. Business Law, including: • Contracts & Contract Negotiation • Federal Securities Law • Intellectual Property • U.S. Corporate Law • Mergers and Acquisitions • The Role of the General Counsel • Tax and Accounting Implications of Cross-Border Transactions While there is no TOEFL minimum, a firm grasp of English is necessary because all lectures and reading materials are in English. In addition to learning about American legal concepts, an important part of the program is to allow students to experience American culture during their time with us. As such, students will be taken to key historic sites and be given the opportunity to visit area shops and restaurants in addition to court rooms and corporate law firms.

ACADEMIC DIRECTORS

MICHAEL KNOLL Michael Knoll is the Theodore K. Warner Professor of Law at the University of Pennsylvania Law School, a Real Estate Professor at the Wharton School, and the CoDirector of the Center for Tax Law and Policy. He also served as the Associate Dean of the Law School from 2004-2006. Professor Knoll’s research areas include Tax Policy, Tax Planning, and the application of Finance to Law. He also teaches courses on Federal Income Taxation, Corporate Finance, Taxes and Business Strategy, and Deals. Professor Knoll is an insightful commentator on how income tax laws affect business and investment decisions and a creative proponent of how those laws could be redesigned. Much of his recent research involves the application of finance principles to questions of international tax policy, especially the connection between taxation and competitive ness. Professor Knoll’s recent research includes writings on sovereign wealth funds, private equity, international tax arbitrage, and the impact of the corporate income tax on the competitiveness of the U.S. auto industry.

CHARLES “CASEY” COGUT Charles “Casey” Cogut is Senior M&A Counsel at Simpson Thacher & Bartlett LLP. He specializes in domestic, international and cross-border mergers and acquisitions; the representation of special committees of boards of directors; and buyouts and other transactions involving private equity firms. Mr. Cogut is well recognized as one of the leading corporate lawyers in the United States. He has been named a “senior statesman” in the practice areas of CorporateMergers and Acquisitions and Private Equity/Buyouts in Chambers Guides He has also been named as one of “The Best of the Best” merger and acquisition lawyers, private equity lawyers and corporate governance lawyers in Euromoney’s Expert Guides. Mr. Cogut received his J.D. in 1973 from the University of Pennsylvania Law School after graduating summa cum laude from Lehigh University in 1969. He is a member of the Board of Overseers of the University of Pennsylvania Law School; Co-Chair of the Board of Advisors of the University’s Institute for Law and Economics; and a member of the Law School’s adjunct faculty. He also is a member of the Board of Trustees of Cold Spring Harbor Laboratory.

Off-Campus Housing

The application fee for the program is $50. The final application deadline for the program is May 1st, 2016. Admission will be granted on a rolling basis, but we encourage everyone interested to apply as early as possible as there are a limited number of spots available in the program. Once admitted, a nonrefundable $500 deposit will be required within two weeks of acceptance.

Multiple off-campus housing options are available within walking distance of Penn Law. Students choosing to live off-campus are responsible for making their own arrangements, however Penn Law has negotiated a special rate at The Sheraton in University City which is located directly across the street from the law school. What to bring:

Program Fee, Housing, and Meals



The dress for days at Penn Law is casual. Please note classrooms are air conditioned, so you may want to bring a sweater or jacket. When we travel to law firms and the like, business casual dress is appropriate.



Dorm rooms are also air conditioned, you may want to bring warm pajamas

On-Campus Housing



Tablet or laptop with WIFI. All reading materials will be provided digitally via WIFI.

Students interested in on-campus housing must apply by April 1st, 2016. On-campus housing is available for $750 for the duration of the two-week program, however space is extremely limited and will be filled on a first-come first-served basis. Students will be housed in dormitories within easy walking distance of the law school.



Philadelphia summers are hot and humid, please pack accordingly.

The program fee for the U.S. Business Law Summer Certificate Program is $3,750 and includes all course materials. Housing and meals are not included in the program fee.

If you are choosing the on-campus housing option, an additional nonrefundable housing deposit of $500 will be due within two weeks of acceptance. If you opt for off-campus housing, you will be responsible for making your own arrangements.

We require that all participants have short-term medical insurance coverage while in the United States, carrying a minimum of $400,000 US in coverage. A lthough it is very unlikely that any student will experience a medical problem, please note that the United States and Pennsylvania governments and the University of Pennsylvania do not provide free medical services.



Dental and optical insurance are not available. If you wear eyeglasses or contacts, we strongly recommend that you bring extra supplies and or prescriptions in case of an emergency.



The University of Pennsylvania requires that students living in a dormitory or student housing be vaccinated against meningitis

The Philadelphia International Airport is located in the Southwest section of the city, approximately 20 minutes from the University of Pennsylvania campus. Lady Liberty provides airport shuttle service to and from the Philadelphia International Airport, with door-to-door shuttle service to University City hotels and residences.
