INVOICING WakeHustleGrind, Inc DBA, 3KP Marketing is responsible for all taxes owed by the state of Ohio. Each contract requires a minimum of 50% down payment for orders over $1,000 and a minimum of $299 for basic projects. Note: The client has the option to put more than 50% down. The balance of the contract can be paid before your website goes live. For this contract - The estimated total hours for this contract shall be an estimate of_48 hours_. A retainer’s fee in the amount of ___$ ____________________ (50% of the total contract negotiated with the client) is due at the time of signing. The payment balance can be paid

once work has been deemed completed by a check list being provided by 3KP Marketing on work completed.

This is used to help us get information up front so that we can execute your project faster 1. Redesign of layout after created 2. Adding information after you have completed your design questionnaire 3. Changing pictures can be updated FREE of Charge before we go live We require full payment before we go live to the internet. 1.

Contract Termination

The undersigned agrees to the terms, conditions, and procedures as described in this Agreement. Services may be cancelled or terminated by either party within 24 hours of signing the agreement and receive a partial refund or immediately if the other party commits an act that is “cause for termination”, such as (i) fraud, misappropriation or embezzlement or other intentional wrongful acts; (ii) a felony: or (iii) materially breach of any provision of the Agreement. If the contract is terminated after 24 hours but before 10 days, the Client is subject to the cost of hourly consultation fee to be deducted from total amount of the contract. If the Agreement is terminated and the term extends into the next month the client is responsible for paying a prorated amount contingent upon the number of days the terms were effective during that month. 2. Confidentiality This Contract must be signed by both parties and Wakehustlegrind, Inc agrees to keep all matters relating to the client confidential. ●

Confidentiality. Consultant recognizes that Client will disclose certain proprietary information of a broad nature. Consultant agrees to hold all such information in confidence by itself, and by its employees, if any. This clause shall be interpreted broadly in favor of the Client.

Unauthorized Disclosure of Confidential or other Information. If it appears that Consultant has disclosed, or threatened disclosure, of Information in violation of this Agreement, Client 3KP MARKETING 5

3KP Marketing | WakeHustleGrind.Com shall be entitled to an injunction to restrain Consultant or any of its employees, if any, from disclosing, in whole or in part, such Information, or from providing any services to any party to whom such information has been disclosed or may be disclosed. Client shall not be prohibited by this provision from pursuing other remedies, including a claim for losses and damages. ●

Confidentiality after Termination. The confidentiality and non-disclosure provisions of this Agreement shall remain in full force and effect after the termination of this Agreement.

Return of Records. Upon termination of this Agreement, Consultant shall deliver all records, notes, memos, email, equipment, and any other related materials to Client if so requested. Consultant will eliminate, erase, and otherwise dispose of any copies under its’ or its employees, if any, possession, custody, or control if so requested by client.

Late Fees

N/A 4. Intellectual Property:

Intellectual property is simply a form of property that is not tangible, but has some value nonetheless. Examples include trademarks, logos, copyrights, programs, and even business processes. Development of Intellectual Property: Any development of or improvements to Intellectual Property items that are considered to be part of the services provided by Wakehustlegind, Inc and or its Employees, if any, during the term of this Agreement shall be the property of Client. Consultants of Wakehustlegrind, Inc shall sign all documents necessary to protect the rights of the Client in such Intellectual Property matters, including the filing and/or prosecution of any applications for copyrights or patents. Upon request, Consultants representing Wakehustlegrind, Inc shall sign all documents necessary to assign the rights to such Intellectual Property over to the Client.

Publicity: The Client agrees and acknowledges that the Consultant may reasonably use some the videos of the stories or events or training workshop structure in the Consultant’s portfolio. Further, the Consultant may display the Client’s name and logo on its website as a party with whom the Consultant has worked. 6. Special considerations to this contract are noted as: ____The Client or the Consultant may amend the date of completion due to delay in receiving project content and data.
